Xxxxxx Agreement means that certain Contingent Stock Agreement, effective as of January 1, 1996, by The Xxxxx Company in favor of and for the benefit of the Holders (named in Schedule I thereto) and the Representatives (therein defined), as amended.

I and (d) Amendment to the Second Residual Facility (Master Repurchase Agreement), dated as of September 22, 2000, by and among Xxxxxx Brothers Inc. and Green Tree Residual Finance Corp. I, in each case, as amended, supplemented or otherwise modified from time to time, and any related document or agreement (including the agreements amended or modified by the agreements specified above).

Xxxxxx Agreement shall have the meaning assigned to such term in Section 5.4 of this Agreement.
