Intellectual Property. The Service Provider warrants Claas its capacity to transfer to Claas all necessary intellectual property rights without breaching any rights that may be held by any third party, in particular, by any subcontractors it may use. In the event a third party initiates an action against Claas alleging the breach of such rights, the Service Provider shall indemnify Claas with respect to such dispute and reimburse Claas all expenses incurred in connection therewith.
