Common use of Governing Law Clause in Contracts

Governing Law. This Contract shall be governed by the laws of the Grand Duchy of Luxembourg. The parties hereby submit to the jurisdiction of the Court of Justice of the European Union. The parties to this Contract hereby waive any immunity from or right to object to the jurisdiction of these courts. A decision of the courts given pursuant to this Article shall be conclusive and binding on each party without restriction or reservation. In any legal action arising out of this Contract the certificate of the Bank as to any amount or rate due to the Bank under this Contract shall, in the absence of manifest error, be prima facie evidence of such amount or rate.
