o objavi Dvostranog sporazuma o projektu između Vlade Republike Hrvatske i Europske komisije vezano uz sufinanciranje velikog projekta: „Inkubacijski centar za bioznanosti i komercijalizaciju tehnologije“ CCI br.: 2009HR16IPR003 u okviru Instrumenta pretpristupne pomoći (IPA), IPA Komponenta III – Regionalni razvoj, Operativni program Regionalna konkurentnost, CCI br.: 2007HR161PO001, Prioritetna os 2: „Jačanje konkurentnosti hrvatskog gospodarstva“, Mjera 2.2.:
„Transfer tehnologije i podrška uslugama za novonastale tvrtke utemeljene na znanju“
Članak 1.
Objavljuje se Dvostrani sporazum o projektu između Vlade Republike Hrvatske i Europske komisije vezano uz sufinanciranje velikog projekta: „Inkubacijski centar za bioznanosti i komercijalizaciju tehnologije“ CCI br.: 2009HR16IPR003 u okviru Instrumenta pretpristupne pomoći (IPA), IPA Komponenta III – Regionalni razvoj, Operativni program Regionalna konkurentnost, CCI br.: 2007HR161PO001, Prioritetna os 2: „Jačanje konkurentnosti hrvatskog gospodarstva“, Mjera 2.2.: „Transfer tehnologije i podrška uslugama za novonastale tvrtke utemeljene na znanju“, potpisan u Bruxellesu, 1. ožujka 2012. godine i u Zagrebu, 2. kolovoza 2012. godine, u izvorniku na engleskom jeziku.

U daljnjem tekstu zajedno se spominju kao „Stranke“ ili pojedinačno kao „Korisnik“, u slučaju Vlade Republike Hrvatske ili kao „Komisija“, u slučaju Europske komisije
Budući da
1) xx xxxx 17. srpnja 2006. godine Vijeće Europske unije donijelo je Uredbu (EZ) br. 1085/2006 kojom se uspostavlja Instrument pretpristupne pomoći1 (IPA).
2) xx xxxx 12. srpnja 2007. godine Komisija donijela je Xxxxxx (EZ) br. 718/20072 o provedbi Uredbe Vijeća (EZ) br. 1085/2006 kojom se uspostavlja Instrument za pretpristupnu pomoć (IPA)3, kojom se detaljno određuju primjenjive odredbe upravljanja i kontrole.
3) xx xxxx 29. studenoga 2007. godine Komisija usvojila je Odluku C(2007) 5733 kojom se odobrava višegodišnji Operativni program „Regionalna konkurentnost“ za pomoć Zajednice iz Instrumenta pretpristupne pomoći za komponentu Regionalni razvoj u Hrvatskoj. Xxxx 22. lipnja 2010. godine Komisija usvojila je Odluku C(2010)3774 o modifikaciji programa.
4) xx xxxx 27. kolovoza 2007. godine, Korisnik i Komisija sklopili su Okvirni sporazum kojim se propisuju pravila suradnje u odnosu na financijsku pomoć EU-a iz Instrumenta pretpristupne pomoći (IPA). Okvirni sporazum stupio je na snagu 10. listopada 2007. godine.
5) xx xxxx 10. studenoga 2008. godine, Korisnik i Komisija sklopili su Sporazum o financiranju koji sadrži posebne odredbe za provedbu višegodišnjeg programa
„Regionalna konkurentnost“. Ovaj Sporazum o financiranju stupio je na snagu
15. prosinca 2008. godine. Xxxx 17. prosinca 2010. godine, Xxxxxxxx i Komisija su posljednji put izmijenili predmetni Sporazum o financiranju, a koji je stupio na snagu 24. ožujka 2011. godine.
6) je u skladu s člankom 54. Sporazuma o financiranju, Operativna struktura predala je Komisiji veliki projekt „Inkubacijski centar za bioznanosti i komercijalizaciju tehnologije“ u kojem predviđa sufinanciranje iz IPA-e u okviru prioritetne osi
„Jačanje konkurentnosti hrvatskog gospodarstva“ višegodišnjeg Operativnog programa „Regionalna konkurentnost“. Na zahtjev Komisije, Operativna struktura predala je dodatne informacije na xxx 2. veljače 2010. godine.

7) xx xxxx 21. siječnja 2011. godine Komisija je donijela Odluku C(2011)543 kojom se odobrava financijski doprinos velikom projektu „Inkubacijski centar za bioznanosti i komercijalizaciju tehnologije“.
8) u skladu s člankom 54. Sporazuma o financiranju, odluku Komisije kojom se odobrava projekt xxxx slijediti Dvostrani sporazum o projektu s Korisnikom.
SPORAZUMJELE SU SE KAKO SLIJEDI:
Članak 1. Predmet
Ovaj Dvostrani sporazum o projektu sklopljen je između Vlade Republike Hrvatske i Europske komisije. Odnosi se na veliki projekt „Inkubacijski centar za bioznanosti i komercijalizaciju tehnologije“ koji je usvojen Odlukom Komisije C(2011)543 xxxx xx opisano u Dodatku. Svi dokumenti i korespondencija koji se odnose na ovaj projekt moraju nositi referentnu oznaku CCI 2009HR16IPR003.
Članak 2.
Financiranje projekta
1. Prihvatljivi izdaci izračunati u skladu s člankom 150. Uredbe (EZ) 718/2007 iznose EUR 16 376 410.
2. Na projekt se primjenjuje xxxxx sufinanciranja za prioritetnu os „Jačanje konkurentnosti hrvatskog gospodarstva“ Operativnog programa Regionalna konkurentnost. Najveći mogući doprinos IPA sredstava projektu iznosi EUR 13 919 949.
3. Doprinos IPA sredstava sufinanciranju projekta podliježe ispunjavanju odredaba ovoga Dvostranog sporazuma o projektu i obveza i uvjeta iz Okvirnog sporazuma, Sporazuma o financiranju te zakonodavnog i ugovornog okvira koji se primjenjuju na pretpristupnu pomoć.
Članak 3.
Razdoblje prihvatljivosti
Razdoblje prihvatljivosti propisano je člancima 11. (stavak 3.), 34., 43. Sporazuma o financiranju.
Članak 4.
Prihvatljivi izdaci
Izdaci nastali u razdoblju provedbe projekta smatraju se prihvatljivim za sufinanciranje iz sredstava IPA ako:
a) su stvarno nastali tijekom razdoblja prihvatljivosti iz članka 3. i potkrijepljeni su plaćenim računima ili računovodstvenim dokumentima jednake dokazne vrijednosti;
b) su ugovori zbog kojih xx xxxxxxx takvi izdaci u skladu s projektom, xxxx xx usvojeno Odlukom Komisije C(2011)543 od 26. siječnja 2011. godine;
c) xx xxxxxxx u skladu s načelima pravilnog financijskog upravljanja te, posebno, načelima ekonomičnosti i isplativosti;
d) su u skladu s pravilima prihvatljivosti propisanim u Poglavlju VI. Sporazuma o financiranju.
Članak 5. Sporazum
1. Sporazum iz članka 51. (stavak 3.) Sporazuma o financiranju xxxx biti potpisan prije početka bilo kojeg ugovora u okviru projekta. Osim toga, taj Sporazum xxxx definirati i načine predaje projekta krajnjem korisniku pomoći nakon dovršetka.
2. Potpisana preslika Sporazuma šalje se službama Komisije.
3. Bez obzira na stavke 1. i 2., xxxxxxxx iz članka 27. Sporazuma o financiranju ostaju primjenjivi.
Članak 6.
Pravila i postupci javne nabave
1. Pravila i postupci javne nabave koji se trebaju poštivati propisani su člancima 44., 46. i 48. Sporazuma o financiranju. Također se, ako su primjenjiva, primjenjuju i pravila iz članka 20. Sporazuma o financiranju kojima se uređuje javna nabava međunarodnih financijskih institucija (MFI-ja).
2. U opravdanim iznimnim slučajevima, može se dopustiti odstupanje od pravila sudjelovanja i podrijetla u skladu s odredbom članka 19. (stavak 6.) Uredbe (EZ) br. 1085/2006.
Članak 7. Nadzor
1. Nadzor se odnosi na uporabu sustava informiranja radi praćenja napretka u provedbi projekta. U nadzoru će se koristiti financijski i fizički pokazatelji koji omogućuju usporedbu stvarnog napretka prema dovršetku projekta s Indikativnim rasporedom aktivnosti/Planom izdataka koji su prikazani u Dodatku.
2. Provedba projekta nadzire se u skladu s odredbama iz Poglavlja XIII. (Nadzor i evaluacija) Sporazuma o financiranju. To će, između ostaloga, zahtijevati:
a. Operativnu strukturu i, gdje je prikladno, mjerodavno Ugovarateljno tijelo koje
će voditi aktivnosti nadzora projekta;
b. Sektorski nadzorni odbor koji preispituje napredak provedbe;
c. pripremu obrazaca o praćenju koje osigurava Komisija. Ti obrasci o praćenju čine glavni dio sektorskog godišnjeg izvješća o provedbi u skladu s člancima 84. i 85. Sporazuma o financiranju;
d. posebna ili ad-hoc izvješća o nadzoru, ako Operativna struktura ili službe Komisije to smatraju nužnim;
e. fizičke provjere na licu mjesta.
Članak 8. Evaluacija
1. Procjena projekta može se provesti tijekom provedbe na zahtjev Korisnika, ili na inicijativu Komisije, u svrhu ocjene napreduje li projekt prema završetku u skladu s ciljevima izvorno propisanim u Dodatku ovog Sporazuma i u svrhu predlaganja prilagodbi koje su potrebne radi rješavanja problema koji se pojavljuju tijekom provedbe.
2. Ex-post procjenu učinka projekta može, po završetku projekta, obaviti procjenitelj kojeg imenuju Xxxxxxxx ili Komisija po završetku projekta.
Članak 9.
Izmjena projekta
1. Svaka izmjena odobrenoga projekta zahtijeva odobrenje Komisije izmjenom odluke ili razmjenom pisama između Korisnika i službi Komisije.
2. Izdaci vezani uz fizički objekt koji je izmjenom uveden u projekt postaju prihvatljivi od datuma odobrenja izmjene xx xxxxxx Komisije.
3. Svaka izmjena projekta predstavljenog u Dodatku koja utječe na sadržaj Operativnog programa Regionalna konkurentnost zahtijeva ne samo izmjenu odluke Komisije koja se odnosi na projekt već i odluku o izmjeni operativnog programa. Prema tome, takvi zahtjevi za izmjenom projekta prihvaćaju se samo ako se predaju zajedno s nužnim zahtjevom za izmjenom operativnog programa.
4. Svaka veća izmjena projekta definiranog u Dodatku zahtijeva odobrenje Komisije izmjenom odluke. Takve izmjene moraju biti potkrijepljene pravilno motiviranim zahtjevom koji se predaje prije prestanka prihvatljivosti izdataka iz gornjeg članka 3.
Izmjena se smatra velikom ako uključuje:
a) promjenu bilo kojeg od elemenata opisanih u točkama 5. (Opis projekta) i 6. (Ciljevi) Dodatka; ili
b) svaku promjenu iznosa IPA sredstava koji je dodijeljen projektu; ili
c) promjenu prihvatljivih izdataka projekta; ili
d) značajnu promjenu fizičkih obilježja ili funkcionalne svrhe projekta kojima se mijenjaju njegovi ciljevi, uključujući dodavanje fizičke komponente koja nije obuhvaćena izvornom odlukom; ili
e) promjenu u uvjetima vlasništva ili upravljanja projektom.
5. Svaka manja izmjena i dopuna projekta može se odobriti razmjenom pisama između Korisnika i službi Komisije na temelju pravilno motiviranog prijedloga koji se predaje prije prestanka prihvatljivosti izdataka u skladu s gornjim člankom 3.
Izmjena i dopuna smatra se manjom u svim slučajevima osim onima navedenim u stavku 4., posebno kada se odnosi na:
a) produljenje razdoblja provedbe koje je izvorno predviđeno u prijavi projekta; ili
b) izmjene i dopune Indikativnog rasporeda aktivnosti/Plana izdataka koje nisu obuhvaćene gornjim stavkom 4. točkom c); ili
c) promjenu fizičkih obilježja ili funkcionalnih svrha projekta koje ne utječu na njegove opće ciljeve.
6. Sektorski nadzorni odbor xxxx biti obaviješten o prijedlozima za velikim i manje izmjene projekta.
7. Opće je pravilo da bi broj velikih izmjena projekta koje zahtijevaju odluke Komisije o izmjenama trebalo svesti na najmanju moguću mjeru.
8. Svaki zahtjev za izmjenom, bio on veliki ili mali, Komisija ispituje posebno za svaki pojedinačni slučaj.
9. Komisija zadržava pravo odbiti zahtjeve za izmjenom projekta koji bi doveli do takvih izmjena Operativnog programa koje ona smatra neprihvatljivim.
Članak 10. Posebni uvjeti
Prethodno konzultirana Agencija za zaštitu tržišnog natjecanja donijet će konačnu odluku o usklađenosti projekta s pravilima o državnim potporama nakon osiguranja sklapanja Ugovora o osnivanju operativnog društva BIOCentar
Europska komisija pridržava pravo prilagoditi doprinos IPA sredstava u slučaju da Agencija za zaštitu tržišnog natjecanja izjavi da projekt xxxxx pod Državne potpore.
Članak 11.
Jezik
Ovaj Dvostrani sporazum o projektu sastavljen je u dva primjerka na engleskom jeziku.

5. Opis projekta
5.1. Opći opis fizičkog objekta projekta
Hrvatska posjeduje znatan istraživačko-razvojni potencijal zahvaljujući tradicionalno jakom znanstvenom i obrazovnom temelju (širini obrazovnog programa) na području bioznanosti, brojnim inicijativama te razmjerno razvijenim primijenjenim industrijama (posebice farmaceutskoj industriji). Međutim, postoji potreba za zajedničkom tehničkom infrastrukturom i portfeljem usluga koji će pružiti podršku novoosnovanim biotehnološkim poduzećima u najkritičnijoj fazi razvoja, kako bi xx xxxxx ulaganja za poduzetnike i ulagače sveo na najmanju moguću mjeru i kako bi se otvorio pristup iskorištavanju znanstvenih rezultata u komercijalne svrhe s najvećim tržišnim potencijalom.
4 Vlada Republike Hrvatske planira usvojiti Uredbu kojom se BICRO d.o.o., registriran kao trgovačko poduzeće pretvara u državnu agenciju.
BIOCentrom se nastoji ukloniti spomenuti strukturni jaz i stvoriti sveobuhvatan sustav podrške novoosnovanim poduzećima za biotehnologiju i bioznanosti u Hrvatskoj, osiguravajući istraživanje i razvoj te sredstva za poslovanje, ekspertizu i usluge koje su potrebne za inkubaciju i podršku tehnološkim poduzećima, te povezivanje s hrvatskim, regionalnim i međunarodnim istraživačko-razvojnim ustanovama i društvima.
Projekt je usmjeren na rješavanje posebnih potreba ciljanih skupina u sljedećih 5 područja aktivnosti: infrastruktura, inkubacijska podrška, transfer tehnologije, obrazovanje i obuka te umrežavanje. Glavne ciljane skupine BIOCentra su novoosnovana poduzeća (tj. spin-off poduzeća sa sveučilišta ili drugih istraživačkih ustanova) s djelatnostima na području biotehnologije i bioznanosti. K tome, sredstva i usluge trebali bi biti ponuđeni postojećim poduzećima i malom i srednjem poduzetništvu kao i nacionalnim i međunarodnim istraživačkim ustanovama i grupama za provedbu inovativnih projekata značajnog poduzetničkog potencijala.
Glavna ciljana područja iz kojih će se primati klijenti (točnije, novoosnovana poduzeća) su prvenstveno Hrvatska, zatim jugoistočna Europa i na koncu (ako je moguće), središnja i istočna Europa. Nijedno od ovih područja nije razvilo slične usluge nalik xxxxx xxxx će biti ponuđene putem BIOCentra. Stoga se očekuje da će BIOCentar imati ulogu vodećeg inkubatora, generatora znanja i kanala za umrežavanje izvrsnosti na području biotehnologije i bioznanosti u Hrvatskoj i jugoistočnoj Europi.
BIOCentar, utemeljen u sklopu Zagrebačkog sveučilišnog kampusa, osigurat će različite usluge:
- BIOInfrastruktura – tehničko - tehnološka infrastruktura: uredski prostor, laboratorijski prostor, opremljena središnja laboratorijska jedinica
- BIOInkubacija – program za poslovni razvoj, mentorstvo, specijalizirane usluge i financijska potpora za akademsko poduzetništvo, pokretanje poduzeća i inkubaciju
- BIOTransfer – program transfera tehnologije kao podrške istraživačko-razvojnim projektima nacionalnih i međunarodnih poduzeća i istraživačkih ustanova, usmjeren na razvoj novih bioproizvoda
- BIOEdukacija – poslovna i tehnička edukacija u svrhu stjecanja određene vrste znanja i iskustva (know-how), postupaka i novih tehnologija
- BIOUmrežavanje – program za suradnju, regionalno umrežavanje i međunarodni marketing biotehnologije i prirodnih znanosti u Hrvatskoj
5.2. Tehnički opis ulaganja u infrastrukturu
U okviru financijske potpore iz Instrumenata pretpristupne pomoći provodit će se sljedeće aktivnosti:
a) radovi: BIOInfrastruktura, kao tehnološka baza BIOCentra, obuhvaća tri glavna područja:
- opremljena Središnja laboratorijska jedinica pružat će usluge centralnog laboratorija. Središnja laboratorijska jedinica osmišljena je za pružanje cjelokupne tehnologije neophodne u razvoju procesa potrebnih za razvoj bioproizvoda u skladu sa regulatornim zahtjevima, sa ciljem komercijalizacije i registracije novih proizvoda. Središnja laboratorijska jedinica obuhvaćat će razne laboratorije i prateće tehničke prostorije i usluge.
- odgovarajuće laboratorijske prostorije organizirane u 10 modula od 100 m2 (koje se prema potrebi mogu podijeliti u laboratorije od 25 m2 ili 50 m2). U njima će u svakom
trenutku biti moguće smjestiti do 15 poduzeća. Laboratoriji će pružati isključivo osnovnu tehničku infrastruktura , a opremu će zakupac xxx osigurati.
- BIOInfrastruktura će na raspolaganju imati i uredske prostorije za do 15 novoosnovanih poduzeća s do 15 zaposlenika, s osnovnom uredskom opremom – ‘početni pribor’ za nova poduzeća – telekomunikacije i pristup internetu – 3 manje kongresne dvorane za poslovne sastanke koje će biti opremljene i AV linkovima, projektorom i prezentacijskim panelima.
Ukupno, BIOCentar treba imati oko 5 330 četvornih metara bruto površine i oko 4 457 četvornih metara korisne površine. Prostorije su osmišljene s dovoljno fleksibilnosti tako da se nakon razdoblja planiranja Centar može vršiti izmjene i prilagodbe u dodjeli prostorija prema konačnim potrebama stanara.
b) Nadzor radova i instalacija opreme provoditi će se tijekom cjelokupne izgradnje, a započinje mjesec xxxx prije početka radova, a završava mjesec xxxx xxxxx što objekt i popratna infrastruktura postanu sasvim spremni za upotrebu – za nadzor radova angažirat će se samostalni konzultanti.
c) Nabava opreme – kako se izgradnja inkubatora bude približavala kraju, bit će potrebno opremiti laboratorije i urede. Središnja laboratorijska jedinica pružat će glavne laboratorijske usluge i činiti „srce“ BIOCentra. laboratorijska jedinica osmišljena je za pružanje cjelokupne tehnologije neophodne u razvoju procesa potrebnih za razvoj bioproizvoda u skladu sa regulatornim zahtjevima, sa ciljem komercijalizacije i registracije novih proizvoda. Ona xx xxxx biti opremljena najnovijom i najmodernijom opremom. Isto tako, bit će ponuđeni laboratoriji podijeljeni u 10 najosnovnije opremljenih modula. Do 15 novoosnovanih poduzeća na raspolaganju će imati uredske prostorije s osnovnom uredskom opremom, tri male kongresne dvorane s audio-video konferencijskom vezom (AV), projektorima i prezentacijskim panelima.
d) Tehnička podrška koristit će se za aktivnosti xxxxxx xx se uspostaviti portfelj Centra za svaku fazu razvoja: predinkubacija, inkubacija, priprema procedura Centra (kriteriji ulaska i izlaska stanara), razvoj edukacijskog programa Centra te konzultantske usluge za razvoj poslovanja i usluge edukacije. Posebna pozornost bit će posvećena razvoju marketinške strategije BIOCentra radi primjene odgovarajuće strategije za usluge i mogućnosti BIOCentra, kao i izradi web stranica i razvoju podrške za upravljanje kvalitetom.
6. CILJEVI
Povezujući znanost i gospodarstvo u jednoj od najpropulzivnijih tehnologija, BIOCentar će doprinijeti industrijskoj konkurentnosti u sektorima visoke dodane vrijednosti hrvatskog gospodarstva i pojavi novih na znanju temeljenih malih i srednjih poduzetnika (MSP).
Osnivanje BIOCentra će također imati značajan učinak na inovacijski sustav u Hrvatskoj:
• Povećanjem istraživanja i razvoja i transfera tehnologije u raznim industrijskim granama, tj. povećanje ulaganja privatnog sektora u istraživanje i razvoj.
• Razvoj MSP-ova visoke tehnologije.
• Usmjeravanjem postojećih industrija prema novim proizvodima, tj. poticanje industrijskog sektora u Hrvatskoj i povećanje konkurentnosti tradicionalnih industrijskih grana, povećanjem inovacijske stope u postojećim industrijama.
• Pozicioniranje Hrvatske kao tehnološke zemlje, tj. strateško diverzificiranje od drugih tranzicijskih zemalja koje se strateški pozicioniraju kao zemlje jeftine proizvodnje.
Ta četiri aspekta imaju najveći prioritet za Hrvatsku u smislu postizanja inovacijskih i istraživačko-razvojnih standarda EU i mogu pozicionirati BIOCentar xxx xxxx za xxxxx zemlje jugoistočne Europe.
Specifični ciljevi projekta su:
• razvoj tehničke infrastrukture i portfelja usluga za pružanje podrške novoosnovanim biotehnološkim poduzećima (kao preduvjet specifičnih aktivnosti BIOCentra) i
• razvoj novoosnovanih biotehnoloških poduzeća kroz inkubaciju, ugovorno istraživanje i povezanih usluga

9. Sažetak glavnih rezultata ekonomske i socijalne analize troškova i koristi
Prema analizi troškova i koristi (CBA) pripremljen od Korisnika, glavni pokazatelji
gospodarske i društvene analize troškova i koristi su sljedeći:
– Procijenjena NSV projekta je EUR 7 526 725,71, a primijenjena socijalna diskontna xxxxx xx 5,5%;
– Procijenjeni omjer koristi/troškova je: 1,20;
– Procijenjena ekonomska xxxxx povrata je: 8,3%
10. Sažetak financijske analize
Glavni zaključci financijske analize su kako slijedi :
– procijenjena sadašnja neto financijska vrijednost (FNPV) projekta je EUR-16 490 276,55;
– procijenjena financijska interna xxxxx povrata (FISP) je -3,97%;
– prihvatljivi javnih izdaci (financijski jaz) izračunati u skladu s člancima 17. i 19.
Sporazuma o financiranju iznose EUR 16 376 410;
– doprinos iz programa IPA iznosi EUR 13 919 949.
11. Načelo onečišćivač plaća (samo za projekte koji se odnose na zaštitu okoliša)
Nije primjenjivo
12. Financijska održivost i dostupnost
Financijska analiza je pokazala da xxx projekt nije financijski samoodrživ. Ne samo da mu je potrebna pomoć Europske unije prije i za vrijeme pokretanja, nego i čvrsta i dugoročna financijska odgovornost osnivača za eventualne poslovne gubitke tijekom razdoblja poslovanja BIOCentra.
Ministarstvo znanosti, obrazovanja i sporta Republike Hrvatske donijelo je izjavu o financiranju projekta BIOCentar u razdoblju od 2011. do 2015. godine, u pismu Europskoj komisiji od 3. studenoga 2010. godine.
Podrazumijeva se da će se u svrhu održivosti projekta ova financijska obveza prema potrebi obnoviti nakon ovog razdoblja.
Ukoliko financijsku obvezu preuzme neka drugi dionik projekta, Europska komisija treba o tome biti obaviještena.
Održivost projekta uvjetovana je kontinuiranim angažmanom i doprinosom svih zainteresiranih strana projekta, od akademskog, javnog i privatnog sektora, razvojem marketinga i aktivnostima umrežavanja kao i usvajanjem odgovarajuće cjenovne strategije.
Određivanje povoljnih cijena ključno je za osiguranje početne i dugoročne održivosti projekta, kao i osnivanja i razvoja malih i srednjih poduzeća utemeljenih na znanju u sektoru biotehnologije. Isto tako, Europska komisija to smatra načinom usmjeravanja financijske pomoći iz IPA-e prema malim i srednjim poduzećima, krajnjim korisnicima projekta.
Xxxx xx navedeno u projektnom prijedlogu BIOCentra, prostorije i usluge će prvo biti ponuđene u skladu s tržišnim uvjetima. Međutim, korisnik može odlučiti uspostaviti uvjete
određivanja cijena koji mu više odgovaraju, u skladu s uvjetima Odluke o objavljivanju pravila o potporama male vrijednosti (Narodne novine br. 45/07). U xxx slučaju Ministarstvo će osigurati potrebne informacije Hrvatskoj agenciji za zaštitu tržišnog natjecanja.
13. Upravljanje i održavanje
Upravljanje BIOCentrom bit će povjereno društvu BICRO BIOCentar d.o.o., koje će se osnovati za potrebe projekta. Članovi društva bit će BICRO d.o.o., Sveučilište u Zagrebu i Grad Zagreb.
Potpisani Ugovor o osnivanju stupa na snagu nakon odluke Komisije o Velikom projektu
„BIOCentar“, a prije potpisivanja Dvostranog sporazuma o projektu.
Djelatnosti novoosnovanog društva obuhvaćaju upravljanje, promidžbu i vođenje operacija za korisnike BIOCentra. Svi prihodi društva bit će ponovno uloženi u poslovanje BIOCentra, kako bi se pokrili troškovi poslovanja i povećala kvaliteta usluga.
14. Sažetak glavnih nalaza procjene učinka na okoliš
Konzultirano je Ministarstvo zaštite okoliša, prostornog uređenja i graditeljstva koje je potvrdilo dopisom od 17. svibnja 2007. godine da sastavnice projekta (laboratoriji, inkubator, uredski prostor) nisu navedeni u Dodatku. Pravilnika o procjeni utjecaja na okoliš (Narodne novine, br. 59/00, 136/04 i 85/06). Stoga za ovaj projekt nije potrebno izvoditi procjenu utjecaja na okoliš.

16. Uključenost Međunarodnih Financijskih Institucija (MFI-JA)
Niti jedna međunarodna financijska institucija neće biti uključena u provedbu projekta.
17. Promidžbene mjere
Budući da je Operacija BIOCentar dio Operativnog programa Regionalna konkurentnost, promidžbene aktivnosti u ovom projektu čine sastavni dio Komunikacijskog akcijskog plana za Operativni program Regionalna konkurentnost (OPRK).
Nadalje, vanjski konzultanti s kojima se sklopi ugovor u okviru komponente tehničke podrške će pomoći BICRO-u i upravi BIOCentra u razvoju i provedbi marketinških i komunikacijskih strategija prema svim ciljanim skupinama (istraživačkim i akademskim ustanovama, akademskim spin off kompanijama, mladim inovativnim poduzećima, malim i srednjim poduzećima i korporacijama).
Određeni broj aktivnosti bit će usmjeren prema ciljanim skupinama korisnika projekta kako bi se podigla razina javne svijesti o sudjelovanju Europske unije u projektu i kako bi se širu javnost upoznalo sa svrhom projekta.
Koristit će se sljedeća sredstva: obavijesti za medije, oglasne ploče, internetska stranica, informativna događanja, razvoj vizualnog identiteta projekta te tiskanje promidžbenih materijala npr. brošura.

Hereafter jointly referred to as "the Parties" or individually as "the Beneficiary", in the case of the Government of the Republic of Croatia, or "the Commission", in the case of the European Commission
Whereas
1) On 17 July 2006, the Council of the European Union adopted Regulation (EC) No 1085/2006 establishing an Instrument for Pre-Accession Assistance
1 (IPA).
2) On 12 June 2007, the Commission adopted Regulation (EC) No 718/20072 implementing Council Regulation (EC) No 1085/2006 establishing an instrument for pre-accession assistance (IPA)3, detailing applicable management and control provisions.
3) On 29 November 2007, the Commission adopted Decision C(2007) 5733 approving the multi-annual operational programme "Regional Competitiveness" for Community assistance from the Instrument for Pre-Accession Assistance for the Regional Development component in Croatia. On 22 June 2010, the Commission adopted Decision C(2010)3774 modifying the programme.
4) On 27 August 2007, the Beneficiary and the Commission concluded a Framework Agreement setting out the rules for co-operation concerning the EU financial assistance from the Instrument for Pre-Accession Assistance (IPA). The Framework agreement entered into force on 10 October 2007.
5) On 10 November 2008 the Beneficiary and the Commission concluded a Financing Agreement laying down specific provisions for the implementation of the multi- annual programme "Regional Competitiveness". This Financing Agreement entered into force on 15 December 2008. On 17 December 2010, the Beneficiary and the Commission last amended this Financing Agreement which entered into force on 24 March 2011.
6) In accordance with Article 54 of the Financing Agreement, the Operating Structure submitted to the Commission a major project "Biosciences Technology Commercialisation and Incubation Centre" in which it envisages a contribution from IPA under priority axis "Enhancing the competitiveness of the Croatian economy" of the multi-annual operational programme "Regional Competitiveness". At the request of the Commission, the Operating Structure submitted additional information on 2 February 2010.

7) On 21 January 2011, the Commission adopted decision C(2011)543 approving a financial contribution to the major project "Biosciences Technology Commercialisation and Incubation Centre".
8) In accordance with Article 54 of the Financing Agreement, the decision of the Commission approving the project should be followed by a Bilateral Project Agreement with the Beneficiary.
HAVE AGREED AS FOLLOWS:
Article 1 Subject matter
This Bilateral Project Agreement is concluded between the Government of the Republic of Croatia and the European Commission. It concerns the major project "Biosciences Technology Commercialisation and Incubation Centre" adopted by Commission Decision C(2011)543 as described in Annex. All documents and correspondence pertaining to this project shall bear the reference CCI 2009HR16IPR003.
Article 2 Project funding
1. The eligible expenditure, calculated in accordance with Article 150 of Regulation (EC) No 718/2007, is set at EUR 16 376 410.
2. The co-financing rate for the priority axis "Enhancing the competitiveness of Croatian economy" of the Regional Competitiveness Operational Programme applies to the project. The maximum IPA contribution to the project is set at EUR 13 919 949.
3. The IPA contribution to the co-financing of the project is subject to the fulfilment of the provisions of this Bilateral Project Agreement and the obligations and conditions set out in the Framework Agreement, Financing Agreement as well as the regulatory and conventional framework applicable to pre-accession assistance.
Article 3 Eligibility period
The eligibility period is as laid down in Articles 11(3), 34, 43 of the Financing Agreement.
Article 4 Eligible expenditure
Expenditure incurred in the implementation of the project shall be eligible for IPA co- financing if:
a) it has been actually incurred within the eligibility period referred to in Article 3 and is supported by receipted invoices or accounting documents of equivalent probative value;
b) contracts giving rise to such expenditure are consistent with the project, as adopted by Commission Decision C(2011)543 of 26 January 2011;
c) it has been incurred in accordance with the principles of sound financial management and, in particular, of economy and cost-effectiveness and
d) it conforms to the eligibility rules laid down in Chapter VI of the Financing Agreement.
Article 5 Agreement
1. An agreement as laid down in Article 51(3) of the Financing Agreement must be signed prior to the commencement of any contract within the project. The agreement shall also define the modalities of handing over the project to the end recipient of assistance after its completion.
2. A signed copy of the agreement shall be sent to the Commission services.
3. Notwithstanding paragraphs 1 and 2, the requirements of Article 27 of the Financing Agreement remain applicable.
Article 6 Procurement rules and procedures
1. The procurement rules and procedures to be followed are stipulated in Articles 44, 46 and 48 of the Financing Agreement. Where applicable, the rules laid down in Article 20 of the Financing Agreement governing procurement by International Financing Institutions (IFIs) shall also apply.
2. In duly substantiated exceptional cases, derogation from the rules of participation and origin might be authorised in line with the provision of Article 19(6) of Regulation (EC) No 1085/2006.
Article 7 Monitoring
1. Monitoring refers to the use of a system of information in order to trace the progress made in implementing the project. Monitoring shall use financial and physical indicators which enable actual progress towards completion of the project to be compared with the Indicative Work Schedule/Expenditure Plan presented in Annex I.
2. The implementation of the project shall be monitored in line with the stipulations of Chapter XIII (Monitoring and Evaluation) of the Financing Agreement. This, amongst others, will require:
a. the Operating Structure, and where appropriate the relevant Contracting Authority, managing the project monitoring activities;
b. the Sectoral Monitoring Committee reviewing the progress of implementation;
c. the preparation of the monitoring sheets provided by the Commission: these monitoring sheets form the principal part of the sectoral annual report on implementation in accordance with Articles 84 and 85 of the Financing Agreement;
d. special or ad-hoc monitoring reports, if deemed necessary by the Operating Structure or the Commission services;
e. physical on the spot checks.
Article 8 Evaluation
1. An assessment of the project may be carried out during its implementation at the request of the Beneficiary, or on the initiative of the Commission, in order to assess whether the project is proceeding towards completion in accordance with the objectives originally laid down in Annex I to this Agreement and to propose adjustments to take account of problems encountered during implementation.
2. An ex-post assessment of the impact of the project may be carried out by an assessor appointed either by the Beneficiary or the Commission once the project has been completed.
Article 9 Project modification
1. Any modification to the approved project shall require the approval of the Commission by way of a modifying decision or by exchange of letters between the Beneficiary and the Commission services.
2. Expenditure relating to a physical object introduced in the project by way of a modification is eligible from the date of approval of the modification by the Commission.
3. Any modification to the project described in the Annex which affects the content of the operational programme Regional Competitiveness, will necessitate not only a Commission modifying decision concerning the project, but also a decision concerning modification of the operational programme. Therefore, such project modification requests are receivable only if submitted in parallel with the necessary request for a modification of the operational programme.
4. Any major modification to the project, as described in the Annex requires the approval by the Commission by way of a modifying decision. Such modifications must be supported by a duly motivated request to be submitted before the end of eligibility period referred to in Article 3 above.
A modification is considered major when it involves:
a) a change in any of the elements described in points 5 (Project Description) and 6 (Objectives) of the Annex; or
b) any change in the amount of IPA contribution allocated to the project; or
c) a change in the eligible expenditure of the project; or
d) a substantial change in the physical characteristics or the functional purposes of the project, which alter its objectives, including the addition of a physical component not covered by the original decision; or
e) a change in the conditions of ownership or operation of the project.
5. Any minor modification to the project can be approved by way of an exchange of letters between the Beneficiary and the Commission services, on the basis of a duly motivated proposal to be submitted before the end of eligibility period referred to in Article 3.
Except in cases referred to in paragraph 4, an amendment is considered minor when it concerns:
a) an extension to the period of implementation initially envisaged in the project application; or
b) amendments to the Indicative Work Schedule/Expenditure Plan that do not fall under paragraph 4 point c )above; or
c) a change to the physical characteristics or functional purposes of the project that does not affect its overall objectives.
6. The Sectoral Monitoring Committee shall be informed about major and minor project modification proposals.
7. As a general rule, the number of major project modifications requiring a Commission modifying decision should be kept to minimum.
8. Each request for a modification, be it major or minor, will be examined by the Commission on a case-by-case basis.
9. The Commission reserves the right to refuse project modification requests which would result in modifications of the operational programme it deems unacceptable.
Article 10 Special Conditions
The Croatian Competition Agency, already pre-consulted, will deliver its final decision as regards the compliance of the project with regards to State aid rules after provision of the establishment Agreement of the BIOCentre operating company.
The European Commission reserves the right to adjust the IPA contribution in case the Competition Agency declares that the project falls under state aid.

5. Project Description
5.1. General description of the physical object of the project
Croatia has a significant R&D potential given by the traditionally well-established scientific base, well established educational base (broad range of curricula) in the field of biosciences, numerous initiatives reasonably well-established application industries (in particular, pharmaceutical industry). However, there is a need for a common technical infrastructure and service portfolio that will support biotech start up business in the most critical phase of the development cycle, minimizing the risk of investment for entrepreneurs and investors and open the access to the commercial exploitation of the scientific results with the biggest market potential.
4 The Croatian Government plans to adopt a Regulation converting BICRO Ltd, registered as a commercial company, into an State Agency.
The BIOCentre will address the aforementioned structural gaps and create a comprehensive system of support to biotechnology and life sciences start-ups in Croatia, providing R&D and business facilities, expertise and services necessary for technology business incubation and support, with a link to Croatian, regional and international R&D institutions and companies.
This project addresses specialized needs of target groups in the following 5 areas of activity: infrastructure, incubation support, technology transfer, education & training and networking. The main target groups of the BIOCentre are start-up companies (i.e. spin-offs from universities or other research institutions) operating in the field of biotechnology and life sciences. Moreover, the facility and its services should be offered to existing companies and SMEs as well as national and international research institutions and groups for the implementation of innovative projects with significant commercial potential.
The main target regions from which clients (in particular start-up companies) are to be recruited are firstly Croatia, secondly Southeast Europe and thirdly (if possible) Central and Eastern Europe. None of these regions have developed similar facilities as those which are to be offered through the BIOCentre. It is thus expected that the BIOCentre will serve as a leading incubator, knowledge generator and a networking channel for outstanding biotechnology and life sciences initiatives in Croatia and South East Europe.
The BIOCentre, based on Zagreb university campus, will provide different services :
- BIOFacility - Physical infrastructure: Office space, Laboratory space, equipped Central Laboratory Unit
- BIOIncubation - Programme for business development, mentorship, specified services and financial support for academic entrepreneurship, start-up and incubation
- BIOTransfer - Programme for technology transfer supporting cooperative R&D projects between national and international companies and research institutions, with a focus on the up-scaling process of new bio-products
- BIOEducation - Business and technical training courses for specific know-how, methods and new technologies
- BIONetwork - Programme for cooperation, regional networking and international marketing of biotechnology and life sciences in Croatia
5.2. Technical description of the infrastructure investment
Within a financial support from the Instrument of Pre-accession Assistance the following actions will be conducted:
a) Works : The BIOFacility, as the technology core of the BIOCentre, will consist of three main segments:
- An equipped Central laboratory unit (CLU) will provide central laboratory services. The CLU is conceptualized to offer complete process development facilities necessary for bio-product development in line with regulatory requirements necessary to develop, commercialize and register new products. The CLU will comprise different laboratories and accompanying technical rooms and services.
- Qualified laboratory spaces organized in 10 modules per 100m2 (suitable to divide in 25m2 or 50m2labs if necessary). They will be suitable for accommodation of up to 15 companies at any given time. Laboratories will only provide basic utilities, whereas the tenants will need to provide their own equipment.
- The BIOFacility will also have available office spaces for up to 15 start-ups with up to 15 employees, with basic office equipment – a ‘start-up kit’ for new companies –
telecommunications and hosted IT service – 3 smaller conference rooms for business meetings, also equipped with AV links, projector and white boards.
In total, the BIOCentre should have about 5 330 square meters of gross floor area and about 4 457 square meters of usable floor area. The spaces are planned with enough flexibility that after the planning period of the Centre the allocation of the spaces may vary and be adapted to the final needs of the companies.
b) the Supervision of works and installation of equipment will be undertaken during the whole phase of construction, starting one month before the commencement of works and finishing one month after the building and surrounding infrastructure are fully operational – independent consultants will be employed to supervise works.
c) Supply of equipment - as the construction of the incubator will be coming to its end, the laboratories and offices should be equipped. The Central Laboratory Unit (CLU) will provide central laboratory service and is the “heart” of the BIOCentre. The CLU is conceptualised to offer complete process development facilities necessary for bio-product development in line with regulatory requirements necessary to develop, commercialise and register new products. Therefore it will be equipped with latest, “state of the art” equipment. Laboratories organized in 10 modules will also be offered and they will be unequipped apart from basic utilities. Office spaces with basic office equipment will be available for up to 15 start-ups, three small conference rooms with audio video (AV) conference links, projectors and white boards.
d) Technical assistance will be used for activities that will establish centres portfolio for each stage of development: pre-incubation, incubation, preparation of procedures of the Centre (selection & graduation criteria), development of Centres curricula and business development consultancy and education services. Special attention will be given to the development of the marketing strategy of the BIOCentre in order to implement appropriate strategy for the services and capabilities of the BIOCentre as well as development of web pages and quality management support.
6. OBJECTIVES
By linking science and business in one of the most propulsive technologies, the BIOCentre will contribute to industry competitiveness of high value added sectors of the Croatian economy and emergence of new knowledge-based SMEs.
The establishment of the BIOCentre will also have an important impact on the innovation system in Croatia:
• General increase of R&D and technology transfer in different industrial branches, i.e. increase of the R&D investments by the private sector.
• Development of high-tech small and medium businesses (SMEs).
• Driving existing industries towards new products, i.e. fostering the growth of the industry sector in Croatia and increasing competitiveness of the traditional industrial branches, increasing the innovation rate in the existing industries.
• Positioning of Croatia as a technology site i.e. strategic diversification from other transition countries that are strategically establishing as low-cost production countries.
Those four aspects have the highest priority for Croatia in terms of reaching the EU R&D and innovation standards and could establish BIOCentre as a role model for other countries in South East Europe.
Specific project objectives are:
• The development of common technical infrastructure and service portfolio that will support biotech start-up businesses (as a precondition of specific activities of the BIOCentre) and
• The development of biotech start-ups through incubation, contract research and associated services

9. Summary of the Main results of the Economic and social cost-benefit analysis
According to the Cost benefit Analysis (CBA) carried out by Croatian Authorities, the principal indicators of the economic and social cost benefit analysis are as follows:
- the estimated ENPV for the project is EUR 7 526 725,71 and the social discount rate used is 5,5%;
- the estimated Benefit/Cost ratio is: 1,20;
- the estimated Economic rate of Return is: 8,3%
10. Summary of the financial analysis
The main conclusions of the financial analysis are as follows :
- the FNPV for the project is estimated EUR -16 490 276,55;
- the FIRR is estimated at –3,97 %;
- the eligible expenditure (funding gap) as calculated in accordance with Articles 17 and
19 of the Financing Agreement is set as EUR 16 376 410;
- the IPA contribution is set as EUR 13 919 949.

12. Financial sustainability and affordability
The financial analysis shows that the project itself is not financially self-sustainable. It needs not only the European Union assistance prior during its start-up, but also a firm and long-term financial commitment by its founder to cover any operational losses during the BIOCentre operating time.
The Ministry of Science, Education and Sports of Croatia has delivered a statement concerning the financing of the BIOCentre project for the period 2011-2015, in a letter to the European Commission dated 3 November 2010.
It is assumed that for the sake of the project sustainability, this financial commitment will be renewed if necessary after this period.
Should this financial commitment be born by (an)other project stakeholder(s), the European Commission would be notified accordingly.
The sustainability of the project is conditioned to the continuous commitment and contributions of all project stakeholders from academic, public and private sectors, the development of marketing and networking activities as well as the adoption of an appropriate pricing strategy.
Setting affordable prices is crucial to ensure early and long-standing sustainability of the project, as well as the emergence as well as development of knowledge-based SMEs in the biotechnological sector. It is also considered by the European Commission as a way to channel the IPA financing assistance to the SMEs, end-users of the project.
As stated within the BIOCentre project application, the premises and services will be first offered according to the market conditions. However, the beneficiary may decide to set more
convenient pricing conditions, in line with the terms of the Decision on the Publication of Rules on Low-cost aid ("Official Gazette" No. 45/07). In such case, the Ministry will provide required information to the Croatian Competition Agency.
13. Operation and Maintenance
The management of the BIOCentre will be entrusted to the operating company BICRO BIOCentre Ltd, to be set up for the purpose of the project. Shareholders of the company will be BICRO Ltd, the University of Zagreb and the City of Zagreb.
The signature of the establishment Agreement will be effective after the Commission decision on the BIOCentre Major Project, and prior to the signature of the Bilateral Project Agreement.
The scope of activities of the newly founded company is the management, promotion and running of the operations for the BIOCentre users. All revenues of the company will be reinvested into operations of the BIOCentre, so as to cover the operational costs and increase the quality of services.
14. Summary of the Main findings of the Environmental impact Assessment
The Ministry of environmental protection, physical planning and construction consulted confirmed by letter dated 17 May 2007 that the project components (laboratories, incubator, office space) are not listed under Appendix 1 of the Environmental Impact Assessment Ordnance (Official Gazette, Nos. 59/00, 136/04 and 85/06). Therefore, no environmental impact assessment is needed for this project.

The EC reserves the right to adjust IPA contribution in case the Competition Agency declares the project falls under the state aid as well as Croatian Competition Agency (CCA) will issue its final decision as regards the compliance of the project with the national State Aid rules .
16. Involvement of IFIs
No International Funding Institution will be involved during the implementation of the project.
17. Publicity Measures
As the Operation BIOCentre is a part of the Regional Competitiveness Operational Programme, publicity actions of this project are integral part of the Communication Action Plan for the Regional Competitiveness Operational Programme (RCOP).
Furthermore, the external consultants contracted under the technical assistance component will assist BICRO and the BIOCentre management in the development and implementation of a marketing and communication strategy towards each of the target groups (researchers and academic institutions, academic spin offs, young innovative companies, SMEs and corporations).
In order to reach targeted groups of project beneficiaries, a number of activities will be designed to raise general public awareness on EU participation in the project and to raise general public awareness on project purpose.
Following tools will be used: press releases, display panels, website, information events, development of a project visual identity and printing publicity materials i.e. leaflets.
