RESUMPTION OF SUPPLY. In the event that the Contract is terminated for any reason, the Supplier undertakes to ensure the reversibility of all or part of the Supply so that ARaymond, or any third party authorized by ARaymond, can obtain all or part of the Supply in accordance with the provisions of Art. 5.3 of these General Conditions. In this respect, the Supplier undertakes to notify ARaymond of any change in the Supply, any transition from a standard Supply to a spare part Supply, or any interruption of the Supply, with at least twelve (12) months’ notice, unless otherwise agreed between the Parties. The Supplier also undertakes to communicate to ARaymond without delay any information (whether or not protected by an Intellectual Property Right or by other rights) necessary for the resumption of all or part of the Supply intended for ARaymond, or for third parties authorized by same, in the event that the Supplier provides Supplies that are defective, non-Compliant or uncompetitive for any reason, or the Supplier transitions from a standard Supply to a spare part Supply, or the Supplier interrupts the Supply, or the Supplier intends to make use of the provisions regarding Force Majeure, or one of the Parties appeals or wishes to appeal under the provisions of Art. 15.2, or, more generally, in the event that the circumstances arising from a disclosure request by ARaymond entail a risk of slowing down or disrupting the operations of XXxxxxxx’x production chain.
