Overeenkomsten tot xxxxxxxx van digitale inhoud[1] Samenvatting
Consumenten én professionals maken in steeds grotere mate gebruik van digitale inhoud, die vaak via internet of smartphone geleverd wordt. Onduidelijk is vaak hoe de overeenkomst op basis waarvan de digitale inhoud geleverd wordt, moet xxxxxx gekwalificeerd. In deze bijdrage wordt ervoor gepleit om specifieke regels in het kooprecht op te nemen voor dergelijke overeenkomsten en daarmee ons vermogensrecht eindelijk de 21e eeuw in te voeren.
1.Inleiding
In de afgelopen 10-15 jaar heeft de consumptie van digitale inhoud (digital content) door consumenten van alle leeftijden en door professionals een xxxxx vlucht genomen. Steeds meer mensen beschikken over smartphones met mobiel internet, het is mogelijk om door middel van streaming online films of televisie te kijken of radio te luisteren, en muziekfiles, apps en ringtones kunnen xxxxxx gedownload. Het gebruik van digitale inhoud, en het sluiten van overeenkomsten daarover, behoort inmiddels voor veel consumenten tot de normaalste zaken van de wereld.
Professionals als juristen ruilen hun abonnementen op reeksen van stoffelijke handboeken en tijdschriften steeds meer in voor digitale versies daarvan, die via virtuele bibliotheken zo nodig ook thuis of op het vakantieadres geraadpleegd kunnen xxxxxx. En xx xxxxxx kapitalen verdiend met het uitbrengen van online games, die tegen betaling of tegen het moeten gedogen van betaalde advertenties xxxxxx gespeeld door kinderen van 5 tot 80 jaar. Kortom: de virtuele wereld en de fysieke wereld zijn volkomen met elkaar vermengd geraakt.
De regelgeving heeft geen gelijke tred kunnen houden. In veel Europese lidstaten is de juridische kwalificatie van ‘digitale inhoud’ en ‘overeenkomsten tot xxxxxxxx van digitale inhoud’ onduidelijk en omstreden, hetgeen doorwerkt in de toepassing van regels over de bedenktijd bij op afstand gesloten overeenkomsten, bij de toepassing van de materieelrechtelijke regels bij gestelde tekortkomingen en bij de vraag xxxxx remedies van toepassing zijn. In deze bijdrage betoog ik dat (afgezien van bijzondere onderwerpen als de informatieplicht en de bedenktijd) het kooprecht in beginsel geschikt is om toegepast xx xxxxxx op overeenkomsten tot xxxxxxxx van digitale inhoud. In par. 2 ga ik in op het belang van de kwalificatie naar geldend recht, waarna ik in par. 3 inga op de toepassing van de conformiteitsnorm (3.1) en op de toepassing van het kooprecht op xx xxxxxxxx van ‘gratis’ digitale inhoud (3.2). Ik sluit af met enkele xxxxx opmerkingen.
2.Kwalificatie van digitale inhoud en belang daarvan: zaak of dienst?
Uit een rechtsvergelijkend onderzoek dat ik samen met collega’s uit Amsterdam in opdracht van de Europese Commissie heb uitgevoerd,[3] wordt duidelijk dat in veel lidstaten xxxxx rechtsonzekerheid bestaat over de vraag of overeenkomsten voor xx xxxxxxxx van digitale inhoud moeten xxxxxx aangemerkt als overeenkomsten tot xxxxxxxx van een xxxx xxx wel als overeenkomsten tot xxxxxxxx van diensten.[4] Deze rechtsonzekerheid leidt tot problemen in de rechtspraktijk omdat de kwalificatie van digitale inhoud als zaak of dienst veelal beslissend is voor het antwoord op vragen of en zo ja: xxxxx informatieverplichtingen van toepassing zijn, of de leverancier van de digitale inhoud aansprakelijk xxx xxxxxx gehouden voor verborgen gebreken of non-conformiteit, xxxxx remedies beschikbaar zijn bij xxxxx gebreken, of een afnemer die consument is recht heeft op een bedenktijd, etc. Waar intuïtief wel
onderscheid tussen zaken en diensten xxx xxxxxx gemaakt bij xx xxxxxxxx van een film op een DVD tegenover xx xxxxxxxx van dezelfde film door middel van streaming over het internet, is dat veel moeilijker bij een reeks van producten die noch echt een zaak, noch echt een dienst zijn. Hoe zou bijv. een online te spelen game moeten xxxxxx gekwalificeerd dat bestaat uit een op een CD geleverde en op de eigen computer te installeren installatiesoftware om het spel te activeren, gecombineerd met de persoonlijke account van de speler die op de server van de aanbieder staat en niet op de eigen computer xxx xxxxxx gedownload, met een maandelijks abonnement erbij? Computerapplicaties, zoals de nieuwste versies van bijvoorbeeld Word, kunnen op DVD xxxxxx geleverd, maar vergen veelal een xxxxxxxxx verbinding met het internet om optimaal (of zelfs enigszins) xx xxxxxx xxxxxx gebruikt. Het ligt voor de hand dat het onderscheid tussen zaken en diensten met de opkomst van cloud computing — waarbij de digitale inhoud niet meer wordt bewaard op de eigen computer van de gebruiker maar op een server van de handelaar en waarbij de gebruiker slechts toegang wordt verschaft tot een gepersonaliseerde account nog verder zal verwateren en daarmee nog problematischer xxx xxxxxx.
Waar zaken en diensten steeds meer met elkaar verweven raken, is het mijns inziens niet (xxxxxx) afdoende om de kwalificatie van de overeenkomst tot xxxxxxxx van digitale inhoud als koopovereenkomst af te doen ketsen op de traditionele, maar inmiddels arbitrair geworden grond dat bij een koopovereenkomst de verkoper zich verbindt ‘een zaak’ te leveren (art. 7:1 BW). Dat deze eis als achterhaald xxx xxxxxx beschouwd, blijkt ook al uit het xxxx dat een koop volgens art. 7:47 BW ook betrekking kan hebben op een vermogensrecht. Kennelijk is het onstoffelijke karakter van het voorwerp van de overeenkomst geen reden om het kooprecht niet toe xx xxxxxx.
3.Toepassing van het kooprecht
Hoewel lidstaten worstelen met de kwalificatie van overeenkomsten tot xxxxxxxx van digitale inhoud, wordt in de meeste rechtsstelsels bij kwaliteitsproblemen ‘gewoon’ de conformiteitsnorm toegepast, zoals bij ons voor xx xxxx van ‘gewone’ zaken gecodificeerd in art. 7:17 BW.[5] Die norm lijkt flexibel genoeg om rekening xx xxxxxx met de verschillen tussen de verschillende soorten overeenkomsten tot xxxxxxxx van digitale inhoud, zoals zij ook flexibel genoeg is om xx xxxxxx toegepast op uiteenlopende zaken als auto’s, meubels, speelgoed en levensmiddelen.
Mijns inziens zou op dergelijke overeenkomsten xxx ook het kooprecht toegepast moeten xxxxxx, zij het dat deze
regeling op een aantal punten — met name ten aanzien van de informatieverplichtingen en de regeling van de bedenktijd — moet xxxxxx aangepast aan de bijzondere aard van het voorwerp van de overeenkomst. Die aanpassing is inmiddels al in aantocht: met de recente aanvaarding van de Richtlijn consumentenrechten door xx
Xxxx van Ministers zal binnen afzienbare termijn op deze punten een afzonderlijke regeling gelden.[6] In deze bijdrage beperk ik mij daarom tot enkele opmerkingen over non-conformiteit van de digitale inhoud (3.1) en xx xxxxxxxx van ‘gratis’ digitale inhoud (3.2). Wegens ruimtegebrek zal ik niet ingaan op de beschikbare remedies bij non-conformiteit en evenmin op de noodzaak tot bescherming van handelingsonbekwame minderjarigen, met name in grensoverschrijdende gevallen.[7]
3.1. Non-conformiteit
Zoals hierboven aangegeven wordt in de meeste rechtsstelsels voor de beoordeling van de prestatie van de leverancier van de digitale inhoud ‘gewoon’ de conformiteitsnorm toegepast. Kernprobleem bij xx xxxxxxxx van digitale inhoud is xxx ook niet de conformiteitsnorm zelf, maar wanneer de geleverde digitale inhoud niet aan de legitieme verwachtingen van de consument beantwoordt. Daarbij geldt dat in deze op de consument de bewijslast rust. De bewijslast voor de consument en de beoordeling door de rechter of de consument aan die bewijslast heeft voldaan, wordt normaal gesproken vereenvoudigd door xx xxxxx dat de digitale inhoud geschikt moet zijn voor het normale gebruik daarvan. Xxxxxx xxx bij ‘gewone’ zaken is het vaak onzeker wat de
consument redelijkerwijs mag verwachten van de digitale inhoud.[8] De verwijzing naar het ‘normale gebruik’ verwijst naar een standaard waartegen het gebruik dat deze consument wil maken van de gekochte zaak wordt gemeten. Het probleem voor overeenkomsten tot xxxxxxxx van digitale inhoud is dat een dergelijk niveau vaak (nog) niet bestaat. Dit heeft verschillende oorzaken: digitale inhoud is een relatief nieuw verschijnsel, er zijn zeer verschillende soorten van digitale inhoud met een xxxx niveau van productdifferentiatie, de snelle technologische ontwikkeling van zowel de digitale producten zelf als de apparaten waarop deze kunnen xxxxxx
gebruikt en de verschillende voorwaarden waaronder digitale inhoud wordt aangeboden. Bij gebreke aan een duidelijke standaard xxxxxx de legitieme verwachtingen van de consument in de praktijk voor een groot xxxx beïnvloed door uitingen van xx xxxx van de industrie. Stellingen van die zijde dat een bepaald gebruik van de digitale inhoud niet of slechts in beperkte mate mogelijk is, — of die mededelingen nu gedreven xxxxxx door beperkingen van technische aard of door zakelijke belangen — verworden daarmee bijna tot een self-fulfilling
prophecy. In dit opzicht is de conformiteitsnorm niet vrij van manipulatie door de handelaar.[9]
In de praktijk kan onderscheid xxxxxx gemaakt tussen drie (elkaar deels overlappende) soorten conformiteitsproblemen: problemen met betrekking tot toegankelijkheid, functionaliteit en compatibiliteit, kwaliteitsproblemen en veiligheidsgebreken. De eerste categorie problemen komen in de praktijk het vaakst
voor.[10] Toegankelijkheidsproblemen kunnen het gevolg zijn van het gebruik van technische beveiligingsmaatregelen (TPMs, technical protection measures) en Digital Rights Management, door de incompatibiliteit van formats (digitale inhoud bestemd voor een X-box van Microsoft kan niet xxxxxx gebruikt op de Playstation van Sony), en door gebruiksbeperkingen door het gebruik van regiocodes in DVD’s en Blu-ray- discs en -spelers. Veel van deze problemen kunnen xxxxxx voorkomen door een goede informatievoorziening, maar hieraan is het zojuist geschetste probleem van de self-fulfilling prophecy verbonden.
De ruimte ontbreekt hier om op alle conformiteitsproblemen in te gaan. Xx xxxxx hier twee voorbeelden kort uit: het ‘recht’ om een privé-kopie te maken, en de gevolgen van de snelle technologische ontwikkeling van digitale producten en de apparaten waarop deze kunnen xxxxxx gebruikt. Door middel van beveiligingsmaatregelen en gebruiksbeperkingen kan het maken van kopieën voor privé-gebruik xxxxxx verhinderd of bemoeilijkt. Empirisch onderzoek toont aan dat consumenten in het algemeen verwachten
dergelijke privé-kopieën xx xxxxxx maken.[11] Die verwachting berust echter niet op een stevige
juridische basis.[12]Art. 5 van de Richtlijn informatiemaatschappij uit 2001[13] bepaalt dat lidstaten de mogelijkheid om een of meer kopieën voor privé-gebruik kunnen opnemen in hun wetgeving, maar een algemeen recht om kopieën voor privé-gebruik xx xxxxxx maken bestaat in geen enkel Europees land. Bovendien kan daar waar de uitzondering voor privé-gebruik wel in nationale wetgeving is opgenomen en de auteursrechthebbende een billijke compensatie voor dat gebruik ontvangen, dat recht niet xxxxxx afgedwongen voor zover de auteursrechtelijk beschermde werken on demand xxxxxx aangeboden en de consument heeft
ingestemd met de contractuele voorwaarden voor xx xxxxxxxx daarvan.[14] Het is echter onduidelijk of de aanvaarding van algemene voorwaarden door de consument in een click-wrap- of browse-wrap-licentie volstaat voor het verlies van het recht.[15] Waar de auteursrechthebbende gebruikmaakt van een technische beschermingsmaatregel waarmee in ieder geval een aantal privé-kopieën xxx xxxxxx gemaakt, is het
eventuele recht op privé-kopiëren bovendien met het maken van die enkele kopieën ook uitgeput.[16] Voor zover een dergelijk recht bestaat, kan het dus gemakkelijk xxxxxx ondermijnd door de auteursrechthebbende. Er bestaat op dit xxxx xxx ook een groot verschil tussen de verwachtingen van consumenten en legitimiteit daarvan.
Onduidelijk is het antwoord op de vraag of digitale inhoud xxx xxxxxx beschouwd als non-conform ingeval de digitale inhoud geschikt was voor gebruik op het moment xxx xxxxxxxx, maar snel verouderd is door technologische ontwikkelingen. Het uitgangspunt moet uiteraard zijn dat de digitale inhoud moet kunnen xxxxxx gebruikt met een besturingssysteem en software die als normaal of gebruikelijk kunnen xxxxxx beschouwd op het moment van contractsluiting. Wat de consument in dit opzicht redelijkerwijs mag verwachten, verschilt van tijd tot tijd. Een consument mag tegenwoordig niet meer verwachten dat nu gekochte software ook xxx xxxxxx gebruikt op een computer die gebruikmaakt van MS-DOS als besturingssysteem. Evenmin mag hij verwachten dat de software xxx xxxxxx gebruikt op een computer die gebruikmaakt van een besturingssysteem dat nog niet algemeen beschikbaar is op de markt, tenzij de handelaar de indruk heeft gewekt dat de software daar wel geschikt voor is. Het enkele xxxx xxxxxx dat een handelaar de consument voorafgaand aan de sluiting van de overeenkomst meldt dat de digitale inhoud niet volledig op compatibiliteit met bestaande hardware is getest, ontslaat de handelaar echter niet van alle aansprakelijkheid. Als dat xxxxxx xxx zijn, zou dat betekenen dat de handelaar met die enkele mededeling
aan aansprakelijkheid zou kunnen ontsnappen, zelfs in gevallen waar de consument redelijkerwijs zou kunnen verwachten dat de digitale inhoud wel goed zou functioneren op de hardware waarvoor zij bestemd
is.[17] Dat zou een premie vormen op het nalaten van een deugdelijk onderzoek naar xx xxxxx xxxxxxx van de digitale inhoud.
Een verwante vraag is hoe lang de digital inhoud geschikt moet blijven voor ‘normaal gebruik’. In de praktijk
xxxxxx consumenten vaak in staat gesteld om bijv. software en apps te updaten teneinde ervoor te zorgen dat de consument gebruik kan blijven maken gebruik van de gekochte digitale inhoud. Ook wanneer geen uitdrukkelijk afspraken zijn gemaakt over het verzorgen van updates (al xxx niet xxxxx bijbetaling) xxx xxxxxx betoogd dat de consument in ieder geval gedurende een redelijke periode gebruik moet kunnen maken van de digitale inhoud. Wanneer de digitale inhoud normaal gesproken gedurende een bepaalde periode moet kunnen xxxxxx gebruikt en dat gebruik gedurende deze periode niet xxxxxx mogelijk blijkt te
zijn, kan dit mijns inziens als non-conformiteit van de digitale inhoud xxxxxx aangemerkt.[18] Aan de andere xxxx xxx de consument in redelijkheid niet verwachten dat dergelijke updates voor onbeperkte tijd beschikbaar blijven, zelfs niet tegen betaling, omdat vanaf een bepaald moment het commercieel onhaalbaar zal zijn om dergelijke updates te verzorgen als het digitale product zelf achterhaald is. In veel gevallen zijn het echter niet zozeer de technologische ontwikkelingen van de hardware of van andere software, maar externe factoren die leiden tot de veroudering van de digitale inhoud. Goede voorbeelden zijn digitale routekaarten en anti-virus programma’s: als deze niet regelmatig xxxxxx bijgewerkt, zijn zij na verloop van tijd onbruikbaar geworden. Gewoonlijk xxxxxx dergelijke producten geleverd met ‘gratis’ updates gedurende
een bepaalde periode. Wanneer dergelijke updates niet xxxxxx geleverd, levert dat natuurlijk wanprestatie op.[19]
3.2. Overeenkomsten tot xxxxxxxx van digitale inhoud zonder prijs in geld
Toepassing van het kooprecht op overeenkomsten tot xxxxxxxx van digitale inhoud lijkt problematisch waar het gaat om overeenkomsten tot xxxxxxxx van digitale inhoud zonder dat daar een betaling tegenover staat. Xxxxxxxxxxxxxxxxxx zijn volgens art. 7:1 XX xxxxxx overeenkomsten waarbij xx xxxxx xxxx verbindt ‘een prijs in geld te betalen’. Dat uitgangspunt wordt echter al ondergraven door de bepaling van art. 7:49 en 7:50 BW, op grond waarvan de betaling ook in natura (door het afgeven van een andere zaak) kan plaatsvinden. Ik zie niet in waarom dat bij overeenkomsten tot xxxxxxxx van digitale inhoud om niet (‘gratis’) xxxxxx xxx moeten zijn. Op xx xxxxxxxx van dergelijke digitale inhoud is het bekende spreekwoord ‘voor niets gaat de zon op’ van toepassing: xx xxxxxxxx van digitale inhoud vindt in werkelijkheid niet ‘voor niets’ plaats.
Weliswaar wordt geen geld betaald voor xx xxxxxxxx, maar de meeste specialisten op het gebied van het internet gaan xxxxx uit dat de nieuwe eenheid van betaling op het internet bestaat uit (de handel in) persoonlijke gegevens.[20] In ruil voor xx xxxxxxxx van digitale inhoud verzamelen bedrijven, expliciet via registratieformulieren of stiekem via cookies, de persoonlijke gegevens van hun klanten. Op basis van de aldus verkregen informatie bieden bedrijven gepersonaliseerde reclame aan, waarmee zij winst maken. De
persoonlijke informatie die wordt verschaft in ruil voor dergelijke ‘gratis’ digitale inhoud vertegenwoordigt dus in
werkelijkheid een geldelijke waarde, en de betaling heeft alleen op een andere xxx de gebruikelijke wijze plaatsgevonden. Bovendien maken veel business modellen, bijvoorbeeld bij apps, gebruik van een combinatie van een gratis product met reclame en, tegen betaling van een xxxxx bedrag in geld, een reclamevrije of aangeklede xxxxxx van dezelfde digitale inhoud. Het lijkt weinig zinvol om de ‘gratis’ geleverde digitale inhoud op basis van andere maatstaven te beoordelen xxx xx xxxxxxxx van in geld betaalde digitale inhoud. Dat laat onverlet dat bij de invulling van de conformiteitsnorm wel rekening xxx xxxxxx gehouden met het xxxx dat geen geld is betaald. Dat is echter niet echt iets nieuws: bij de invulling van de norm wordt altijd al rekening gehouden met de hoogte van de prijs, omdat die de verwachtingen die xx xxxxx van de zaak mag hebben, beïnvloed.
4.Conclusie
Op overeenkomsten tot xxxxxxxx van digitale inhoud kan het kooprecht zonder al te veel problemen xxxxxx toegepast. Natuurlijk moeten er op sommige punten aanpassingen plaatsvinden. De Richtlijn consumentenrechten xxxx xx xxxxxx ten aanzien van informatieverplichten en bedenktijd. Voor de toepassing van het kooprecht zal ook
niet al te krampachtig moeten xxxxxx omgegaan met begrippen als ‘zaak’, ‘prijs in geld’, en zullen begrippen als ‘xxxxxxxx’ en ‘risico-overgang’ anders moeten xxxxxx geïnterpreteerd om toegepast xx xxxxxx xxxxxx op digitale producten. Dat neemt echter niet weg dat een duidelijk juridisch kader voor overeenkomsten tot xxxxxxxx van digitale inhoud wenselijk is, ook ter bevordering van de ontwikkeling van de (grensoverschrijdende) markt in deze producten.
Een vraag die nog open staat, is of die erkenning door de Nederlandse wetgever zou moeten gebeuren, of in Europees verband. Dat laatste heeft nadrukkelijk mijn voorkeur, maar ik zie niet waarom we daarop zouden moeten wachten. De Europese wetgever lijkt zijn kaarten voorlopig te zetten op een alternatief systeem van kooprecht: het voorstel voor een optioneel instrument voor contractenrecht, dat in eerdere bijdragen in deze serie
is genoemd, is inmiddels ingediend onder de titel Gemeenschappelijk Europees Kooprecht.[21] Het voorstel bevat een uitgebreide regeling voor overeenkomsten tot xxxxxxxx van digitale inhoud en is ook van toepassing op digitale inhoud die niet in ruil voor de betaling van een prijs in geld wordt geleverd.[22] Het voorstel is zonder meer een stap in de juiste richting. Het nadeel is dat de xxxxxxxx xxxxxx van toepassing zal zijn indien partijen hiervoor kiezen in grensoverschrijdende gevallen.[23] Voor zuiver binnenlandse overeenkomsten en voor grensoverschrijdende overeenkomsten waarin niet gekozen wordt voor het Gemeenschappelijke Europese Kooprecht maar wel Nederlands recht op de overeenkomst van toepassing is, biedt dit geen uitkomst. De
Nederlandse wetgever lijkt dus aan zet om ons privaatrecht op dit terrein eindelijk klaar te stomen voor de 21e eeuw.
