§ 1
1. Umowa niniejsza została zawarta w rezultacie przeprowadzenia postępowania
prowadzonego poniżej progu stosowania ustawy z dnia 11 września 2019 r. Prawo zamówień publicznych (Dz.U. 2021 poz. 1129 z późn. zm.) oraz zgodnie z Regulaminem udzielania zamówień publicznych w Uniwersytecie Xxxxx Xxxxx-Xxxxxxxxxxxx.
0. Przygotowanie i przeprowadzenie postępowania wykonane zostało w sposób zapewniający zachowanie uczciwej
konkurencji i równego traktowania wykonawców.
3. Umowa jest realizowana w ramach projektu Projektu „UMCS Doctoral Schools – Your Success in Globalized World of Science” nr BPI/STE/2021/1/00006/DEC/1.
4. Wynagrodzenie w ramach niniejszej umowy

§ 1
1. This Agreement has been concluded as a result of a procedure conducted below the threshold for application of the Act of September 11, 2019 - Public Procurement Law (Dz. U. of 2021, item 1129, as amended) and following the Regulations for the Award of Public Procurement at Xxxxx Xxxxx-Xxxxxxxxxx University.
2. The preparation and conduct of the procedure were carried out in a manner that ensures fair competition and equal treatment of contractors.
3. The contract is executed within the framework of the Project "UMCS Doctoral Schools - Your Success in Globalized World of Science" Project No. BPI/STE/2021/1/00006/DEC/1.
4. The salary under this Agreement is co-financed by the National Agency for Academic Exchange under the STER-Internationalizations of Doctoral Schools Program.
§ 2
1. The Client orders the Contractor to:

§ 2
1. Zamawiający zleca Wykonawcy:
a) przeprowadzenia 2-dniowego warsztatu z zakresu współpracy promotorów z doktorantami w języku angielskim w
miejscu wskazanym przez Xxxxxxxxxxxxx, w czasie uzgodnionym przez strony w harmonogramie;
b) przygotowanie programu warsztatu
niezbędnego do organizacji warsztatu zgodnie ze wskazaniami Zamawiającego.
2. Szczegółowy zakres świadczonej umowy wskazuje opis przedmiotu zamówienia stanowiący Załącznik Nr 1 do umowy.
3. Zajęcia, o których mowa w ust. 1 lit. a) przewidziane są w ilości 12 godzin
dydaktycznych (godzina dydaktyczna to 45
minut) dla 15 promotorów (3 grupy x 5 promotorów).
4. Wykonawca przeprowadzi zajęcia w okresie
od dnia podpisania umowy do 13 marca 2023
r. w Lublinie zgodnie z harmonogramem, który zostanie ustalony w ciągu 14 dni od daty podpisania umowy.
5. Zamawiający zobowiązuje się zapewnić sale, w tym w szczególności pokryć ewentualne
koszty ich wynajmu, w których będzie możliwe przeprowadzenie zajęć zgodnie z harmonogramem.
6. Wykonawca zapewni w toku prowadzonych działań zachowanie zasady równości szans i niedyskryminacji (w tym osób z
niepełnosprawnościami) oraz zasady równości kobiet i mężczyzn.
§ 3
1. Za prawidłowe wykonanie czynności
określonych w § 2 ust. 1, Strony ustalają dla Wykonawcy wynagrodzenie brutto płatne
miesięcznie wg stawki godzinowej wynoszącej
PLN brutto (słownie:
a) conduct a 2-day workshop on cooperation between supervisors and doctoral students by expert(s) in English at the location
indicated by the Client, at the time agreed by the parties in the schedule;
b) preparation of the workshop program necessary to organize the workshop as indicated by the Client.
2. The detailed scope of the contract to be provided is indicated in the description of the subject matter of the contract, which constitutes Appendix No. 1 of the contract.
3. The classes referred to in section 1 a) are planned in the amount of 12 teaching hours / 1 expert (a teaching hour is 45 minutes) for 15 supervisors (3 groups x 5 supervisors).
4. The Contractor shall conduct classes in the period from the date of signing the agreement until March 13, 2023, in Lublin under the schedule to be determined within 14 days from the date of signing the agreement.
5. The Client agrees to provide classrooms, including to cover the possible costs of their rental, in which it will be possible to conduct classes according to the schedule.
6. The Contractor shall ensure during the activities carried out the principle of equal opportunities and non-discrimination (including people with disabilities) and the principle of equality between women and men.
§ 3
1. For proper performance of the activities specified in § 2 section 1, the Parties agree on gross salary for the Contractor, payable monthly at the hourly rate of PLN gross (in words:

2. Maksymalna liczba godzin wykonania zlecenia w całym okresie obowiązywania umowy nie przekroczy: 12 godzin dydaktycznych.
3. Za wykonanie przedmiotu umowy
Wykonawcy przysługuje wynagrodzenie maksymalne w łącznej wysokości

4. Powyższa kwota jest całkowita i ostateczna i uwzględnia wszystkie należne składki i inne należności budżetowe, które mogą wynikać z realizacji umowy bez względu na to, na której stronie ciąży obowiązek ich odprowadzania.
5. W określonych przypadkach Zamawiający dokona potrącenia z wynagrodzenia podatku dochodowego i składek na ubezpieczenie
społeczne i zdrowotne oraz odpisów na PPK w przypadku przystąpienia Wykonawcy do PPK wg obowiązujących przepisów.
6. Wykonawca zobowiązany jest do
ewidencjonowania na piśmie miesięcznej liczby godzin wykonywania umowy, a jednostka sporządzająca umowę do przechowywania ww. dokumentu.
7. Wypłata wynagrodzenia nastąpi na podstawie przedłożonego przez Wykonawcę rachunku za poprzedni miesiąc kalendarzowy wraz z
ewidencją godzin, o której mowa § 3 ust. 6.
8. Wykonawca zobowiązany jest do
niezwłocznego dostarczenia rachunku ale nie później niż do 3-go dnia miesiąca następującego po miesiącu, za który należne jest wynagrodzenie.
9. Zapłata wynagrodzenia nastąpi do 10-go dnia

2. The maximum number of hours of the execution of the order throughout the term of the contract shall not exceed 12 teaching hours.
3. For the performance of the subject of the agreement, the Contractor shall be entitled to a maximum salary in the total amount of
PLN gross (in words:

4. The above amount shall be total and final and shall include all due contributions and other budget dues that may arise from the performance of the contract regardless of which party is obliged to pay them.
5. In certain cases, the Client shall make deductions from the salary for income tax and social and health insurance contributions, as well as deductions for PPK in case the Contractor joins PPK according to the applicable regulations.
6. The Contractor shall record in writing the monthly number of hours of performance of the contract, and the contracting unit shall keep the above document.
7. Payment of salary shall be made based on a bill submitted by the Contractor for the previous calendar month, together with the records of hours referred to in § 3 section 6.
8. The Contractor shall promptly provide a bill but no later than the 3rd day of the month following the month for which the remuneration is due.
9. Payment of salary shall be made by the 10th day of each month for the previous calendar month of the term of the agreement to bank account No.
10.W przypadku niezłożenia rachunku w
terminie, konsekwencje późniejszej wypłaty wynagrodzenia obciążają Wykonawcę, a
wypłata wynagrodzenia z tytułu umowy przechodzi na kolejny miesiąc.
11.Wykonawca zobowiązany jest złożyć pisemne oświadczenie, dla celów ubezpieczeniowych i podatkowych pod rygorem negatywnych skutków finansowych i prawnych.
§ 4
1. Wykonawca zobowiązuje się do osobistego wykonania przedmiotu umowy z należytą starannością oraz oświadcza, że posiada odpowiednie kwalifikacje do ich wykonania.
2. Wykonawca oświadcza, że stworzone w ramach realizacji umowy utwory (program) zostały wykonane samodzielnie, mają
charakter indywidualny i nie są obciążone jakimikolwiek prawami osób trzecich.
3. Wykonawca ponosi wyłączną
odpowiedzialność z tytułu wad prawnych utworów.
4. Z chwilą przekazania przez Wykonawcę i
przyjęcia przez Xxxxxxxxxxxxx stworzonych w umownych terminach utworów oraz w
ramach wynagrodzenia określonego w § 3 ust. 3 Wykonawca przenosi na Zamawiającego wszelkie autorskie prawa majątkowe do ww. utworów, w tym w
szczególności na następujących polach
eksploatacji:
a) w zakresie utrwalania i zwielokrotniania utworu - wytwarzanie określoną techniką egzemplarzy utworu, w tym techniką
drukarską, reprograficzną, zapisu
magnetycznego oraz techniką cyfrową;
b) w zakresie obrotu oryginałem albo

10. In the event of failure to submit an account by the due date, the consequences of the subsequent payment of remuneration shall be borne by the Contractor, and payment of salary under the contract shall be transferred to the following month.
11. The Contractor shall submit a written statement, for insurance and tax purposes under pain of negative financial and legal consequences.
§ 4
1. The Contractor undertakes to personally perform the subject matter of the contract with due diligence and declares that he is qualified to perform them.
2. The Contractor declares that the works (program) created within the scope of the contract have been made independently, are individual, and are not encumbered by any rights of third parties.
3. The Contractor shall be solely responsible for legal defects in the works.
4. At the time of transfer by the Contractor and acceptance by the Client of the works created within the contractual deadlines and within the framework of the remuneration specified in § 3 section 3, the Contractor transfers to the Client all copyrights to the works, including the following fields of exploitation:
a) in terms of recording and multiplication of the work - production of copies of the work by a specified technique, including printing, reprography, magnetic recording, and digital technique;
b) within the scope of circulation of the original or copies on which the work was fixed - marketing, lending, or leasing of the original

5. Wykonawca przenosi również na
Zamawiającego prawo zezwalania na
wykonywanie zależnego prawa autorskiego.
§ 5
1. W przypadku nienależytego wykonania umowy (w szczególności: nieprzygotowania programu wymienionego w §2 ust. 1 pkt. b), zmniejszenia wymiaru godzinowego zajęć), Wykonawca zapłaci Zamawiającemu karę umowną w wysokości 10% wartości kwoty brutto wskazanej w §3 ust. 3.
2. W przypadku niewykonania umowy w
terminie, tj. niedotrzymania terminów
określonych w harmonogramie, o którym mowa w §2 ust. 4, z przyczyn leżących po stronie Wykonawcy, Wykonawca zapłaci Zamawiającemu karę umowną w wysokości 0,5% wartości wynagrodzenia brutto
określonego w §3 ust. 3 umowy za każdy dzień zwłoki.
3. W przypadku odstąpienia od umowy z powodu okoliczności, za które odpowiada Wykonawca, zapłaci Zamawiającemu karę umowną w wysokości 20% łącznej wartości brutto przedmiotu umowy, określonej w §3 ust. 3.
4. Zamawiający może dochodzić na zasadach ogólnych odszkodowania przewyższającego karę umowną.

5. The Contractor shall also transfer to the Client the right to authorize the exercise of the dependent copyright.
§ 5
1. In case of improper performance of the contract (in particular: failure to prepare the program mentioned in §2 section 1 point b), reduction in the hourly dimension of the classes), the Contractor shall pay to the Client a contractual penalty in the amount of 10% of the gross amount indicated in §3 section 3.
2. In the event of non-performance of the contract on time, i.e., failure to meet the deadlines specified in the schedule referred to in §2 section 4, for reasons attributable to the Contractor, the Contractor shall pay to the Client a contractual penalty in the amount of 0.5% of the value of the gross amount indicated in §3 section 3 of the contract for each day of delay.
3. In the event of withdrawal from the agreement due to circumstances for which the Contractor is responsible, the Contractor shall pay to the Client a contractual penalty in the amount of 20% of the total gross value of the subject of the agreement, as specified in
§3 section 3.
4. The Client may claim compensation over the contractual penalty on general terms.
5. The Contractor agrees that the Client may deduct the contractual penalties from the
5. Wykonawca wyraża zgodę na potrącenie przez Xxxxxxxxxxxxx kar umownych z przysługującej Wykonawcy należności na
podstawie noty obciążeniowej wystawionej przez Zamawiającego.
6. Niniejsza umowa ulega rozwiązaniu w przypadku wygaśnięcia lub rozwiązania
umowy o dofinansowanie projektu zawartej pomiędzy NAWĄ a Zamawiającym. W takim przypadku obie strony są zwolnione z
obowiązków wynikających z niniejszej umowy w części, w której nie została ona wykonana.
7. W przypadku wskazanym w ust. 6 obie strony zachowują wszelkie roszczenia wynikające z wykonania umowy do chwili jej rozwiązania.
§ 6
1. Każda ze stron może wypowiedzieć umowę z zachowaniem 14-dniowego okresu wypowiedzenia.
2. W przypadku systematycznego lub rażącego niewywiązywania się przez Wykonawcę z obowiązków określonych umową, Zamawiający może odstąpić od umowy w terminie 14 dni od powzięcia wiadomości o przyczynie odstąpienia.
§ 7
1. W razie niedotrzymania przez Zleceniobiorcę warunków niniejszej umowy, Zleceniodawcy przysługuje prawo jednostronnego rozwiązania umowy i żądania pokrycia przez Zleceniobiorcę powstałych z tego tytułu szkód i strat bez potrzeby wzywania.
2. W przypadku rozwiązania umowy przed upływem terminu, na który została zawarta, Zleceniobiorcy przysługuje wynagrodzenie za czynności prawidłowo wykonane do dnia rozwiązania umowy i odebrane przez

§ 6
1. Either Party may terminate the contract by giving 14 days' notice.
2. In the event of systematic or flagrant failure by the Contractor to comply with the obligations outlined in the contract, the Client may withdraw from the contract within 14 days of becoming aware of the reason for withdrawal.
§ 7
1. In the event of failure by the Contractor to comply with the terms and conditions of this agreement, the Client shall have the right to unilaterally terminate the agreement and demand that the Contractor cover the resulting damages and losses without the need to call.
2. In the event of termination of the contract before the expiration of the term for which it was concluded, the Contractor shall be entitled to payment for activities properly performed up to the date of termination and received by the Client.
§ 8
1. The Contractor shall be obliged to carry out

Wykonawca zobowiązany jest do realizacji zleconych czynności z zachowaniem należytej staranności, jak również zabezpieczenia i zachowania w tajemnicy - zarówno w trakcie trwania umowy, jak i po jej ustaniu - wszelkich informacji i danych osobowych, nie będących jawnymi, do których uzyska dostęp w związku z realizacją powierzonych zadań.
2. Wykonawca ponosi odpowiedzialność z tytułu przetwarzania danych osobowych oraz zastosowania - wynikających z przepisów prawa, w szczególności Rozporządzenia Parlamentu Europejskiego i Rady Unii Europejskiej 2016/679 z dnia 27 kwietnia 2016 r. w sprawie ochrony osób fizycznych w związku z przetwarzaniem danych osobowych i w sprawie swobodnego przepływu takich danych oraz uchylenia dyrektywy 95/46/WE (RODO) - niezbędnych wymogów w celu ochrony przedmiotowych danych, do których uzyska dostęp w związku z realizacją powierzonych zadań przed niepowołanym dostępem, nieuzasadnioną modyfikacją lub zniszczeniem, nielegalnym ujawnieniem lub pozyskaniem, w stopniu odpowiednim do obowiązków związanych z przetwarzaniem przedmiotowych danych. Ma również obowiązek naprawienia szkody z tytułu naruszenia zasad przetwarzania informacji i danych osobowych w przypadku ich zaistnienia.
3. Zamawiający ma prawo kontroli sposobu realizacji zleconych zadań oraz przetwarzania danych osobowych, do których uzyska dostęp Wykonawca.
§ 9
Zamawiający zobowiązuje się do wykonania obowiązków wynikających z art. 304 Kodeksu pracy, a Wykonawca zobowiązuje się do
the commissioned activities with due diligence, as well as to secure and keep confidential - both during the term of the contract and after its termination - all non- confidential information and personal data to which it will gain access in connection with the performance of the commissioned tasks.
2. The Contractor shall be responsible for the processing of personal data and the application - resulting from the provisions of the law, in particular, Regulation 2016/679 of the European Parliament and of the Council of the European Union of April 27, 2016, on the protection of natural persons with the processing of personal data and on the free movement of such data and the repeal of Directive 95/46/EC (RODO) - the requirements to protect the data in question to which it will have access in connection with the performance of the entrusted tasks from any unauthorized access, unwarranted modification or destruction, illegal disclosure or acquisition, to the extent appropriate to the obligations related to the processing of the data in question. He shall also have the obligation to remedy the violation of the rules of processing information and personal data in the event of their occurrence.
3. The Client shall have the right to control how the contracted tasks are carried out and the processing of personal data accessed by the Contractor.
§ 9
The Client undertakes to comply with the obligations under Article 304 of the Labor Code, and the Contractor undertakes to comply with the health and safety rules under Article 304 of the Labor Code.

§ 10
1. Zamawiający dopuszcza zmianę zawartej
umowy w zakresie:
a) zmiany obowiązujących przepisów, jeżeli konieczne będzie dostosowanie treści umowy do aktualnego stanu prawnego;
b) gdy konieczność wprowadzenia zmian będzie następstwem zmian wytycznych lub zaleceń Instytucji, która przyznała środki na sfinansowanie umowy;
c) nastąpi zmiana stawki podatku od towarów i usług na asortyment stanowiący przedmiot umowy;
d) w przypadku wystąpienia siły wyższej (tj.
wojny, stany nadzwyczajne, klęski żywiołowe, epidemie, ograniczenia związane z kwarantanną, embargo, rewolucje, zamieszki i strajki, pożar) uniemożliwiającej wykonanie przedmiotu umowy zgodnie z jej postanowieniami:
- zmiany/ wydłużenia terminu realizacji usługi,
- zmiany zakresu programu oraz formy przeprowadzenia warsztatu.
2. Wszelkie zmiany umowy mogą nastąpić za zgodą obu stron wyrażoną na piśmie, w formie aneksu do umowy, pod rygorem nieważności takich zmian.
3. Inicjatorem zmian może być Zamawiający lub Wykonawca poprzez pisemne wystąpienie w okresie obowiązywania umowy zawierające opis proponowanych zmian i ich uzasadnienie.
§ 10
1. The Client shall allow amendments to the concluded contract in the scope of:
a) changes in applicable regulations, if it will be necessary to adapt the content of the contract to the current state of the law;
b) when the necessity to introduce changes will be a consequence of changes in the guidelines or recommendations of the Institution that granted funds for the financing of the contract;
c) if there is a change in the rate of goods and services tax on the product range constituting the subject of the contract;
d) in the event of force majeure (i.e., wars, states of emergency, natural disasters, epidemics, quarantine restrictions, embargoes, revolutions, riots and strikes, fire) preventing the execution of the subject of the agreement under its provisions:
- change/extension of the term of service,
- change in the scope of the program and the form of conducting the workshop.
2. Any changes to the contract may be made with the consent of both parties expressed in writing, in the form of an annex to the contract, otherwise, such changes shall be null and void.
3. The initiator of changes may be the Client or the Contractor by written request during the term of the contract containing a description of the proposed changes and their justification.
§ 11
§ 11
1. Zamawiający może odstąpić od umowy w trybie natychmiastowym w określonych przypadkach:
a) nastąpi znaczne pogorszenie sytuacji finansowej Wykonawcy, szczególnie w razie powzięcia wiadomości o wszczęciu postępowania egzekucyjnego wobec majątku Wykonawcy;
b) Wykonawca wykonuje umowę
niezgodnie z jej warunkami, w
szczególności nie zachowuje właściwej jakości, terminów i standardu zajęć (co zostanie potwierdzone wynikami ankiet ewaluacyjnych / oceniających);
c) wystąpią istotne zmiany okoliczności powodujące, że wykonanie umowy nie leży w interesie publicznym, czego nie można było przewidzieć w chwili zawarcia umowy;
d) gdy Narodowa Agencja Wymiany Akademickiej wstrzyma z jakichkolwiek przyczyn finansowanie projektu
obejmującego usługi świadczone przez Wykonawcę.
e) wystąpienia siły wyższej
uniemożliwiającej realizację przedmiotu umowy (np. wojna, stan nadzwyczajny, klęska żywiołowa, epidemia,
ograniczenia związane z kwarantanną, embargo, rewolucje, zamieszki i strajki, pożar).
2. W przypadkach określonych w ust. 1 pkt a, c i d Wykonawca może żądać zapłaty
wynagrodzenia jedynie z tytułu wykonania
części umowy do dnia odstąpienia od umowy.
1. The Client may withdraw from the contract immediately in certain cases:
a) there will be a significant deterioration of the Contractor's financial situation, especially in the event of knowledge of the initiation of enforcement proceedings against the Contractor's assets;
b) The Contractor performs the agreement inconsistently with its terms and conditions, in particular, fails to maintain the proper quality, timing, and standard of classes (which will be confirmed by the results of evaluation/assessment surveys);
c) Significant changes in circumstances occur, causing the performance of the contract is not in the public interest, which could not have been foreseen at the time of the conclusion of the contract;
d) when the National Agency for Academic Exchange withholds, for any reason, funding for the project involving the services provided by the Contractor.
e) the occurrence of force majeure preventing the execution of the subject of the agreement (e.g., war, state of emergency, natural disaster, epidemic, quarantine restrictions, embargo, revolutions, riots and strikes, fire).
2. In the cases specified in section 1 items a, c and d, the Contractor may demand payment of remuneration only for the performance of a part of the contract up to the date of withdrawal from the contract.

§ 12
Wykonawca oświadcza, że (właściwe podkreślić):
1) jest pracownikiem UMCS zatrudnionym na podstawie umowy o pracę lub mianowania,
2) jest zatrudniony poza UMCS,
3) jest emerytem/rencistą,
4) jest studentem do 26 roku życia (uczniem szkoły ponadpodstawowej) i nie jest zatrudniony na podstawie umowy o pracę w UMCS,
5) jest doktorantem,
6) jest osoba bezrobotną,
7) umowa nie będzie wykonywana w ramach pozarolniczej działalności gospodarczej.
§ 13
1. W sprawach nieuregulowanych umową mają
zastosowanie przepisy Kodeksu cywilnego.
2. Spory wynikłe na tle niniejszej umowy rozpatrywane będą przez Sąd właściwy miejscowo dla siedziby Zamawiającego.
3. Postanowienia umowy mają charakter rozłączny, a uznanie któregokolwiek z nich za nieważne, nie uchybia mocy wiążącej pozostałych.

§ 12
The Contractor declares that (underline as appropriate):
1) is an employee of UMCS employed under a contract of employment or appointment,
2) is employed outside of UMCS,
3) is a pensioner,
4) is a student up to the age of 26 and is not employed under a contract of employment at UMCS,
5) is a doctoral student,
6) is an unemployed person,
7) the contract will not be performed as part of a non-agricultural business activity.
§ 13
1. In matters not covered by the agreement, the provisions of the Civil Code shall apply.
2. Disputes arising under this agreement shall be considered by the Court having jurisdiction over the seat of the Client.
3. The provisions of the contract shall be separable, and the recognition of any of them as invalid shall not affect the binding force of the others.

UMCS) informuje, że dane zgromadzone w związku z zawarciem umowy będą przetwarzane wyłącznie w celu realizacji przedmiotowej umowy.

Zgromadzone dane nie będą przedmiotem sprzedaży, ani udostępniania podmiotom trzecim, za wyjątkiem uprawnionych na mocy przepisów prawa, nie będą też przekazywane do państw trzecich lub organizacji międzynarodowych, wbrew unormowaniom ogólnego rozporządzenia o ochronie danych osobowych, nie będą w oparciu o nie podejmowane decyzje w sposób zautomatyzowany, nie będą również podlegały profilowaniu.

Lublin (hereinafter: UMCS) informs that the data collected in connection with the conclusion of the contract will be processed only for the contract.
Providing data in the scope resulting from the documents related to the conclusion of the contract and included in the contract itself is voluntary, but necessary to achieve the purpose of processing, without providing data, the conclusion of the contract is impossible. The basis for data processing is the fact that processing is necessary to perform the contract to which the data subject is a party or to take action before its conclusion (Article 6 (1) (b) of the General Data Protection Regulation / GDPR).
According to Art. 15-21 and art. 77 of the general regulation on the protection of personal data, the data subject has the right to access data, rectify it and - in the cases provided for by law - remove or limit processing, object to data processing, as well as submit a complaint to the supervisory body. The collected data will not be sold or made available to third parties, except for those authorized under the law, will not be transferred to third countries or international organizations, contrary to the provisions of the general regulation on the protection of personal data, will not be based on decisions made in a manner automated, they will also not be profiled.
