Common use of The AO Clause in Contracts

The AO. Customer is granted a limited, terminable, non-exclusive and non-transferable license to sublicense Client Licenses in accordance with the TOS solely for the Client’s own internal business purposes against payment of a subscription fee and/ or a recurring fee (Subscription fees), and solely in conjunction with providing the services listed in 15.16. Client Licenses are for named Clients, and are non- transferable between Clients. For clarification, the Customer may not distribute any Client License without also providing AO Services, nor give access to more than one Client per Client License, including when a Client terminates. 15.19. A Client which wishes to use the Services without also purchasing AO Services must become a customer of Visma by Ordering a non- client license from Visma or a certified Partner. (Note that the AO may also be a certified Partner.) 15.20. A Client which has purchased a non-AO license, whether he has terminated his license with the AO or not, and wishes to use the Data from his Client License in his new non- client license, must provide Visma with a written statement that he is the Data Owner for the Data and that Visma is authorised to copy the data from the AO license to the new non-AO license. (For clarification, a Client is not a customer of Visma, but of the AO. For a Client to become a customer of Visma, he must enter into a new contract with Visma, including regarding his Data already in Xxxxx.xxx through the Client License. If the Customer fails to authorise Visma to copy the Data, Visma cannot copy it.
