Contract
x使用協議(下稱「本協議」)就使用 [xxx.XxxxXxxxxxXxxxx.xxx] 網頁(下稱”YourVoicesCount”)作出規定，包括但不限於參與網上問卷調查、討論區、網上聊天室、以及其他由 ABN Impact HK Limited (下稱「服務提供者」、「我們」)以”YourVoicesCount”名義提供之服務 (除非在有關網上另有聲明)。請小心閱讀本協議，你可以隨時在 [xxx.XxxxXxxxxxXxxxx.xxx] 找到本協議。你在使用”YourVoicesCount”及／或登記成”YourVoicesCount”會員的同時，代表你同意遵守本協議。如果你不同意本協議，請不要使用”YourVoicesCount”。除了閱讀本協議，請閱讀我們的私隱政策。你使用”YourVoicesCount”，即同時代表你同意該政策的條款及細則。本條款可能不時修訂，最新版本將在本頁顯示，因此請不時檢查本協議是否有更新。繼續使用”YourVoicesCount”即代表你同意條款的更新及修訂。如你未能遵守下列或在”YourVoicesCount”公佈之條款，你可能在未有收到通知情況下被暫停或終止使用”YourVoicesCount”，以及面對服務提供者採取的其他補救行動。
I. 登記及建立帳戶
1. 登記資料

B.你需要為你的帳戶所進行的所有活動全權負責，包括但不限於他人使用你的登記資料(不論是否獲得授權)或他人使用可以進入你的帳戶的電腦而進行的活動。
C. 如你有理由懷疑你的帳戶的安全性(例如你的登記資料被遺失、偷取或未經授權披露或使用) ，你必須透過”YourVoicesCount”適當的更新功能(如有)即時更改登記資料，或依照我們的私隱政策通知我們。
II. 詳細使用條款
1.”YourVoicesCount”的使用
A. 除非另行聲明，”YourVoicesCount”只供你個人使用。你不可授權他人使用”YourVoicesCount”，而你會為你或你所提供或允許使用”YourVoicesCount”的活動負責。
B. ”YourVoicesCount”包含受本地、國家或國際版權、商標、或其他知識產權法例保護的材料。你不可以任何形式修改、複製、轉載、上載、發佈、轉送、或分發任何”YourVoicesCount”的材料，

D. 你同意不會在”YourVoicesCount”採用淫褻、不雅、或冒犯性質的語言，亦不會
在”YourVoicesCount”發佈具誹謗、粗言穢語、侵犯、種族歧視或憎恨性的材料，或有
損”YourVoicesCount”聲譽之言論。此外，你不可在”YourVoicesCount”發佈加密內容、發出垃圾電郵或未經授權的廣告、商業宣傳、侵犯他人私隱、或煽動任何具刑事性質、導致民事訴訟、或違反本地、國家或國際法律或規則的行為。你同意只使用”YourVoicesCount”作合法用途，並明白如未能遵守本協議，你將可能面對刑事或民事責任。
E. 你負責確保你在”YourVoicesCount”的網上問卷、討論區或其他地方提供的材料不違反版權、商標、商業保密或其他第三方個人權益或所有權，或已得到權益擁有人的允許。材料包括但不限於文字、照片及聲音。
F. ”YourVoicesCount”中的內容、組織、圖片、文字、影像、影片、設計、作品、廣告及所有其他材料，包括但不限於”YourVoicesCount”的設計和外觀，受到版權及所有權法例(包括但不限於知識產權)的保護，並為或服務提供者的財產。除了在下述允許的有限度情況下，我們禁止直接或間接由你複製、重新排版、再次發佈、修改，使用或刊發任何”YourVoicesCount”材料(包括但不限於更改或移除廣告)。

H. 你同意不會以任何方式中斷、超負荷、攻擊、修改、或干擾”YourVoicesCount”或其相關軟件， 硬件、及/或伺服器，你亦同意不阻礙或阻止其他使用者使用”YourVoicesCount”。你同意你不會發佈任何可能影響”YourVoicesCount”運作或功能的軟件、檔案與其他網站的連結，或包含病毒，損壞的檔案、或類似的程式或軟體，並進一步同意你不會修改或又改動有關”YourVoicesCount”本身或相關的資料或材料。
I. 除了透過瀏覽器的 http 要求連結到服務提供者的伺服器，你不可以其他方式嘗試連結到服務提供者的伺服器，包括但不限於使用管理員專用的密碼或偽裝為”YourVoicesCount”管理員使
用”YourVoicesCount”。

2. 服務提供者未認可其他使用者發佈之意見
服務提供者不認可、支持、審核、鼓勵、查證、或同意”YourVoicesCount”的討論區、微博或其他部分發佈的意見、想法或xx。任何網上發佈的資訊或材料，包括建議或意見，為發佈者的觀點及責任，並不代表服務提供者及”YourVoicesCount”的看法。你同意服務提供者不會為他人發佈的資訊負責或承擔責任，包括誹謗、冒犯、非法的材料，即使是違反本協議的材料。
3. 使用你發布的材料
有關你提供或傳送至”YourVoicesCount”的個人資料的使用，請參閱我們的私隱政策。除了明確在私

4. 版權

5. 賠償
你同意賠償因服務提供者及其附屬機構、員工、代理人、代表及第三方服務機構抗辨及免責而產
生或承擔的任何由你在”YourVoicesCount”遞交的內容，或你未經授權使用的材料，或你違反本協議，或其他有關你使用”YourVoicesCount”的行為而衍生之金錢損失(包括律師及法律費用) 、索償及責任。
6. 修改與移除
我們保留權利(但沒有責任)檢視、修改、移動、刪除任何作展示或放置在”YourVoicesCount”或其討論區的材料的全部權利，但不構成責任，而不需事先通知。
7. 其他條款
我們保留權利隨時增加適用於”YourVoicesCount”的特定部分的使用條款，這些條款會顯示

服務提供者及其附屬機構對你或任何第三者指稱因為本協議、提供”YourVoicesCount” 、使用或未能使用”YourVoicesCount”(包括由”YourVoicesCount”感染電腦病毒)使用或依賴”YourVoicesCount”
或”YourVoicesCount”上的任何資訊或材料所涉及的任何直接、間接、特殊、相應而生的損失或懲罰 性損害賠償一概不承擔任何法律責任，不論索償的類別或理由，不論事先可能已通知有關的損失。
你同意放棄因為使用”YourVoicesCount”而對服務提供者、其附屬機構及其董事、人員、員工、及代理人發出的任何性質的索償、要求及賠償(實際已發生或隨之發生的) ，無論是已知及未知、有懷 疑過或未懷疑過，已透露及未透露的。
9. 終止或暫停對”YourVoicesCount”的使用
服務提供者有權隨時終止或暫停你進入或使用”YourVoicesCount”的全部或部分內容，可能在未有通知你的情況下防止你使用”YourVoicesCount”，基於任何或沒有理由。你同意你在”YourVoicesCount”不擁有權利，而服務提供者終止你的使用，不承擔任何責任。
10. 地域
服務提供者不表明”YourVoicesCount”的材料在任何指定地方是恰當或合法。任何人士選擇進入或使用”YourVoicesCount”，需確保他們採取適當措施以符合當地法例(如適用)。
11. 管轄法律
x協議中所有條款及細則受香港特別行政區(「香港」)的法律管轄，並按其詮譯。你同意服從香港法院的非專有管轄權。你亦同意本協議可在任何具有管轄權的法院執行。
12. 適用文件
x協議之中、英文本如有歧異，概以英文為準。

User Agreement
The following User Agreement ("Agreement") governs the use of the [xxx.XxxxXxxxxxXxxxx.xxx] site (“YourVoicesCount”), including without limitation participation in its online surveys, forums, live chats, and all other areas (except to the extent stated otherwise on a specific page) as provided by ABN Impact HK Limited ("Service Provider," "we", “us” or "our"), through The “YourVoicesCount” . Please read the terms contained in this Agreement carefully. You can access this Agreement any time at [xxx.XxxxXxxxxxXxxxx.xxx]. Your use of and/or registration on any aspect of The “YourVoicesCount” will constitute your agreement to comply with these terms. If you do not agree with these terms, please do not use The “YourVoicesCount”. In addition to reviewing this Agreement, please read our Privacy Policy. Your use of The “YourVoicesCount” constitutes agreement to its terms and conditions as well. The Agreement may be modified from time to time; the date of the most recent revisions will appear on this page, so check back often. Continued access of The “YourVoicesCount” by you will constitute your acceptance of any changes or revisions to the Agreement. Your failure to follow these terms, whether listed below or posted in The “YourVoicesCount”, may result in suspension or termination of your access to The “YourVoicesCount”, without notice, in addition to the Service Provider's other remedies.
I. Registration and Account Creation
1. REGISTRATION INFORMATION
The Service Provider may at times require that you register and/or set up an account to use certain portions of The “YourVoicesCount”, or The “YourVoicesCount” as a whole. In order to do so, you may be provided, or required to choose, a password, User Id, and/or provide other registration information (collectively, "Registration Information"). You agree and represent that all Registration Information provided by you is accurate and up-to-date. If any of your Registration Information changes, you must update it by using the appropriate update mechanism on The “YourVoicesCount”, if available.
2. USE OF USER ID/PASSWORD:
A. If you register and/or set up an account on The “YourVoicesCount”, you will be solely responsible for maintaining the confidentiality of your Registration Information. You may not authorize others to use your Registration Information. You may not transfer, sell or assign your Registration Information and/or this Agreement to any third party without our written approval. Any attempt to do so will be null and void and shall be considered a material breach of this Agreement.
B. You are solely responsible for all usage or activity on your account including, but not limited to, use of the account by any person who uses your Registration Information, with or without authorization, or who has access to any computer on which your account resides or is accessible.
C. If you have reason to believe that your account is no longer secure (for example, in the event of a loss, theft or unauthorized disclosure or use of your Registration), you must promptly change the affected
Registration Information by using the appropriate update mechanism on The “YourVoicesCount”, if
available, or notify us as described in our Privacy Policy.
II. Terms of Usage
1. USE OF THE “YOURVOICESCOUNT” BY YOU
A. Unless otherwise specified, The “YourVoicesCount” is intended for your personal use only. You may not authorize others to use The “YourVoicesCount”, and you are responsible for all use of The “YourVoicesCount” by you and by those you allow to use, or provide access to, The “YourVoicesCount”.
B. The “YourVoicesCount” contains material that is protected by local, national and international copyright, trademark and other intellectual property laws. You may not modify, copy, reproduce, republish, upload, post, transmit or distribute in any way any material, including code and software, from The “YourVoicesCount”. You may download material from The “YourVoicesCount” and may use The “YourVoicesCount” for your personal use only, provided you keep intact all copyright and other proprietary notices.
C. The “YourVoicesCount” is not intended for users under the age of 18 or majority, and Service Provider does not knowingly collect personally identifiable information from users under the age 18 or majority. Such users are expressly prohibited from submitting their personally identifiable information to us, and from using our forums and chat areas; any information submitted by such users will not knowingly be used, posted, or retained by us.
D. You agree not to use any obscene, indecent, or offensive language or to place on The “YourVoicesCount” any material that is defamatory, abusive, harassing, racist, or hateful or any language denigrating The “YourVoicesCount”. Further, you may not place on The “YourVoicesCount” any material that is encrypted, constitutes junk mail or unauthorized advertising or commercial offers, invades anyone's privacy, or encourages conduct that would constitute a criminal offense, give rise to civil liability, or that otherwise violates any local, federal, national or international law or regulation. You agree to use The “YourVoicesCount” only for lawful purposes and you acknowledge that your failure to do so may subject you to civil and criminal liability.
E. You are responsible for ensuring that any material you provide to The “YourVoicesCount” or post on online survey or forum or elsewhere, including but not limited to text, photographs and sound, does not violate the copyright, trademark, trade secret or any other personal or proprietary rights of any third party or is posted with the permission of the owner(s) of such rights.
F. The content, organization, graphics, text, images, video, design, compilation, advertising and all other material on The “YourVoicesCount”, including without limitation, the "look and feel" of this “YourVoicesCount”, are protected under applicable copyrights and other proprietary (including but not limited to intellectual property) rights and are the property of Service Provider. The copying, rearrangement, redistribution, modification, use or publication by you, directly or indirectly, of any such matters or any part of The “YourVoicesCount”, including but not limited to the removal or alteration of advertising, except for the limited rights of use granted hereunder, is strictly prohibited.
G. You may not in any way make commercial or other unauthorized use, by publication, re-transmission, distribution, performance, caching, or otherwise, of material obtained through The “YourVoicesCount”, except as permitted by the law or as expressly permitted in writing by this Agreement or the Service Provider.
H. You agree not to disrupt, overwhelm, attack, modify or interfere with The “YourVoicesCount” or its associated software, hardware and/or servers in any way, and you agree not to impede or interfere with others' use of The “YourVoicesCount”. You agree that you will not post any software, files or links to other sites, and that you will not post any content that contains viruses, corrupted files, or any other similar software or programs that may adversely affect the operation of The “YourVoicesCount”, or feature of The “YourVoicesCount”. You further agree not to alter or tamper with any information or materials on or associated with The “YourVoicesCount”.
I. Other than connecting to the Service Provider's servers by http requests using a Web browser, you may not attempt to gain access to the Service Provider's servers by any means - including, without limitation, by using administrator passwords or by masquerading as an administrator while using The “YourVoicesCount” or otherwise.
J. You acknowledge that the Service Provider has not reviewed and does not endorse the content of all sites linked to from The “YourVoicesCount” and is not responsible for the content or actions of any other sites linked to from The “YourVoicesCount”. Your linking to any service or site is at your sole risk.
K. The nature of The “YourVoicesCount” is interactive and public. By posting content, you understand and acknowledge that any materials, ideas or other communications you transmit in any manner and for any reason will not be treated as confidential or proprietary. Furthermore, you acknowledge and agree that any ideas, concepts, techniques, procedures, methods, systems, video, scripts, music, photographs, designs, plans, charts, or other materials you transmit may be used by the Service Provider anywhere, anytime, and for any reason whatsoever.
2. COMMENTS BY OTHERS ARE NOT ENDORSED BY SERVICE PROVIDER:
The Service Provider does not endorse, support, sanction, encourage, verify, or agree with the comments, opinions, or statements posted on forums, blogs or otherwise contained in The “YourVoicesCount”. Any information or material placed online, including advice and opinions, are the views and responsibility of those who post the statements and do not necessarily represent the views of the Service Provider. You agree that the Service Provider is not responsible, and shall have no liability to you, with respect to any information or materials posted by others, including defamatory, offensive or illicit material, even material that violates this Agreement.
3. USE OF MATERIAL SUPPLIED BY YOU
For information regarding use of personal information you supply or communicate to The “YourVoicesCount”, please see our Privacy Policy. Except as expressly provided otherwise in the Privacy Policy, you agree that by posting messages, uploading files, inputting data or engaging in any other form
of communication with or through The “YourVoicesCount”, you grant us a royalty-free, perpetual, nonexclusive, unrestricted, worldwide license to use, reproduce, modify, adapt, translate, enhance, transmit, distribute, publicly perform, display, or sublicense any such communication (including your identity and information about you) in any medium (now in existence or hereinafter developed) and for any purpose, including commercial purposes, and to authorize others to do so. In addition, please be aware that information and content (including photographs) (collectively, "Materials") you disclose in publicly accessible portions of The “YourVoicesCount” will be available to all users of The “YourVoicesCount”, so you should be mindful of personal information and other content you may wish to post. THE SERVICE PROVIDER HEREBY DISCLAIMS ANY AND ALL LIABILITY THAT MAY ARISE IN CONNECTION WITH ANY AND ALL MATERIALS POSTED, UPLOADED OR SUPPLIED BY YOU ON THE “YOURVOICESCOUNT”.
4. COPYRIGHT
The Service Provider respects the intellectual property of others, and we ask our users to do the same. The Service Provider may, in appropriate circumstances and at its discretion, suspend or terminate the access of and take other action against users, subscribers, registrants and account holders who infringe the copyright rights of others.
5. INDEMNIFICATION
You agree to indemnify the Service Provider, and its respective affiliates, employees, agents, representatives and third party service providers, and to defend and hold each of them harmless, from any and all claims and liabilities (including attorneys fees) which may arise from your submissions, from your unauthorized use of material obtained through The “YourVoicesCount”, or from your breach of this Agreement, or from any such acts through your use of The “YourVoicesCount”.
6. EDITING AND DELETIONS
The Service Provider, reserves the right, but undertakes no duty, to review, edit, move or delete any material provided for display or placed on The “YourVoicesCount” or its forums, in its sole discretion, without notice.
7. ADDITIONAL TERMS
The Service Provider reserves the right to post, from time to time, additional terms of usage that apply to specific parts of The “YourVoicesCount”. Such additional terms will be posted in the relevant parts of The “YourVoicesCount”. Your continued use of The “YourVoicesCount” constitutes your agreement to comply with these additional terms.
8. DISCLAIMER OF WARRANTY AND LIMITATION OF LIABILITY
8.1 YOU ACKNOWLEDGE THAT YOU ARE USING THE “YOURVOICESCOUNT” AT YOUR OWN RISK. THE “YOURVOICESCOUNT” IS PROVIDED "AS IS", AND THE SERVICE PROVIDER AND ITS AFFILIATES HEREBY EXPRESSLY DISCLAIM ANY AND ALL WARRANTIES, EXPRESS AND IMPLIED, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF ACCURACY, RELIABILITY, TITLE, MERCHANTABILITY, NON-INFRINGEMENT, FITNESS FOR A PARTICULAR PURPOSE OR ANY OTHER WARRANTY, CONDITION, GUARANTEE OR REPRESENTATION, WHETHER ORAL, IN WRITING OR IN ELECTRONIC FORM, INCLUDING BUT NOT LIMITED TO THE ACCURACY OR COMPLETENESS OF ANY INFORMATION CONTAINED THEREIN OR PROVIDED BY THE “YOURVOICESCOUNT”. THE SERVICE PROVIDER AND ITS AFFILIATES DO NOT REPRESENT OR WARRANT THAT ACCESS TO THE “YOURVOICESCOUNT” WILL BE UNINTERRUPTED OR THAT THERE WILL BE NO FAILURES, ERRORS OR OMISSIONS OR LOSS OF TRANSMITTED INFORMATION, OR THAT NO VIRUSES WILL BE TRANSMITTED ON THE “YOURVOICESCOUNT”.
THE SERVICE PROVIDER AND ITS AFFILIATES SHALL NOT BE LIABLE TO YOU OR ANY THIRD PARTIES FOR ANY DIRECT, INDIRECT, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ALLEGEDLY SUSTAINED ARISING OUT OF THIS AGREEMENT, THE PROVIDING OF THE “YOURVOICESCOUNT” HEREUNDER, YOUR ACCESS TO OR INABILITY TO ACCESS THE “YOURVOICESCOUNT”, INCLUDING FOR VIRUSES ALLEGED TO HAVE BEEN OBTAINED FROM THE “YOURVOICESCOUNT”, YOUR USE OF OR RELIANCE ON THE “YOURVOICESCOUNT” OR ANY OF THE INFORMATION OR MATERIALS AVAILABLE ON THE “YOURVOICESCOUNT”, REGARDLESS OF THE TYPE OF CLAIM OR THE NATURE OF THE CAUSE OF ACTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
YOU HEREBY AGREE TO RELEASE SERVICE PROVIDER AND ITS AFFILIATES, AND EACH OF THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS FROM CLAIMS, DEMANDS AND DAMAGES (ACTUAL AND CONSEQUENTIAL) OF EVERY KIND AND NATURE, KNOWN AND UNKNOWN, SUSPECTED AND UNSUSPECTED, DISCLOSED AND UNDISCLOSED, ARISING OUT OF OR IN ANY WAY CONNECTED WITH YOUR USE OF THIS SITE.
8.2 You agree and acknowledge that “YourVoicesCount” is developed, hosted and owned by the Service Provider, while Citibank (Hong Kong) Limited (“Citibank”) is the sponsor of “YourVoicesCount” but does not own, operate nor manage “YourVoicesCount”. Accordingly, Citibank is not liable for “YourVoicesCount” nor for anything provided in or via “YourVoicesCount”. In particular, Citibank is not responsible for any error, incompleteness, corruption, delay, unavailability, inaccuracy of “YourVoicesCount”, nor for any act, omission, or default of the Service Provider in relation to “YourVoicesCount”.
You agree and acknowledge that all disclaimers, limitations of liabilities and indemnification provisions applicable to the Service Provider under this Agreement are equally applicable to Citibank and may be relied on and enforced by Citibank. 9. TERMINATION OR SUSPENSION OF ACCESS TO THE “YOURVOICESCOUNT”:
The Service Provider has the right to terminate and/or suspend your ability to access The
“YourVoicesCount” or any portion thereof, for any or no reason, or may prevent your use of this
“YourVoicesCount” with or without notice to you. You agree that you do not have any rights in the “YourVoicesCount” and that the Service Provider will not have any liability to you if the “YourVoicesCount” is discontinued or your ability to access it is terminated.
10. JURISDICTION
The Service Provider makes no representation that materials on The “YourVoicesCount” are appropriate, available or legal in any particular location. Those who choose to access The “YourVoicesCount” do so on their own initiative and are responsible for compliance with local laws, if and to the extent local laws are applicable.
11. Governing Law
All the terms and conditions of this Agreement are governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region (“HKSAR”). You agree to submit to the nonexclusive jurisdiction of the courts of Hong Kong. You further agree that this Agreement may be enforced in the courts of any competent jurisdiction.
12. Governing Version
The English version of this Agreement shall prevail wherever there is a discrepancy between the English version and the Chinese version.
