1.8.3 You agree that some Services variants may be subject to availability and where an ordered Service is not available for any reason we reserve the right to provide an alternative Service variant for which you may incur different charges. Where a Service variant is not available we will make best endeavours to advise you of this before progressing with your order.

If payment of any sum payable to Digital Origin is not made on or before the due date Digital Origin shall be entitled to charge interest thereafter on such sum at either the rate of 4% per annum above the current base rate of The Royal Bank of Scotland plc from time to time or, if higher, such rate as Digital Origin would be entitled to claim under the Late Payment of Commercial Debts (Amendment) Regulations 2018 (such interest being deemed to accrue from day to day and being compounded on the last day of each calendar month) from the due date until the date of payment whether before or after judgement.

Customer hereby assumes sole responsibility for: (a) Subscription Users’ use of Application Services, Support Services, Professional Services, Sugar Market Services, and/or Sugar Care (collectively, “Services”) in accordance with the Documentation, (b) ensuring only Subscription Users use Services and not share access credentials, (c) determining the suitability of Services for Customer’s business, and (d) the acts and omissions of any third-party contractors used by Customer to assist with the installation, implementation, use and modification of Services.

Further, some international Services may be subject to a third party service supplier accepting an order from us for such international services and where such third party service supplier does not accept such order we reserve the right to cancel the ordered Services provided that we will use all commercial reasonable efforts to mitigate such cancellation. In addition should there be a change in any international regulation which would prevent us providing international Services we reserve to cancel the ordered international Service.
1.9.4. For the avoidance of doubt, you may not resell the Services although they may be utilised by an Associated Company of yours for which use you shall remain fully liable.

Should we reasonably suspect that your use of a Service is in breach of any applicable legislation, regulation, guidelines or codes of practice or any other reasonably suspected abuse or bad practice then we reserve the right to suspend or terminate such Service with immediate effect.
2.8.3 You agree that some Services variants may be subject to availability and where an ordered Service is not available for any reason we reserve the right to provide an alternative Service variant for which you may incur different charges. All Services. 13.1 Unless specified in the Contract, Howden is only the supplier of the Goods and shall have no responsibility for the assembly and installation of Goods.
13.2 For all Services provided by Xxxxxx, Xxxxx agrees to the following: (i) where the site is offshore or otherwise inaccessible or is located overseas, provide all necessary transportation facilities to and from site; and (ii) obtain all necessary statutory and other consents, approvals, licences and permissions for Services, for the work to proceed, and for Howden personnel to travel to and from the site.
13.3 Buyer shall indemnify Howden against any loss, damage or injury including death suffered by the person or property of Howden, its subcontractor, Buyer, or respective personnel or any third party and against any claims, liability, costs or expenses associated therewith or arising out of Buyer’s performance of Services or Buyer’s failure to perform or otherwise, except as expressly provided under Section 17.1, including, but not limited to, that which was caused by faulty lifting tackle, scaffolding, equipment and/or other facilities provided by Buyer.
13.4 Howden’s on site personnel, subcontractors and/or representatives shall be given unobstructed access to the site and the work. If there are delays caused by anyone other than Howden, the time and expense of the same shall be charged to Buyer.
13.5 Howden is an independent contractor and is not responsible for any oversight for completion of the Services, or for the property or employees of Buyer or others, including, without limitation, matters such as health and safety, or security.
13.6 Howden shall comply with applicable Canadian, U.S. and/or provincial/territorial/state/local statutes, acts, ordinances, regulations, codes, and laws that apply to Howden’s performance of the Services. Howden shall comply with job/site requirements as mutually agreed upon by the parties. Buyer shall advise Howden’s personnel in advance of all known and/or suspected hazardous/unsafe conditions and risks that may be encountered while on-site, including proper Material Safety Data Sheets (MSDS). Howden’s personnel shall not be required to take any action, or to enter or remain in any area where he/she reasonably determines that it would be unsafe. In such instance, Howden shall be excused from site attendance and the event will be considered a Force Majeure.
13.7 Any associated Goods shall be considered accepted at the earlier of: (i) when Services is complete ...

(B) Video-streaming capable camera;
(C) Client software capable of connecting to a standard VOIP telephone system;
(D) Client transcription software capable of handing audio formats: wav, mp3, wma and dct
(E) A xxxxxxxxx.xxx email address for each of your Staff;
(F) Any additional software included in your Order;
(G) Any additional hardware included in your Order.
