Distribution Model. MC3 has a contractual relationship with the Vendor, and the Reseller is the co-contractor of the End Customer. The Reseller shall not act as an agent, representative or broker of a Vendor or MC3 but shall act on its own behalf. The agreements between the Reseller and the End Customers are in no way enforceable against MC3. The End Customer pays the Reseller who in turn pays MC3. Some Vendors or Vendor licensors may require the End Customer to sign specific terms of use or license condi- tions applicable to the use of the relevant Service. This does not change the overall distribution model and pay- ment flow.
Distribution Model. SERVI-CLOUD DOMINICANA has a contractual relationship with the Vendor, and the Reseller is the co-contrac- tor of the End Customer. The Reseller shall not act as an agent, representative or broker of a Vendor or SERVI- CLOUD DOMINICANA but shall act on its own behalf. The agreements between the Reseller and the End Cus- tomers are in no way enforceable against SERVI-CLOUD DOMINICANA. The End Customer pays the Reseller who in turn pays SERVI-CLOUD DOMINICANA. Some Vendors or Vendor licensors may require the End Customer to sign specific terms of use or license condi- tions applicable to the use of the relevant Service. This does not change the overall distribution model and pay- ment flow.
Distribution Model. The parties acknowledge and agree that the Bundled Product is a development environment and that OEm's distribution channel for the Bundled Product will include distribution through OEM's VAR partners, such as KPMG Peat Marwick, Andexxxx Xxxsulting and similar consultants, who will license the Server Bundled Product through a shrinkwrap agreement with OEM, for the purpose of customizing and deploying the Server Bundled Product for a specific End User Customer application (collectively, "VARs"). RSA agrees that the last sentence of Section 1.2 of the Agreement shall not prevent OEM from distributing the Server Bundled Product in the manner set forth above, so long as VARs are not embedding or similarly modifying the Server Bundled Product (in which case paragraph 3, below, shall apply to such activities) and so long as VARs are prohibited from modifying the Licensed Software. RSA and OEM specifically agree that VARs may add value to the Server Bundled Product through their consulting, training and integrating services.
Distribution Model. 4.1 Upon provisioning of products on the Marketplace, the Reseller shall obtain a non-exclusive right to re-distribute the Products or grant access to End-Customers to provision Products for their own use. The terms relevant for the use of the Products are specified in the Special Product Terms.
4.2 The rights granted to Reseller under this Agreement shall apply to the places of establishment of Reseller in the Territory. Reseller is not entitled to re-distribute the Products to End-Customers residing outside the Territory unless specifically agreed. However, the distribution into other countries, in particular of the EU or EFTA is allowed as far as mandatory applicable European or other applicable law so requires. Neither the CSP nor ALSO take any responsibility for the compliance of the Products with laws different from the law applicable in the Territory.
4.3 The Reseller shall not act as an agent, representative or broker of ALSO or CSPs but shall only act in its own name and account when re- distributing Products to End-Customers. ALSO is not contractual partner to the agreements between the Reseller and its End-Customers.
4.4 Unless specifically provided so in the Special Product Terms, ALSO shall not act as an agent, representative or broker of CSP towards the Reseller or the End-Customers.
Distribution Model. This system is supplied from a gas main in the city gas distribution system at 120 psi. Pressure regulators are used to reduce the pressures to the levels desired. The arrangement of the pressure regulators is shown in Figure CF-18 along with additional modeling data. Figure CF-17 provides additional data on pipe sizes, roughness and demands.
