Financing Transactions definition

Financing Transactions means the execution, delivery and performance by each Loan Party of the Loan Documents to which it is to be a party, the borrowing of Loans, the use of the proceeds thereof and the issuance of Letters of Credit hereunder.

  • Securities Financing Transactions create several risks for the UCITS and its investors, including counterparty risk if the counterparty to a Securities Financing Transaction defaults on its obligation to return assets equivalent to the ones provided to it by the relevant Sub-Fund and liquidity risk if the Sub-Fund is unable to liquidate collateral provided to it to cover a counterparty default.

  • The Management Company shall determine the amount of collateral required for OTC financial derivatives transactions, Securities Financing Transactions and efficient portfolio management techniques by reference to the applicable counterparty risk limits in set out in the Prospectus and by taking into consideration the nature and characteristics of transactions, the creditworthiness and identity of counterparties as well as the prevailing market conditions.

  • Collateral or margin may be passed by the relevant Sub-Fund to a counterparty or broker in respect of OTC derivative transactions or Securities Financing Transactions.

  • Where specified in Annex A in respect of the relevant Sub-Fund, such Sub-Fund may use Securities Financing Transactions and / or Total Return Swaps in accordance with normal market practice and subject to the requirements of the SFTR and the requirements of the FMA.

  • Where a Sub-Fund is permitted to use Securities Financing Transactions and/or Total Return Swaps, all types of assets which may be held by the relevant Sub-Fund in accordance with its investment objectives and policies may be subject to a Securities Financing Transaction and/or Total Return Swap.


More Definitions of Financing Transactions

Financing Transactions has the meaning assigned to such term in the recitals to this Agreement.
Financing Transactions means, collectively, (a) the Refinancing, (b) the incurrence of the Loans under the Loan Documents, (c) the issuance of the Priority Lien Notes (and the assumption by the Borrower of the obligations thereunder), (d) the incurrence of any Permitted Securitization Program and (e) the payment of the fees and expenses incurred in connection with any of the foregoing clauses (a)-(d) hereof.
Financing Transactions means (a) the execution, delivery and performance by each Loan Party of the Loan Documents to which it is to be a party and (b) the borrowing of Initial Loans hereunder and the use of the proceeds thereof.
