Authority as Agent. The New Representative represents, warrants and acknowledges that it has the authority to bind each of the New Secured Parties to the Collateral Trust Agreement and such New Secured Parties are hereby bound by the terms, conditions and provisions of the Collateral Trust Agreement, including, without limitation, the provisions relating to the ranking of Transaction Liens and the order of application of proceeds from the enforcement of Transaction Liens.
Authority as Agent in the case of a subscription for Bonds by the Investor acting as agent for a beneficial purchaser (disclosed or otherwise), it is authorized to execute and deliver this Agreement and all other necessary documentation in connection with such subscription on behalf of such principal and this Agreement has been duly authorized, executed and delivered by or on behalf of, and constitutes a legal, valid, binding and enforceable agreement of, such beneficial purchaser or principal; and
Authority as Agent. The Manager is hereby authorized to act as agent for the Company for the purpose of carrying out the authority and responsibilities set forth in this Agreement.
Authority as Agent. (a) Fiesta is hereby authorized to act as agent for each of the entities comprising the Carrols Group for the purpose of performing Services hereunder and as is necessary or desirable to perform such Services. Carrols will execute and deliver or cause the appropriate member of the Carrols Group to execute and deliver to Fiesta any document or other evidence which may be reasonably required by Fiesta to demonstrate to third parties the authority of Fiesta described in this Article V.
Authority as Agent. The [New Representative] represents, warrants and acknowledges that it has the authority to bind each of the [New First Lien] [First Lien] [Second Lien] Claimholders to the Intercreditor Agreement and such [New First Lien] [First Lien] [Second Lien] Claimholders are hereby bound by the terms, conditions and provisions of the Intercreditor Agreement.
Authority as Agent. FBR Group, the FBR Group Subsidiaries and FBR Group’s Affiliates are hereby authorized to act as agent for FBR Capital Markets and the FBR Capital Markets Subsidiaries for the purpose of performing Services hereunder as necessary or desirable to perform such Services. FBR Capital Markets, the FBR Capital Markets Subsidiaries and FBR Capital Markets’ Affiliates are hereby authorized to act as agent for FBR Group and the FBR Group Subsidiaries for the purpose of performing Services hereunder as necessary or desirable to perform such Services. Each party will execute and deliver to the other Party any document or other evidence which may be reasonably required to demonstrate to third parties the authority as described in this Article VIII.
Authority as Agent. ALCS is hereby authorized to act as agent for PMI for the purpose of performing Services hereunder and as is necessary or desirable to perform such Services. PMI will execute and deliver or cause the appropriate member of the PMI Group to execute and deliver to ALCS any document or other evidence which may be reasonably required by ALCS to demonstrate to third parties the authority of ALCS described in this Article VII.
Authority as Agent. Asia Netcom and its Subsidiaries are hereby authorized to act as agents for EAN Network and its Subsidiaries for the purpose of performing Services hereunder. EAN Network or its respective Subsidiary will execute and deliver to Asia Netcom or its respective Subsidiary any document or other evidence, which may be reasonably required by Asia Netcom or such respective Subsidiary to demonstrate to third parties the authority of Asia Netcom or such respective Subsidiary described in this Section 4.2; provided that neither Asia Netcom nor any of its Subsidiaries shall be so entitled to act as agent for EAN Network or its Subsidiaries under this Section 4.2 with respect to any third party agreement which would require EAN Network to pay (for and on behalf of itself or its Subsidiaries) an amount in excess of US$100,000 hereunder without the prior written consent of EAN Network.
Authority as Agent. FBR Capital Markets and FBR Capital Markets’ Affiliates are hereby authorized to act as agent for FBR Group and the FBR Group Subsidiaries for the purpose of performing Services hereunder as necessary or desirable to perform such Services. FBR Group will execute and deliver to FBR Capital Markets any document or other evidence which may be reasonably required to demonstrate to third parties the authority as described in this Article VII.
Authority as Agent. ALCS is hereby authorized to act as agent for Kraft for the purpose of performing Services hereunder and as is necessary or desirable to perform such Services. Kraft will execute and deliver or cause the appropriate member of the Kraft Group to execute and deliver to ALCS any document or other evidence which may be reasonably required by ALCS to demonstrate to third parties the authority of ALCS described in this Article VII.
