Authorizing Certificate. An Officer’s Certificate, dated the Closing Date, of the Issuer certifying that (A) the Issuer has duly authorized the execution and delivery of this Indenture and the Series Supplement and the execution and delivery of the Recovery Bonds and (B) that the Series Supplement is in the form attached thereto, and it shall comply with the requirements of Section 2.02.
Authorizing Certificate. A certified resolution of the Managers authorizing the execution and delivery of the Series Supplement for the Transition Bonds applied for and the execution, authentication and delivery of such Transition Bonds.
Authorizing Certificate. An Officer's Certificate, dated the Series Issuance Date, of the Issuer certifying that (i) the Issuer has duly authorized the execution and delivery of this Indenture and the related Series Supplement, and the execution and delivery of the Bonds of such Series and (ii) that the Series Supplement for such Series of Bonds is in the form attached thereto, which Series Supplement shall comply with the requirements of Section 2.02.
Authorizing Certificate. A certificate of an Authorized Officer of the Note Issuer certifying that the Note Issuer has duly authorized the execution and delivery of this Note Indenture and the execution, authentication and delivery of the Notes.
Authorizing Certificate. A certificate of an Authorized Officer of the Bond Issuer certifying that the Bond Issuer has duly authorized the execution and delivery of this Bond Indenture and the execution, authentication and delivery of the Bonds.
Authorizing Certificate. A certified resolution of the Managers authorizing the execution and delivery of the Series Supplement for the Securitization Bonds applied for and the execution, authentication and delivery of such Securitization Bonds.
Authorizing Certificate. An Officer’s Certificate, dated the Closing Date, of the Issuer certifying that (i) the Issuer has duly authorized the execution and delivery of this Indenture and the Series Supplement and the execution and delivery of the Storm Recovery Bonds and (ii) the Series Supplement is in the form attached thereto and complies with the requirements of Section 2.02.
Authorizing Certificate. A certificate of an Authorized Officer ------------------------ of the Note Issuer certifying that (i) the Note Issuer has duly authorized the execution and delivery of this Indenture and the related Series Supplement and the execution, authentication and delivery of the Notes of such Series and (ii) that the Series Supplement for such Series of Notes shall be in the form attached thereto, which Series Supplement shall specify the terms and provisions of such Series (and, if applicable, each Class thereof), including the Scheduled Maturity Date, the Final Maturity Date, the principal amount and the Note Interest Rate of such Notes to be authenticated and delivered.
Authorizing Certificate. A certified resolution of the Issuer authorizing the execution and delivery of the Series Supplement for the Environmental Control Bonds applied for and the execution, authentication and delivery of such Environmental Control Bonds.
Authorizing Certificate. A certificate of a Responsible Officer of the Note Issuer certifying that (i) the Note Issuer has duly authorized the execution and delivery of this Indenture and the related Trustee's Issuance Certificate or Series Supplement, as the case may be, and the execution and delivery of the Notes of such Series and (ii) that the Trustee's Issuance Certificate or Series Supplement, as the case may be, for such Series of Notes shall be in the form attached thereto, which Trustee's Issuance Certificate or Series Supplement, as the case may be, shall comply with the requirements of Section 2.02 hereof.
