Claims Control. 4. The Company shall be entitled, at its own discretion, to take over and conduct in the name of the Insured the defence or settlement of any claim, and prosecute at its own expense, and for its own benefit, any claims for indemnity or damages against any other persons.

Claims Control. It is an important condition to Underwriters liability under this policy that notice in writing shall be given as soon as practicably possible to the Underwriters of every Occurrence, claim, writ, summons, impending proceedings, impending prosecution and/or inquest in respect of which there may arise a liability under this Policy. No admission offer, promise payment or indemnity shall be made or given by or on behalf of the Insured without the written consent of the Underwriters, and if the Underwriters so desire they shall be entitled to take over and conduct in the Insured's name the defence or settlement of any claim and the Underwriters may make such investigation, negotiation and settlement of any claim or suit as they deem expedient. The Insured shall use best efforts to preserve any property, products, appliances, plant or other things which might prove necessary or useful by way of evidence in connection with any claim and so far as may be practicably possible no alteration or repair shall be effected without the Underwriters' consent until the Underwriters shall have had the opportunity of inspection. The Underwriters shall be entitled to prosecute in the Insured's name at the Underwriters own expense and for the Underwriters own benefit any claim for indemnity for damages or otherwise. The Underwriters shall have full discretion in the conduct of any proceedings in connection with any claim and the Insured shall give all information and assistance as the Underwriters may require in the prosecution, defence or settlement of any claim. In the event of an Occurrence, the Insured shall promptly take at the Insured's expense all practicable steps to prevent other Personal Injury or Property Damage arising out of the same or similar conditions, but such expense shall not be recoverable under this policy. The Underwriters shall be entitled to attend any inquest in respect of which there may arise liability under this policy. If the Insured does not comply with the above condition it may impact its ability to make a claim under this policy.
Claims Control. To reduce possibilities of construction contractor claims, the Construction Manager shall generally review the Project A/E's design and construction documents at various stages of completion and provide specific comments and recommendations regarding constructability, allowed time for construction, liquidated damages, measurement and payment interface with other work, traffic control and clarity.

  • Claims Payment The Reinsurer will be liable to the Company for its share of the benefits owed under the express contractual terms of the Reinsured Policies and as specified under the terms of this Agreement. The Reinsurer will not participate in any ex gratia payments made by the Company (i.e., payments the Company is not required to make under the Reinsured Policy terms.) The payment of death benefits by the Reinsurer will be in one lump sum regardless of the mode of settlement under the Reinsured Policy. Benefit payments from the Reinsurer will be due within 30 days of the claim satisfying the requirements established under this Agreement. For claims on Accelerated Benefit riders reinsured under this Agreement, the benefit amount payable by the Reinsurer will be calculated by multiplying the total accelerated death benefit rider payout by the ratio of the reinsured Net Amount at Risk, as defined in Exhibit C-1, to the face amount of the Reinsured Policy.

  • RETURNS, CLAIMS, REFUNDS The customer shall immediately upon receipt of goods supplied fully inspect such goods and satisfy itself that the goods are correct. If the customer is unsatisfied, the customer must immediately contact the Company and communicate all details of such dissatisfaction. Unless the above procedure is followed the Company is entitled to assume that the goods supplied are correct and no returns claims for refunds will be permitted or made.

  • Payment of Claims A. If advance payment of all or a portion of the Grant funds is permitted by statute or regulation, and the State agrees to provide such advance payment, advance payment shall be made only upon submission of a proper claim setting out the intended purposes of those funds. After such funds have been expended, Grantee shall provide State with a reconciliation of those expenditures. Otherwise, all payments shall be made thirty five (35) days in arrears in conformance with State fiscal policies and procedures.
