Common use of Confirmation of Terms Clause in Contracts

Confirmation of Terms. confirm by fax or e-mail to the Fiscal Agent, all such information as the Fiscal Agent may reasonably require to carry out its functions under this Agreement and in particular, whether customary eurobond or medium term note settlement and payment procedures will apply to the relevant Tranche and (if a Master Global Note is to be used), such details as are necessary to enable it to complete a duplicate of the Master Global Note and (if medium term note settlement and payment procedures are to apply) the account of the Issuer to which payment should be made. The Internet cannot guarantee the integrity and safety of the transferred data nor the delay in which they will be processed. The Fiscal Agent shall not therefore be liable for any operational incident and its consequences arising from the use of Internet unless caused by the gross negligence, wilful misconduct, default or bad faith of the Fiscal Agent;
