Control and Management. Except as otherwise set forth in this Agreement, the General Partner shall have sole and exclusive control of the Limited Partnership. The General Partner shall have the power and authority to take such action from time to time as he may deem to be necessary, appropriate, or convenient in connection with the management and conduct of the business and affairs of the Partnership, including without limitation the power to:
Control and Management. Mx. Xxx represents that he has sole control over Parent and that neither he, Parent nor MergerSub has entered into any arrangement, agreement or understanding with any current director or executive officer of the Company that they will be hired by Mx. Xxx or his affiliate subsequent to Effective Time.

Lessee agrees to abide by and conform to all such Rules and Regulations, and shall use its best efforts to cause its employees, suppliers, shippers, customers, contractors and invitees to so abide and conform. Lessor shall not be responsible to Lessee for the non-compliance with said Rules and Regulations by other tenants of the Project.
Control and Management. The Charter School shall be subject to the control and management of the Local Board as provided herein and in a manner consistent with the Charter School Act of 1998 and the Constitution of the State of Georgia.

It is recognized that the government and management of the City, the control and management of its properties and the maintenance of municipal functions and operations are reserved to the City and that all lawful prerogatives of the City shall reign and be solely the City’s rights and responsibility. Control and Management. General. The Company shall be managed by the Managing Member. Without limiting the foregoing, and except as otherwise expressly provided in this Agreement, the Managing Member shall have sole and exclusive right and authority to execute and deliver agreements and instruments of every type on behalf of the Company and to make all decisions on behalf of the Company with respect to all matters, including all decisions to be made by the Company with respect to the Project.
Control and Management. The Company shall have one Manager. The initial Manager shall be Sponsor Member (“Sponsor Manager” or “Manager”); provided, that Sponsor Manager may be removed as Manager as provided in Section 4.6. Except as otherwise expressly provided in this Agreement and without limiting any provision of this Agreement (including without limitation, Section 6.2), the Manager shall have the right and power to manage, operate and control the Company and all the rights and powers granted to managers under the Act. Except as expressly provided in this Agreement (including without limitation, Section 6.2), the Manager shall execute and deliver on behalf of the Company all agreements, instruments or other documents to which the Company will be a party or bound. The Manager shall cause the Company to comply with all applicable Legal Requirements and all of the terms and provisions of the Mortgage Loan Documents, this Agreement and all other Definitive Documents and shall promptly forward copies to Preferred Member of any material notices received by the Company from the Mortgage Lender or sent by the Company to the Mortgage Lender under the Mortgage Loan. The Manager may appoint one or more officers of the Company, including but not limited to a President, Vice President(s), Chief Executive Officer, Assistant Vice President(s), Secretary, Assistant Secretaries, Treasurer and Assistant Treasurer(s). Such officers shall have such duties, powers and obligations as may be assigned by the Manager and shall be subject to the supervision and authority of the Manager and the other terms and conditions of this Agreement. Each officer shall serve at the pleasure of the Manager and may be removed by the Manager with or without cause at any time. Each officer shall serve until his or her successor is duly appointed and qualified or his or her earlier death, incompetence, resignation or removal. The Manager hereby appoints Xxxxx Xxxxxxx, Xxxx Xxxxx and Xxxxx Xxxx, each acting alone, as authorized signatories for the Company and hereby authorize each of them, acting alone, to execute and deliver the Mortgage Loan Documents, Definitive Documents and any documents required in connection with the acquisition of the Property on behalf of the Company.
