End User Agreements. If Eligible Users are required by Contractor to sign an End User Agreement before participating in this Contract, then a copy of the End User Agreement must be attached to this Contract as an attachment. The term of the End User Agreement shall not exceed the term of this Contract, and the End User Agreement will automatically terminate upon the completion of termination of this Contract. An End User Agreement must reference this Contract, and may not be amended or changed unless approved in writing by the Division. Eligible Users will not be responsible or obligated for any early termination fees if the End User Agreement terminates as a result of completion or termination of this Contract.
End User Agreements. CSR may not distribute any Cloud Services to any End Users unless an End User enters into an agreement with CSR (the “End User Agreement”) that at a minimum: (a) completely disclaims Distributor’s and CSP’s liability for all matters arising out of or related to this Addendum or the Cloud Services to be provided hereunder to the extent permissible by law and requires the End User to look solely to CSR with respect to such matters, unless otherwise agreed by writing by Distributor and CSP; (b) requires the End User to agree that all End User use of the Cloud Services shall be lawful and to ensure that each End User complies fully with the applicable terms of this Addendum or any Documentation, the acceptable use policy for the Cloud Services (if any), and all applicable laws and regulations in any of its dealings with respect to the Cloud Services; (c) prohibits the End User from reselling or distributing the Cloud Services; (d) indemnifies, defends and holds CSP and Distributor, and their respective affiliates, officers, directors, employees and suppliers harmless from and against any third-party claims arising out of or relating to the End User’s (or its authorized users’) use of the Cloud Services; (e) protects CSP’s proprietary rights in the Cloud Services to at least the same degree as the terms and conditions of this Addendum or any Documentation; (f) makes no representations or warranties on behalf of Distributor or CSP, except to the extent permitted in any Documentation ); (g) specifies CSP and Distributor as express intended third party beneficiaries of the provisions in the End User Agreement relating this Section 2(f), to the extent permitted by applicable law; and (h) does not grant any rights to the End User beyond the scope of this Addendum.
End User Agreements. If required by the Seller, Building Manager or a Utility Provider, the Purchaser must enter into an end user agreement with a Utility Provider or any agent appointed by a Utility Provider to collect Utility Charges attributable to the Unit. DRAFT

The cost per person is a blended rate, equal to the cost to Service Provider of providing services (without any xxxx-up), across the total pool of full time employees performing work for the JV Affiliates. The hourly rate is the blended rate, equal to the cost to Service Provider of providing such services (without any xxxx-up), of all services being provided hourly. Where there is dedicated management, a [*]% management fee is also applied. These rates and the rates applicable to other JV Affiliates are projected to increase in the future.

If the acceptance of an End User Agreement is required in order for you to receive any Services, then you hereby grant us permission to accept the applicable agreement(s) on your behalf. End User Agreements may contain service levels, warranties and/or liability limitations that are different than those contained in this Agreement. You agree to be bound by the terms of all applicable End User Agreements. If, while providing the Services, you or we are required to comply with an End User Agreement and that agreement is modified or amended, we reserve the right to modify or amend any applicable Quote with you to ensure your and our continued compliance with the terms of the applicable End User Agreement.

End User Agreements. End User agreements granted by Licensee or its Licensor in accordance with this Agreement shall survive the expiration or termination of this Agreement in accordance with their terms of such End User agreements.

In the event of any change to any such terms, prior to Reseller selling any additional Products or Services to an End User, Reseller must amend the End User Agreement so that it includes such modified terms.
