Exchange Value. In consideration for the sale of the Property to Buyer, Buyer will deliver to Seller an amount equal to the Exchange Value for the Property. Exchange Value. In exchange for the Acquired Company Shares and the Series A Preferred Shares, Xxxxxxx shall issue to the Shareholders an aggregate of Three Hundred Thousand (300,000) common shares of Xxxxxxx, par value $0.01 per share, (the "Xxxxxxx Shares") and deliver such shares in the manner provided in Section 2.02. Exchange Value. District and Xxxxxx Homes have each conducted its own independent evaluation as to the value of the property it is conveying and will be receiving pursuant to this transaction. The Parties acknowledge and agree that certain factors and conditions exist such that each Party places a greater value on the property it is receiving than the property it is transferring. The District has concluded that, for its intended purposes and uses, the Xxxxxx Property has an equal or greater value than the District Property, and Xxxxxx Homes has concluded that, for its intended purposes and uses, the District Property has an equal or greater value than the Xxxxxx Property.
