Indemnification by Celera. Celera hereby agrees to defend, hold harmless and indemnify (collectively “Indemnify”) Virobay, its Affiliates, and their respective agents, directors, officers and employees (the “Virobay Indemnitees”) from and against any and all Losses arising out of any Third Party claims to the extent resulting out of or arising from: (i) any of Celera’s representations and warranties set forth in this Agreement being untrue in any material respect when made, (ii) any material breach or material default by Celera of its material covenants and material obligations under this Agreement, or (iii) the conduct of the Celera Programs prior to the Effective Date. To be eligible to be so Indemnified, the Virobay Indemnitees will provide Celera with prompt notice of any claim giving rise to the indemnification obligation pursuant to this Section 9.1; provided that Celera will be relieved of its obligations only if the failure by the Virobay Indemnitee to deliver prompt notice is prejudicial to its ability to defend such action. Each Virobay Indemnitee will provide Celera with the exclusive ability to defend such claim (with the reasonable cooperation of Virobay Indemnitees), subject to Virobay’s right to participate in and have counsel selected by it participate, at Virobay’s expense. Virobay may not settle any claim under this Section 9.1 without Celera’s prior written consent. Celera’s obligation to Indemnify the Virobay Indemnitees pursuant to this Section 9.1 will not apply to the extent of any Losses (i) that arise from the negligence or intentional misconduct of any Virobay Indemnitee; or (ii) that arise from Virobay’s material breach of this Agreement; or (iii) for which Virobay is obligated to Indemnify the Celera Indemnitees pursuant to Section 9.2 of this Agreement.

Indemnification by Celera. In addition to Celera’s indemnity obligations set forth in Section 9.4 of the Distribution Agreement, Celera will defend, indemnify and hold Xxxxxx, its officers, directors, employees, representatives, and agents (collectively, the “Xxxxxx Indemnified Entities”) harmless from and against any liability, damage, loss, cost or expense, including reasonable attorney and other legal fees (collectively, “Liability”), arising out of or resulting from: (a) Celera’s breach of any representation, warranty, certification or guarantee given pursuant to or set forth in this Agreement; (b) Celera’s default in the performance of its obligations under this Agreement and failure or inability to cure such default in accordance with this Agreement; or (c) any Third Party claims or suits made or brought against any one or more of the Xxxxxx Indemnified Entities to the extent such Liability arises out of or relates to Celera’s negligence or willful misconduct or any theory of manufacturer’s strict liability with regard to any Celera Product or Agreement Instrument manufactured by Celera or Celera’s performance or non-performance hereunder.

Indemnification by Celera. (a) Except with respect to claims expressly subject to AB’s indemnity of Celera set forth in Section 15.1, Celera will defend, indemnify and hold harmless AB, its Affiliates and their respective directors, officers, employees and agents (“AB Indemnitees”) from and against any and all claims for losses, damages or expenses asserted by a Third Party against AB or any of its Affiliates caused by: [***] indicates material that has been omitted pursuant to a request for confidential treatment. Indemnification by Celera. Celera shall indemnify, defend and hold harmless Applera, against and in respect of any and all Indemnifiable Losses incurred by Applera that result from, relate to or arise out of the performance by Applera of the Celera Transition Services under this Agreement, in accordance with Article XI of the Separation Agreement, except to the extent that any such Indemnifiable Losses arise out of or result from the gross negligence or willful misconduct of Applera.
Indemnification by Celera. Celera will indemnify, defend and hold Isis and its agents, employees, officers and directors (the "Isis Indemnitees") harmless from and against any and all liability, damage, loss, cost or expense (including reasonable attorneys' fees) arising out of Third Party claims or suits related to (a) Celera's performance of its obligations under this Agreement; or (b) breach by Celera of its representations and warranties set forth in Section 12.3 or (c) Isis' use of Celera Gene Targets under the Research Plan pursuant to Section 3.1(d); PROVIDED, HOWEVER, that Celera's obligations pursuant to this Section 10.1 will not apply to the extent such claims or suits result from the gross negligence or willful misconduct of any of the Isis Indemnitees. Notwithstanding the foregoing, Celera will have no obligation to indemnify the Isis Indemnitees with respect to claims arising out of breach by Isis of its representations and warranties set forth in Sections 12.3.

The Company shall also indemnify selling brokers, dealer managers and similar securities industry professionals participating in the distribution, their officers and directors and each Person who controls such Persons (within the meaning of section 15 of the Securities Act or section 20 of the Exchange Act) to the same extent as provided above with respect to the indemnification of the Holders of Registrable Securities, if requested. This indemnity agreement shall be in addition to any liability which the Company may otherwise have.

To the extent any Purchaser Indemnitee is entitled to collect Purchaser Damages, Purchaser shall, at its option and subject to the terms of the Escrow Agreement, be entitled to withdraw sufficient funds from the Escrow Fund pursuant to the Escrow Agreement in lieu of payment directly from Seller, and to the extent the amount due any Purchaser Indemnitee exceeds the balance of the funds held under the Escrow Agreement, Purchaser shall be entitled to collect such balance owned to Purchaser Indemnitee directly from Seller.
