Investor Commitments. If the Development will be receiving an allocation of tax credits from TCAC, the Sponsor shall provide the Department with a copy of all tax credit investor commitments, including referenced financial projections and any amendments.
Investor Commitments. Immediately prior to the Effective Time, each of the Investors (or its designee) shall contribute to the capital of Parent or Sub an amount in cash equal to the amount set forth opposite such Investor's name on Exhibit C, the sum of which amounts shall be sufficient to satisfy the obligations of Parent and Sub to pay the Merger Consideration to the holders of Common Stock pursuant to Section 2.1(a).
Investor Commitments. (a) Each Investor (or an Affiliate thereof) shall execute and deliver to the Purchaser a commitment letter (the “Investor Commitment Letter”) in a form mutually acceptable to the Investors, pursuant to which each such Investor (or the applicable Affiliate) agrees to make a loan to the Purchaser in the amount sufficient to satisfy 50% of the cash portion of the purchase price payable under the Arrangement Agreement and, to the extent necessary, 50% of the costs, expenses and other obligations incurred by or on behalf of the Purchaser in connection with the Transaction.
Investor Commitments. Other than as disclosed in writing to the Administrative Agent, no Investor has (a) been excused from funding any Contribution, (b) requested in writing to be permitted to withdraw from the Initial Borrower, (c) been precluded from participating in any Investment, (d) elected not to participate in any Investment in accordance with the Initial Borrower’s Constituent Documents, or (e) informed the Initial Borrower in writing of its intent to transfer its interest in the Initial Borrower.
Investor Commitments. Except as set forth on Schedule 4.23(b)(ii), there are no commitments made by Investors to purchase Mortgage Loans from the Borrower or any Subsidiary of the Borrower (or to guarantee and purchase mortgage-backed securities with respect thereto) or other future or option contracts.
Investor Commitments. With respect to Eligible Mortgages, at all times maintain in effect Investor Commitments in an aggregate amount of at least one hundred percent (100%) of the aggregate unpaid principal balances or amounts of such Eligible Mortgages, excluding Other Loans and Defective Mortgages.
Investor Commitments. Any investment commitment for an Offering is a commitment by you to purchase the Offering in the amount of the commitment you placed via the Platform. If the Offering amount available for purchase is less than the amount of your commitment, your commitment will be deemed to be in the amount still available for purchase, subject to acceptance by the Issuer and us. At the time you commit to purchase an Offering, you must have sufficient available funds to complete the purchase. Once you place an investment commitment, you may cancel your commitment up to 48 hours prior to the closing of the offering by you, regardless of whether the full amount of the Offering is funded, provided that the minimum has been reached. If you do not qualify to invest in the Offering, or we determine for any reason to reject your commitment, we reserve the right to reject your commitment by notifying you. The Platform does not warrant or guarantee that you will be able to place a commitment on any Offering.

The Platform does not warrant or guarantee that you will be able to place a commitment on any Offering.
Investor Commitments. SBS has made available to NCF complete and --------------------- correct copies of all Investor Commitments in effect on such date. Each Investor Commitment constitutes a valid and binding obligation of SBS and all of the other parties thereto, enforceable in accordance with its terms, subject to bankruptcy, insolvency or other similar laws affecting the enforcement of creditors' rights generally and by general principles of equity (whether applied in a proceeding in equity or at law). Each Pipeline Loan or Warehouse Loan which is subject to an Investor Commitment is a Conforming Loan or is otherwise readily saleable in the secondary market.
Investor Commitments. First Harrisburg has previously provided to Xxxxxx complete and correct copies of all commitments to purchase Mortgage Loans ("Investor Commitments") in effect on the date hereof. Each Investor Commitment constitutes a valid and binding obligation of Mortgage Bank, and, to the best knowledge of First Harrisburg, all of the other Parties thereto, enforceable in accordance with its terms, subject to bankruptcy, insolvency or other similar laws affecting the enforcement of creditors' rights generally and by general principles of equity (whether applied in a proceeding in equity or at law). Each Mortgage Loan owned by Mortgage Bank and currently held for sale which is subject to an Investor Commitment is a loan eligible to be either an FHA or VA loan or sold to FNMA ("Conforming Loans") or is otherwise readily saleable in the secondary market.
