Licensee Products. (A) As of the Amendment Execution Date, the Licensee Products are as follows: Xxxxxxxx X, Xxxxxxxx X, Xxxxxxxx X, x000, Zire 71, Zire, the m5xx product family, the m1xx product family, the Palm VII family, the Palm V family, the Palm III family, and the PalmPilot family, as those products and families exist as of the Amendment Execution Date. Licensee may add new Licensee Products to the list in this Section I(A) of Exhibit D (Licensee Products, Royalties and Fees) upon prior written notice to PalmSource, provided that PalmSource may require additional support and maintenance fees to be paid which reasonably reflect the increased support and maintenance resources that would be required from PalmSource.
Licensee Products. Licensee Products" means those Licensee products which incorporate the Licensed Software and which are further described on Schedule B attached to this Agreement, as it may be amended from time to time by mutual agreement of the parties. Licensee may add products which are substantially similar or within the existing product family, to the products listed on Schedule B without Licensor's consent as long as there is no change in control of Licensee.
Licensee Products. Licensee Products" shall mean Licensee's hardware and/or software products as set forth in Exhibit A which add substantial value to the Products.
Licensee Products. Licensee is solely responsible for the development, content, operation, maintenance, and use of Licensee Products. Licensee must comply with any and all current technical documentation applicable to the Deliverables as provided by VisualOn and updated by VisualOn from time to time. Licensee shall ensure that all information it provides to VisualOn (including via applicable APIs) is accurate, complete and not misleading. Licensee shall reasonably cooperate with VisualOn to identify the source of any problem with the Licensee Products that VisualOn reasonably believes may be attributable to the Content, the Licensee Product, Licensee App or any other technology, or data that Licensee controls.
Licensee Products. The Broker may provide third parties, with an application programming interface and other materials in accordance with any accompanying documentation (collectively, the “Product API Package”) (such third parties, “API Licensees”), to make available certain features and functionality of the Broker’s websites or technology platform via the API Licensees’ products (such products, the “Licensee Products”).
Licensee Products. Licensee in its sole and absolute discretion may, at any time and from time to time, use the MamaMancini Marks (as defined in Section 6.1, below) in connection with marketing and selling Other Products. If and to the extent that Licensee uses the MamaMancini Marks in connection with marketing and selling Other Products, such Other Products shall be referred to as “Licensee Products” for purposes of this Agreement. Licensee Products, together with Licensor Products, shall be referred to as “Products” for purposes of this Agreement. Licensee in its sole and absolute discretion may, at any time and from time to time, cease using the MamaMancini Marks in connection with marketing and selling any or all Other Products in which event such Other Products shall cease to be “Licensee Products” or “Products” for purposes of this Agreement.
Licensee Products. Checks, labels, documents, brand packaging, government issued identification cards, licenses, certificates, and such other products as may be agreed upon by the parties from time to time in writing.
Licensee Products. (A) As of the SARSLA Execution Date, the Licensee Products are as follows: Tungsten C, Tungsten W, Tungsten T, Txxxxxxx X, Xxxxxxxx X0, Xxxxxxxx X0, Xxxxxxxx X0, i705, Zire 71, Zire, Zire 72, Zire 21, Zire 31, the m5xx product family, the m1xx product family, the Palm VII family, the Palm V family, the Palm III family, the PalmPilot family, Treo 90, Treo 180, Treo 180g, Treo 270, Treo 300, Treo 600, Treo 650, and the Visor family, as those products and families exist as of the SARSLA Execution Date. Licensee may add new Licensee Products to the list in this Section I(A) of Exhibit D (Licensee Products, Royalties and Fees) upon prior written notice to PSI, provided that PSI may require additional support and maintenance fees to be paid which reasonably reflect the increased support and maintenance resources that would be required from PSI.
Licensee Products. Subject to the obligations of this Article 8, Licensee shall have the right, at its option, to use in connection with the distribution, promotion, use, and sale of Products in accordance with Section 2.1 above, the trade names, trademarks, model designations and/or logos ("Marks") that Read-Rite uses for its Magnetic Recording Heads and has the right to authorize Licensee to use without the payment of compensation to third parties. Licensee also shall have the right to use its own Marks in connection with the Products in lieu of or in addition to Read-Rite's Marks. Licensee may sublicense the rights granted in this Section 8.1 to RRST, provided that Licensee ensures that RRST's usage of the Marks complies with the requirements of Section 8.4 below, that RRST grants to Read-Rite rights to use RRST's Marks consistent with those granted by Licensee to Read-Rite under Section 8.2 below, and that RRST consents to the provisions of Section 8.3 below.
Licensee Products. LICENSEE agrees to pay, for each License Year, a royalty of [Redact] of the Net Sales Price actually collected by LICENSEE from the sale of Licensed Commercial Products. For purposes of this Section 5.2(A) only, Net Sales Price shall exclude the amount of the LICENSEE's list price for any third-party technology incorporated in or bundled with any Meeting Point/Reflector Server included in such Licensed Commercial Products, provided that (i) LICENSEE has established a separate list price for such third-party technology and such list price is in effect at the time of the sale of such Meeting Point/Reflector Server and (ii) LICENSEE CONFIDENTIAL MATERIAL OMITTED AND FILED SEPARATELY WITH THE SECURITIES AND EXCHANGE COMMISSION. THE TERM "[REDACT]" DENOTES SUCH OMISSIONS has paid (or is obligated to pay) to any third-party a royalty in an amount equal to at least [Redact] of the Net Sales Price of such Meeting Point/Reflector Server.
