Major Capital Improvements. Any program of capital improvements, involving an addition to the Hotel, or designed to substantially upgrade or change the nature or image of the Hotel (as opposed to a renovation or refurbishing which takes place as part of the normal or cyclical upkeep of the Hotel), shall be deemed to be a "Major Capital Improvement." Major Capital Improvements will be undertaken only at the request of Lessee, whether on its own initiative or at the suggestion of Manager, and in any event shall not be included in the Capital Renewals Budgets.

Major Capital Improvements. SECTION 5.1.
Major Capital Improvements. In addition to the Service Charges otherwise imposed under this Section 7.1, but subject to Section 7.1(c) and Section 7.2, the Concessionaire may also impose a Capital Cost Recovery Charge to recover the capital costs of Major Capital Improvements. If the Concessionaire seeks to impose a Capital Cost Recovery Charge it shall submit to the City a written report detailing the capital cost of the Major Capital Improvement, the sources for funding such capital cost, the expected placed in service date of the Major Capital Improvement, the expected average useful life of the Major Capital Improvement and the proposed Capital Cost Recovery Charge which the Concessionaire proposed to impose over the term of the Cost Recovery Period. The report shall be considered by the City within 30 days of its submission and shall be subject to the Approval of the City, which Approval shall not be unreasonably conditioned, delayed or withheld. Any Approved Capital Cost Recovery Charge may be imposed during the Cost Recovery Period.

Major Capital Improvements as defined in Subsection 12.08.1.
Major Capital Improvements. Subject to Section 6.2.5, Manager shall cause to be performed all Major Capital Improvements in accordance with the approved Business Plan for the applicable Fiscal Year and as otherwise specifically required by this Agreement, or as otherwise approved by Owner to (i) keep the Managed Facilities in compliance with the Standards as provided for in the Business Plan; or, (ii) comply with, and cure or prevent the violation of, any Applicable Laws or the Investment Certificate. Subject to the terms of an approved Business Plan or Owner’s prior written approval, Manager shall have the right to contract with any Affiliate of Manager to perform the work related to any Major Capital Improvement. Except in accordance with the approved Business Plan for the applicable Fiscal Year, no Major Capital Improvements will be performed by Manager or its affiliates unless approved in writing by the Owner, which approval may be given or withheld in Owner’s reasonable discretion. All Major Capital Improvements shall be performed at Owner’s expense, and not from funds in the Operating Accounts or the Reserve Funds; provided, however, if any such Major Capital Improvements shall be made necessary by any condition against the occurrence of which Owner has received or is entitled to the benefit of the guarantee or warranty, then Manager shall use its reasonable efforts to invoke such guarantees or warranties in Owner’s or Manager’s name and Owner will cooperate fully with Manager in the enforcement thereof.

Major Capital Improvements. In consultation with and subject to approval of the Corporation and Vestry of All Saints’ Westboro and the congregation of First United Church, the JPC, shall, with regard to major Capital Improvements: • Research and recommend project options, priorities, budgets for consideration and approval of All Saints’ Westboro Corporation and congregation of First United; • Obtain estimates and represent the Corporation in contract negotiations for major capital improvements; and, • Administer contracts to ensure compliance with content of agreements and take appropriate action, as required. If the Concessionaire seeks to impose a Capital Cost Recovery Charge it shall submit to the Authority a written report detailing the costs incurred to implement the Major Capital Improvement, any change in costs of operation and maintenance of the System, the sources for funding such capital cost, including, where applicable, the Capex Fund, the expected placed in service date of the Major Capital Improvement, the expected average useful life of the Major Capital Improvement and the proposed Capital Cost Recovery Charge for the Major Capital Improvement, as determined in accordance with the definition of Capital Cost Recovery Charge for the Concessionaire’s debt incurred for and equity investment in the Major Capital Improvement, which the Concessionaire proposes to impose for each Reporting Year over the term of the Cost Recovery Period. The report shall be considered by the Authority within 30 days of its submission and shall be subject to the Approval of the Authority, which Approval shall not be unreasonably conditioned, delayed or withheld, provided however that the Authority shall be deemed to have withheld its Approval reasonably of any proposed Capital Cost Recovery Charge that includes for any Reporting Year during the permitted Cost Recovery Period a Capital Cost Recovery Charge that is greater than 200% of the Capital Cost Recovery Charge for any other Reporting Year (with the exception of the initial Capital Cost Recovery charge requested). Any Approved Capital Cost Recovery Charge may be imposed during the entire Cost Recovery Period.
Major Capital Improvements. 10.1 Any Capital Improvement involving an addition to the Facility or renovation or refurbishing designed to upgrade or change the nature or image of the Facility shall be deemed to be a “Major Capital Improvement.” Any Major Capital Improvement project is in City’s sole control and discretion, and all costs and expenses of any Major Capital Improvement shall be paid solely by City. The parties acknowledge and agree that this Agreement imposes no responsibilities or obligations on the part of AGC with respect to any aspect of a Major Capital Improvement project, including design, construction, or supervision. In the event City desires AGC to be involved in any capacity in a Major Capital Improvement project, the parties will enter into a separate agreement setting forth the terms and conditions of such involvement.
