Material Supply. In the event that Supplier cannot, or does not, pursuant to Sections 2.01, 15.01 or 15.02 of this Supply Agreement, continue to produce Buyer's requirements, Supplier will use commercially reasonable efforts to separately supply Materials for Buyer's use at other contract manufacturers to produce Buyer's requirements. Notwithstanding the foregoing, Buyer's use of the Materials at another manufacturer is subject to Section 12.02 below.

It is the intention of the parties that, if mutually acceptable terms and conditions of supply are agreed upon, ExxonMobil or an Affiliate of ExxonMobil will have the opportunity, but not the obligation, to supply Novel Materials found to be useful in the * by Symyx in conducting research, on its own or on behalf of Third Parties. In the event that Symyx is working on a program with a Third Party outside of *, involving the possibility of commercialization of a Novel Material, Symyx shall, subject to its obligations to the Third Party, inform the Third Party of the availability of such Novel Material from ExxonMobil or its Affiliates, including:
Material Supply. 1. MBT will utilize only UDC-supplied PHOLED emitters for its manufacture of products used to satisfy any obligations under the DOE Project. For future DOE projects in which both UDC and MBT participate, MBT will also utilize only UDC-supplied PHOLED emitters for its manufacture of products used to satisfy any obligations under such projects. UDC may also offer to make certain PHOLED hosts available to MBT, which MBT may also use for its manufacture products.
Material Supply. Upon Newsoara’s request, AUM shall provide to Newsoara the sufficient amount of certain materials in AUM’s possession and created by or on behalf of AUM in connection with AUM’s (or its Affiliates) Development of a Licensed Compound, including the sufficient amount of Licensed Compound for Newsoara’s filing of an IND in the Territory for the Licensed Compound.
Material Supply. Fokker will supply vendor as well as proprietary parts, tooling and other ground support equipment, Fokker modifications kits, and Fokker structural parts kits for damage repairs. Fokker's Component Repair & Overhaul division offers complete repair and overhaul services for all structural parts (e.g. ailerons, rudders, etc.), as well as Line Replaceable Units (LRU's) for avionics, electronics, mechanical instruments and hydraulic systems. A wide range of communications equipment, flight control computers, flight augmentation systems, and fuel and hydraulic components as well as flight data recorders and inertial navigation systems, can be processed by this division. Customized Material Support includes various other services such as: - Material flighthour agreements; - Lease service for insurance parts and loan tools.
Material Supply. For any MTA executed by Anacor and a Library Party, as described in Section 2.8(b) above, Anacor shall provide to the applicable Library Party [ * ]. In addition, additional amounts (generally not to exceed [ * ] per compound per Library Party) may be delivered upon request of a Library Party for specialty screens or follow-up research as approved by the JSC. Anacor’s obligation to provide such additional amounts of compounds (in solution or as a solid) shall be subject to the Library Party’s reimbursing Anacor’s costs to synthesize and deliver such compounds, which costs shall not exceed Anacor’s direct costs, if Anacor conducts such synthesis, or the amount Anacor pays to a Third Party that synthesizes such compound, plus in each case applicable packaging and shipping costs; provided that no costs for synthesis will be charged to the extent Anacor has available quantities synthesized pursuant to the Library Plan. At any time during the Library Access Term, the Foundation may, upon written notice to Anacor, require that a copy of the New Library (together with any applicable safety, handling and storage information) be retained at a non-Anacor facility, such facility as agreed by the Parties, subject to the Foundation reimbursing Anacor’s internal and Third Party costs to establish and transfer such copy to such facility.
Material Supply. Upon Newsoara’s request and to the extent specifically set forth in the technology transfer plan, Genelux shall provide to Newsoara reasonable amount of certain materials (including but not limited to [***] in Genelux’s possession and created by or on behalf of Genelux in connection with Newsoara’s (or its Affiliates) Development of the Licensed Viruses and Licensed Products. Newsoara shall reimburse Genelux for both out-of-pocket cost and internal cost incurred by Genelux to provide such materials. [***]. All such materials will be provided AS IS without any warranty and will be delivered to Newsoara EXW (Incoterms 2020) at Genelux’s facility. Genelux shall retain ownership and title to such materials at all times, and Newsoara (a) shall use such materials solely for the purpose to Develop the Licensed Viruses, Licensed Products, Derived Molecules and Derived Products under this Agreement, and (b), unless otherwise specified in this Agreement, shall not transfer or provide access to such materials to any Third Party other than its subcontractors (subject to the requirements set forth in Section 4.5, and excluding [***] and Regulatory Authorities (to the extent required by Applicable Laws) without Genelux’s prior written consent. For clarity, Newsoara acknowledges the proprietary nature of the materials provided by Genelux, including Licensed Virus(es), even though some or all of the sequence of the virus may be publicly available.
