Nonemployment Agreement. During the period of employment with Employer, Employee shall not, on Employee's own behalf or on behalf of any other person, partnership, association, corporation or other entity, hire or solicit or in any manner attempt to influence or induce any employee of Employer or its affiliates to leave the employment of Employer or its affiliates, nor shall Employee use or disclose to any person, partnership, association, corporation or other entity any information obtained while an employee of Employer concerning the names and addresses of the employees of Employer or its affiliates.
Nonemployment Agreement. For a period of two years after the termination or cessation of his employment with the Corporation for any reason whatsoever, Employee will not, on his own behalf or on behalf of any other person, partnership, association, corporation or other entity, hire or solicit or in any manner attempt to influence or induce any employee of the Corporation or its affiliates to leave the employment of the Corporation or its affiliates, nor will he use or disclose to any person, partnership, association, corporation or other entity any information obtained while an employee of the Corporation concerning the names and addresses of the Corporation's employees.
Nonemployment Agreement. For a period of three years after the ----------------------- termination or cessation of his employment with WFM for any reason whatsoever, Team Member shall not, on his own behalf or on behalf of any other person, partnership, association, corporation or other entity, hire or solicit or in any manner attempt to influence or induce any employee of WFM or its affiliates to leave the employment of WFM or its affiliates, nor shall he use or disclose to any person, partnership, association, corporation or other entity any information obtained while an employee of WFM concerning the names and addresses of WFM's employees.
Nonemployment Agreement. For a period of five years after the termination or cessation of his employment with Employer for any reason whatsoever, unless there was no just cause, Employee shall not, on Employee's own behalf or on behalf of any other person, partnership, association, corporation or other entity, hire or solicit or in any manner attempt to influence or induce any employee of Employer or its affiliates to leave the employment of Employer or its affiliates, nor shall Employee use or disclose to any person, partnership, association, corporation or other entity any information obtained while an employee of Employer or its affiliates concerning the names and addresses of Employer's or its affiliates' employees.
Nonemployment Agreement. For a period of 36 months after the termination or cessation of his employment with Employer for any reason whatsoever, Employee shall not, on his own behalf or on behalf of any other person, partnership, association, corporation or other entity, hire or solicit or in any manner attempt to influence or induce any employee of Employer or its affiliates to leave the employment of Employer or its affiliates, nor shall he use or disclose to any person, partnership, association, corporation or other entity any information obtained while an employee of Employer concerning the names and addresses of Employer's employees. The provisions contained in Section 4 and 5 hereof will terminate and be of no effect if (a) an Event of Default occurs under the convertible subordinated promissory note issued by Employer to Employee in the Acquisition and remains uncured during the period provided for in such note, (b) Employer fails to register the shares of common stock of MedicalControl in violation of that certain Registration Rights Agreement between MedicalControl, Employee and certain other individuals, (c) Employer in writing or orally in front of a third party states to Employee that it is terminating him without just cause and fails to pay the severance provided for herein or (d) Employer breaches the terms of that certain Escrow Agreement executed in connection with the Acquisition (it being acknowledged that the mere act of the escrow agent depositing the escrow amount into a court in an interpleader action is not a default by Employer of the Escrow Agreement).
Nonemployment Agreement. For a period of two years after the ----------------------- termination or cessation of his employment with Company for any reason whatsoever, Executive shall not, on his own behalf or on behalf of any other person, partnership, association, corporation or other entity, hire or solicit or in any manner attempt to influence or induce any employee of Company or its affiliates to leave the employment of Company or its affiliates, nor shall he use or disclose to any person, partnership, association, corporation or other entity any information obtained while an employee of Company concerning the names and addresses of Company's employees.
Nonemployment Agreement. For a period of eighteen (18) months after the termination or cessation of his employment with the Corporation for any reason whatsoever, Employee shall not, on his own behalf or on behalf of any other person, partnership, association, corporation or other entity, hire or solicit or in any manner attempt to influence or induce any employee of the Corporation or its affiliates to leave the employment of the Corporation or its affiliates, nor shall he use or disclose to any person, partnership, association, corporation or other entity any information obtained while an employee of the Corporation concerning the names and addresses of the Corporation's employees. Businesses that are competitive with the Corporation, for the purpose of this Section 6, shall be only those that develop, implement or sell provider network management, utilization review/case management services or repricing software for preferred provider organizations or provider service organizations or their industries.
Nonemployment Agreement. For a period of two years after cessation of Employee's employment with Employer for any reason whatsoever, Employee shall not, on his own behalf or on behalf of any other Person, hire, solicit, or seek to hire any employee of Employer or in any other manner attempt, directly or indirectly, to influence, induce, or encourage any employee of Employer to leave the employment of Employer, nor shall Employee use or disclose to any Person any information obtained while an employee of Employer concerning the names and addresses of persons employed by Employer in the Business during the term of this Agreement.
Nonemployment Agreement. In partial consideration for Executive's employment hereunder, Executive covenants and agrees that he will not on his own behalf or on behalf of any other person, partnership, association, corporation or other entity, at any time during the term of his employment by the Company and, in the event that this Agreement terminates by reason of Sections 2(a) or 2(d), for a period of 24 months thereafter,
