OTC Markets. Upon each conversion of the Note in whole or in part, Company shall ensure that, as of the date of such conversion, the outstanding shares of Common Stock of Borrower as reported on the OTC Markets is current and up to date as of such date of conversion.

OTC Markets. Prior to the Closing, the Company shall use its commercially reasonable efforts to cause (a) the retirement of the Company’s ticker symbol and (b) the Company’s stock to cease being quoted on the OTCQB Marketplace, in each case effective as of the Closing, including by (i) timely filing with FINRA an Issuer Company-Related Action Notification Form in accordance with FINRA Rule 6490, and (ii) sending an email notification to OTC Markets at xxxxxxx@xxxxxxxxxx.xxx containing the press release announcing the Merger and the transactions contemplated by this Agreement.
OTC Markets. The Company was subject to the OTC Markets Alternative Reporting Standards until on or about December 31, 2020 at which time its Common Stock became voluntarily subject to the reporting requirements of Section 13 or 15(d) of the Exchange Act pursuant to the filing of a registration statement on Form S-1. On April 27, 2022, the Company registered its Common Stock pursuant to Section 12(g) of the Exchange Act by filing a Form 8-A/12g and the Company became a mandatory SEC reporting issuer. During such time as the Company was subject to the Alternative Reporting Standards of the OTC Markets it filed all required reports that it was required to have filed from January 1, 2019, through and including December 31, 2020;

OTC Markets. Cxxx Xxx is currently quoted on the OTC Markets website, with the symbol TXCB, and meets all requirements to be listed on the OTC Markets website.

There is no Action or proceeding pending or, to the Knowledge of APNT, threatened against APNT by FINRA, or any other regulatory or self-regulatory organization or the staff thereof relating to any intention by such entities to prohibit or terminate the quotation of APNT Common Stock on the OTCQB tier of the OTC Markets.

OTC Markets. The Parent shall have maintained its status as a Company whose common stock is available for quotation on the Pink Market maintained by OTC Group, Inc., without reservation or limitation, and fully DTC FAST eligible, no chills shall be in effect or threatened and Parent shall not have received any notice that any reason shall exist as to why such status shall not continue immediately following the Closing.

  • Bulletin Board The Employer shall provide a bulletin board which shall be placed so that all employees will have access to it and upon which the Union shall have the right to post notices of regular meetings, special meetings, seminars or Union activities.

  • Nasdaq National Market Listing Parent shall authorize for listing on the Nasdaq National Market the shares of Parent Common Stock issuable, and those required to be reserved for issuance, in connection with the Merger, upon official notice of issuance.

  • Nasdaq Until the consummation of a Business Combination, the Company will use its best efforts to maintain the listing of the Public Securities on Nasdaq or a national securities exchange acceptable to the Representative.

  • Nasdaq Capital Market The Public Securities have been authorized for listing, subject to official notice of issuance and evidence of satisfactory distribution, on the Nasdaq Capital Market (“Nasdaq”), and the Company knows of no reason or set of facts that is likely to adversely affect such authorization.

  • Quotation The Company will use its best efforts to include, subject to notice of issuance, the Common Shares on the Nasdaq National Market.

  • The Nasdaq Capital Market By the Effective Date, the Securities shall have been approved for trading on the Nasdaq Capital Market.
