Common use of Pro Rata Share Clause in Contracts

Pro Rata Share. For purposes of this Section 2, the -------------- Pro Rata Share of a Stockholder shall be a fraction, (i) the numerator of which shall be the total number of shares of Voting Securities then held by the Stockholder and (ii) the denominator of which shall be the total number of shares of Voting Securities then issued and outstanding and held by parties to this Agreement.

Pro Rata Share.
