Role of Manager. Notwithstanding anything in this Agreement, the Manager may on its own account take up or acquire B Shares and for this purpose may borrow and grant security over such B Shares provided that the Manager and its associated persons (as that term is defined in the Income Tax Act 2007) may not take up and acquire more than 19% of the B Shares.
Role of Manager. The Manager ensures that job descriptions for all staff are current and reflect required duties and responsibilities. In the event of change, the Manager and should agree to the new required duties and responsibilities and submit the proper documentation to the Committee for review. Role of Manager. Vendor understands that Manager (1) is not the Site owner; (2) acts solely as an agent for Owner; (3) engages all vendors on behalf of the Owner and not on behalf of Manager. Vendor acknowledges and agrees that Owner is solely responsible for payment for any services performed or materials delivered and not Manager.
Role of Manager. A. Subject to Section 5.2, the Manager shall manage and conduct the operations and related contractual, financial and other affairs of the Company, its Subsidiary(ies) and the Property and make all decisions regarding the Company, its Subsidiary(ies) and the Property pursuant to and in accordance with the terms of this Agreement. The Manager shall generally have all the rights, powers, duties and obligations of a member and a manager under the Delaware Act and as provided by other applicable law.
Role of Manager. If the Buyer so directs, any rights, obligations and duties of the Buyer under this document may be exercised, performed and carried out by the Manager on behalf of the Buyer.
