Seller warrants to Buyer its successors and customers that all products delivered (including all replacement items or corrected components which Seller delivers) are new, free from defects in materials and workmanship, and conform to all applicable drawings, specifications, samples and other descriptions furnished or specified by Buyer, Seller or Maker, and all services furnished are free from defect and conform with applicable specifications and other descriptions furnished or specified by Buyer or Seller, as the case may be.
Seller warrants to Buyer. (a) Subject to approval of the Bankruptcy Court, Seller is authorized to execute and perform this Agreement, and this Agreement constitutes a valid and legally binding obligation of Seller enforceable in accordance with its terms; (b) that Seller has, and will at the Transfer Date have, and can prove on request from Buyer, good and marketable title to each Asset and each Asset is, and will at the Transfer Date be, legally and beneficially owned by Seller; (c) there are no Encumbrances over any of the Assets, nor will there be any Encumbrances over any of the Assets on the Transfer Date, and Seller has not agreed, nor will Seller have agreed at the Transfer Date, to create any Encumbrances over the Assets or any part of them; (d) each Asset is, and will at the Transfer Date be, in the possession or under the control of Seller; (e) to the knowledge of Seller, none of the Assets infringe or violate (or contain any parts or components which infringe or violate) a third party’s copyright, patent, design rights, trademark, trade secrets or other proprietary and/or intellectual property rights; (e) no damage has been done other than through normal wear and tear to any of the Assets and no Assets have left the Site since the date on which they were last inspected by Buyer; (f) except as otherwise notified to Buyer, no hazardous substances are contained in or made a part of any of the Assets and, for the purposes of this Agreement, the term “hazardous substances” shall mean, either individually or collectively, any substance or waste designated pursuant to any laws, statutes, or regulations of governmental, local or other statutory authority as presenting an imminent and substantial danger to the public health or welfare or to the environment, or as otherwise requiring special handling, collection, storage, treatment, disposal or transportation; and (h) it is in material compliance with all laws, rules and regulations applicable to its performance under this Agreement including the U.S. Foreign Corrupt Practices Act and the UK Bribery Act 2010. 6.
Seller warrants to Buyer and Buyer's customers that all Products supplied or sold under this Agreement:
Seller warrants to Buyer that the manufacturing services will conform to Buyer's applicable specifications at the time of delivery of the Products. Seller will transfer to Buyer any and all transferable warranties and indemnities Seller receives from the manufacturer of the electronic or other components/materials.

  • Certificate of Selling Shareholders At Closing Time, the Representatives shall have received a certificate of an Attorney-in-Fact on behalf of each Selling Shareholder, dated as of Closing Time, to the effect that (i) the representations and warranties of each Selling Shareholder contained in Section 1(b) hereof are true and correct in all respects with the same force and effect as though expressly made at and as of Closing Time and (ii) each Selling Shareholder has complied in all material respects with all agreements and all conditions on its part to be performed under this Agreement at or prior to Closing Time.

  • Purchase and Closing (a) On the basis of the representations, warranties, agreements and covenants herein contained and subject to the terms and conditions herein set forth, the Company agrees to issue and sell to each of the Underwriters, and each of the Underwriters, severally and not jointly, agrees to purchase from the Company, at a purchase price of $___ per Share (the "Purchase Price"), the number of Firm Shares set forth opposite the name of such Underwriter in Schedule 1 hereto.   • Second Closing The Company shall notify the Purchaser upon achievement of the Milestone. The Subsequent B Shares and Subsequent Notes shall be sold on the same terms as the Series B Shares and Notes sold at the Closing. "Additional Purchasers" shall be such Persons, who shall be reasonably acceptable to the Company and Sentinel, who execute and deliver to the Company a counterpart of this Agreement, a joinder to the Stockholders Agreement and a joinder to the Registration Agreement, and purchase Subsequent B Shares and Subsequent Notes on the Subsequent Closing Date. Each Additional Purchaser shall purchase such number of Subsequent B Shares and a Subsequent Note in such principal amount as agreed to by such Additional Purchaser and Sentinel. Sentinel shall purchase all Subsequent B Shares which the Additional Purchasers, if any, do not purchase. Sentinel shall purchase a Subsequent Note having a principal amount equal to $336,000 minus the aggregate principal amount of the Subsequent Notes, if any, purchased by the Additional Purchasers, if any. Each Additional Purchaser shall be deemed a "Purchaser" hereunder. The respective amounts of Subsequent B Shares and Subsequent Notes purchased by Sentinel and each Additional Purchaser, if any, shall be set forth on a Schedule of Subsequent Purchase and shall be attached hereto on the Subsequent Closing Date.
