Service life. For purposes of calculating the Transmission Service Payments under the Formula Rate, (a) the depreciable life of any depreciable asset comprising part of the Northern Pass Transmission Line as of the Commercial Operation Date shall be equal to forty (40) years, and (b) the depreciable life of a capital addition that is placed-in-service after the Commercial Operation Date shall be equal to the lesser of (i) its economic life and (ii) the remaining Term as of the placed-in-service date.

Service life. ‌ As an OTN Member ensure any telemedicine equipment connected to the OTN network, or used to receive an OTN telemedicine service, complies with OTN hardware and software standards and requirements as specified in the List of Standard Equipment . It is recommended that sites replace aging equipment as it reaches the manufacturer’s EOS date, which indicates that the product is no longer supported by the manufacturer and may have limited OTN technical support. At this point the EOL/EOS systems are moved into a different section of the List of Standard Equipment. Although systems may function normally after the EOS date, potential issues can arise with their continued use: • Manufacturers will not respond to service requests or problem reports on EOS systems. The OTN Technical Support team will attempt to help but will be very limited in the service it can offer. • Replacement parts become scarce or unavailable, so that it may become impossible to repair faulty or damaged EOS systems. • New peripherals (including monitors, speakers, and medical devices) may not physically connect to older systems. • Software patches and upgrades are no longer provided by the manufacturer, which means known issues and software bugs cannot be addressed anymore. • New equipment might not interoperate properly with older systems. Some telemedicine events involving EOS systems may be degraded in quality or fail entirely. • New features and functions introduced into the OTN network may not work properly or an all with EOS systems, and may cause EOS systems to malfunction. Members will receive an annual inventory statement detailing the status of all equipment at the site including the EOS status. Note: OTN reserves the right to remove from the network any system that does not comply with the hardware and/or software requirements as set out in the current List of Standard Equipment. EOS systems will be decommissioned from the network if they cause inter-operability issues.

Service life. ‌ The table below estimates the service life for each technical installation on the basis of experience data. In case of discrepancy between the assessed service lives stated by the PPP company and the service lives stated below, the service lives stated below shall apply. In case of termination, a linear reduction of the estimated service life of the facilities shall be made. For example, in the event of termination after 10 years, the residual service life for the wastewater treatment plant will be 20 years minus 10 years = 10 years. It is the responsibility of the PPP company at any time during the term of the Agreement to maintain the facilities so as to comply with the functional requirements. The table below is only to be used in case of discrepancy between the service lives stated by the PPP company and the service lives stated in the table - and only in connection with the assessment of the condition of the Asset upon expiry of the Agreement. An important reason in particular applies if:  the CUSTOMER violates contractual or legal obligations;  insolvency proceedings are instituted against the assets of the CUSTOMER, or an application for the opening of such proceedings is rejected for lack of cost-covering assets, or conditions for initiating such proceedings or dismissal of such an application exist or the CUSTOMER ceases payments;  the CUSTOMER has passed on the access data and these are used by third parties who are not active in the CUSTOMER's organization;  the CUSTOMER does not fulfil a payment obligation when due;  the CUSTOMER fills databases or storage space with inappropriate content (e.g. explicit, offensive data or content glorifying violence etc). Upon termination of this Agreement, the CUSTOMER is no longer entitled to use the EMEREC software in any form whatsoever. The CUSTOMER will prove this to RB upon request.
