Technology Rights. The Company may employ new technology, including video systems, GPS, mobile data terminals/computers and other present or future technologies for the transit industry, in order to help ensure the safety of the driver and passengers, and compliance with all federal, state and local driving rules and regulations by both the driver and the motoring or pedestrian public. The Company and the Union agree that any recording resulting from said technology may be used as evidence in the investigation of any incident involving the Company facility, another employee, or an employee while operating a Company vehicle. In the event any data or recording is used as evidence for purposes of disciplinary action, the Union shall be afforded an opportunity to view the evidence as soon as practicable after the action is taken. Any use of Technology for disciplinary purposes, as described in this Section, shall be in accordance with the terms of this Agreement and is subject to the grievance procedure contained herein. The Company shall meet with the Union before implementation of new technology on an advise and confer basis, in order to explain and clarify the use and effects of said technology. The Union maintains all rights to the grievance procedure contained in this Agreement in the case of disagreement concerning any implementation of new technology as stated in this Section.

Technology Rights. (a) MBI hereby grants to Mallinckrodt a license of, including the right to sublicense others under, the Technology Rights and Know-how, in order to test, evaluate and develop ALBUNEX covered thereby, and to make, use, promote, sell, offer to sell and otherwise commercialize ALBUNEX in the Territory, the Additional Territory and the Nycomed Territory. Subject only to the limitations contained in SECTIONS 9.01(a) AND (b), AND 14.03(b) and MBI's utilization of the Technology Rights and Know-how to perform its obligations pursuant to this Agreement (including MBI's right to manufacture ALBUNEX), this license from MBI is exclusive, perpetual and non-cancelable:

Technology Rights. Technology Rights. 6A.1 Title to all computer programs, computer software, microcode, firmware, application programming interfaces, other interfaces, Gateway, source code, including all updates, replacements and copies thereof, provided by WUNA to Agent (“MT Software”) shall remain in WUNA, and no title thereto is transferred to Agent hereby. During the term of this Agreement, Agent is hereby granted a royalty-free, terminable, non-transferable and non-exclusive license to use the MT Software for the sole purpose of providing the Money Transfer Services and for such other purposes as WUNA or its affiliates may specify in writing from time to time. Such license shall terminate upon termination of this Agreement. In order to protect WUNA’s trade secrets in the MT Software Agent shall install MT Software updates within ninety (90) days of distribution by WUNA. At Agent’s expense. Agent shall not reverse engineer, decompile, copy, modify, create derivative works of, transfer, sell, publish or disclose all or part of the MT Software. Agent agrees that the MT Software is proprietary and confidential information of WUNA. 6A.2 Any improvement(s) to the MT Software made or discovered during the Term shall belong exclusively to WUNA. To the extent that Agent contributes, in whole or in part, to any improvement(s) to the MT Software, Agent hereby assigns to WUNA all right, title and interest in and to such improvements. Further, Agent agrees that (a) it will not seek, and that it will require its employees, agents and representatives (including third party contractors) not to seek patent, copyright, trademark, registered design, or other protection for any rights in and to the improvement(s), and (b) it will do and will require its employees, agents and representatives (including third party contractors) to do, at WUNA’s expense, all things and execute all documents as WUNA may reasonably require to vest in WUNA or its nominees any protection for the improvement(s) that the other party deems appropriate.
Technology Rights. Subject to the terms and conditions hereof, NPI shall have the right to use JDS’s Confidential Information, which relates in any way to the Products, to Manufacture the Products for JDS or JDS’s successors or assigns. The Parties acknowledge and agree that JDS is the owner of its Confidential Information and that NPI has no ownership rights thereto, and no right to use JDS’s Confidential Information except as provided in this Agreement.
