Common use of Transfer of Voting Rights Clause in Contracts

Transfer of Voting Rights. Shareholder agrees that, during the period from the date of this Voting Agreement through the Expiration Date, Shareholder shall ensure that: (a) none of the Subject Securities are deposited into a voting trust with voting instructions inconsistent with any of the foregoing provisions of Section 1.1; and (b) other than the Proxy, no proxy is granted, and no voting agreement or similar agreement is entered into, with respect to any of the Subject Securities that is inconsistent with any of the foregoing provisions of Section 1.1.

Transfer of Voting Rights. Shareholder Each of the Shareholders, jointly and severally, agrees that, during the period from the date of this Voting Agreement through the Expiration Date, such Shareholder shall ensure that: (a) none of the Subject Securities are Owned by such Shareholder is deposited into a voting trust with voting instructions inconsistent with any of the foregoing provisions of Section 1.1trust; and (b) other than the Proxy, no proxy is granted, and no voting agreement or similar agreement is entered into, with respect to any of the Subject Securities that is inconsistent with any of the foregoing provisions of Section 1.1Owned by such Shareholder.

Shareholder Each of the Stockholders agrees that, during the period from the date of this Voting Agreement through the Expiration Date, Shareholder such Stockholder shall ensure that: (a) none of the Subject Securities are Owned by such Stockholder is deposited into a voting trust with voting instructions inconsistent with any of the foregoing provisions of Section 1.1trust; and (b) other than the Proxy, no proxy is granted, and no voting agreement or similar agreement (other than this Agreement) is entered into, with respect to any of the Subject Securities that is inconsistent with any of the foregoing provisions of Section 1.1Owned by such Stockholder.

Shareholder agrees that, during the period from the date of this Voting Agreement through the Expiration Date, except as provided in this Voting Agreement, Shareholder shall ensure that: (a) none of the Subject Securities are is deposited into a voting trust with voting instructions inconsistent with any of the foregoing provisions of Section 1.1trust; and (b) other than the Proxy, no proxy is granted, and no voting agreement or similar agreement is entered into, with respect to any of the Subject Securities that is inconsistent with any of the foregoing provisions of Section 1.1Securities.

Shareholder Each Stockholder agrees that, during the period from the date term of this Voting Agreement through the Expiration DateAgreement, Shareholder such Stockholder shall ensure that: (a) none of the Subject Securities Shares are deposited into a voting trust with voting instructions inconsistent with any of the foregoing provisions of Section 1.1trust; and (b) other than the Proxy, no proxy is grantedgranted (other than as set forth in Section 1.2), and no voting agreement or similar agreement is entered into, with respect to any of the Subject Securities that is inconsistent with any of the foregoing provisions of Section 1.1Shares.

The Shareholder agrees that, during the period from the date of this Voting Agreement through until the Expiration Date, the Shareholder shall ensure that: (ai) none of the Subject Securities are Shares is deposited into a voting trust with voting instructions inconsistent with any of the foregoing provisions of Section 1.1; and (bii) other than the Proxy, no proxy is grantedgranted except in connection with the Carrollton Meeting in favor of the Merger, and no voting agreement or similar agreement is entered into, with respect to any of the Subject Securities that is inconsistent with any of the foregoing provisions of Section 1.1Shares.
