Transfers or Assignments. A Party that transfers or assigns its ownership of, or its rights equivalent to ownership in, Transmission Facilities shall require the transferee or assignee to assume all rights and obligations under this Agreement and to become a Party to this Agreement.
Transfers or Assignments. (A) Assignment and Transfer by Clearwire. Subject to any required FCC consent or authorization, Clearwire may assign this Agreement to a third party; provided, however, that Clearwire shall remain responsible for the performance of the payment obligations of the assignee pursuant to the Agreement, except that Clearwire shall not be responsible for the performance of the payment obligations of those assignees whose creditworthiness is equal to or better than Clearwire's, as measured by each party's respective bond ratings or other comparable measure, and who sign an agreement with, and reasonably acceptable to, Licensee to assume the obligations of Clearwire hereunder.

If Dominion Virginia Power transfers or assigns its ownership of, or its rights equivalent to ownership in, its Transmission Facilities, it shall require the transferee or assignee to assume all rights and obligations under this Agreement and to become a Party to this Agreement. Such transferee or assignee may withdraw from this Agreement in accordance with the provisions of Sections 3.2 and 3.4.
Transfers or Assignments. Neither Lessee nor Licensee may sell, assign or transfer its rights and/or obligations under this Agreement without the prior written consent of the other Party, such consent not to be unreasonably withheld, conditioned or delayed. Notwithstanding the foregoing, the Parties agree that Licensee may, without the prior consent of Licensee: (i) assign any of its rights under this Agreement as collateral; or (ii) sell, assign or transfer this Agreement or any of its rights or obligations hereunder to any entity that acquires the License. Each Party shall also be entitled, without the consent of the other Party, to undertake a pro forma assignment or transfer of this Agreement. The Parties will cooperate in the preparation and submission of all applications, amendments, petitions, requests for waivers, and other documents necessary to secure any FCC approval, consent or other action required in connection with the exercise of either Party of its rights under this Section.
Transfers or Assignments. 22.1. You cannot transfer or assign any rights you may have under this Merchant Contract without Atome’s prior written consent.
Transfers or Assignments. The Lender shall not transfer the Loan or assign any of its rights or obligations under the Loan or under this Loan Agreement to any third party without the prior written consent of the Borrower. The Borrower shall not transfer the Loan or assign any of its rights or obligations to any person other than New Parent without the prior written consent of the Lender. This Agreement shall be binding upon and shall inure to the benefit of the Parties hereto and their respective permitted successors and assigns. The rights and obligations under this Loan Agreement may only be transferred together with the shares Convertible Loan Agreement regarding Oculis SA, 26 January 2023 9/16 held in Oculis, such transfer of shares to take place in accordance with this shareholders' agreement dated 1 April 2021 entered into the other shareholders of Oculis (the "Oculis Shareholders' Agreement"). Each Party undertakes individually for itself vis-à-vis each other Party, to impose on its individual legal successors, if any, the rights and obligations arising under this Loan Agreement in such a way, that its individual legal successors are bound by the rights and obligations under the Oculis Shareholders' Agreement as if they had themselves undertaken these rights and obligations. Notwithstanding the foregoing, no Party shall enter into any arrangement with any other person, as a result of which Swiss stamp duties and withholding tax on interest payments could be triggered. The Parties agree and shall procure that during the term of this Loan Agreement, the Borrower shall at no time be the recipient of loans or other debt capital (including the Loan) from more than twenty creditors and the Company shall not accept additional lenders if this would result in to more than twenty such creditors. Notwithstanding anything to the contrary in this Loan Agreement, the Lender shall not enter into any arrangement with another person under which it substantially transfers all or part of its Loan or its exposure under this Loan Agreement to that other person (including any sub-participation), except to the extent that legal counsel to Oculis express its belief that such transaction will not trigger adverse legal or tax consequences.

The Company shall not transfer the Loan or assign any of its rights or obligations under the Loan or under this Note Agreement to any third party without the prior written consent of the Lender. The Lender shall not transfer the Loan or the Note or assign any of its rights or obligations under the Loan, the Note or under this Note Agreement to any third party without the prior written consent of the Company.
Transfers or Assignments. Centennial shall not grant sublicenses, sell or otherwise transfer any rights under this Agreement to any person or entity without the prior written approval from Masada (a) of such person or entity and (b) of the form and substance of a written agreement pursuant to which Centennial desires to grant such sublicense, sell or otherwise transfer any such rights, which such approval will not be unreasonably withheld; provided, however, that Centennial may grant any sublicenses, sell or otherwise transfer any rights under this Agreement to any entity wholly-owned by Centennial without Masada's consent.

You agree that we may appoint third party collections agencies to collect any amounts owing to us under this Agreement without your consent. You hereby waive demand, notice of non-payment, protest and all other notices o r demands whatsoever, and hereby consent that without notice to and without releasing the liability of any party, the obligations evidenced by this Agreement may from time to time, in whole or part, be renewed, extended, modified, a ccelerated, compromised, settled, canceled or released by us.
