Common use of Xxxxxxxx Xxxxxx Clause in Contracts

Xxxxxxxx Xxxxxx. Finger shall have furnished to the Representatives its written opinion, as special Delaware counsel to the Company, addressed to the Underwriters and dated such Delivery Date, in form reasonably satisfactory to the Representatives, to the effect that, in connection with the Premier Merger, no shareholder vote was required under applicable Delaware law and, in connection with the Six Flags Acquisition, no shareholder vote is required under applicable Delaware law, and that the Premier Merger and the Six Flags Acquisition otherwise comply in all respects with applicable Delaware law.

Finger shall have furnished to the Representatives Underwriters its written opinion, as special Delaware counsel to the Company, addressed to the Underwriters and dated such Delivery Date, in form reasonably satisfactory to the RepresentativesUnderwriters, to the effect that, in connection with the Premier Merger, no shareholder vote was required under applicable Delaware law and, in connection with the Six Flags Acquisition, no shareholder vote is required under applicable Delaware law, and that the Premier Merger and the Six Flags Acquisition otherwise comply in all respects with applicable Delaware law.
