Your Investments. 10.1 MAYFAIR Investments have appointed the CUSTODIANS to arrange the safekeeping and administration of assets purchased by us on your behalf. Refer to clause 9.1 and 9.2 for further details.
Your Investments. 9.1 You will always remain the beneficial owner of your investments held with us. However, their legal title will normally be registered in the name of Xxxxxx’x nominee company.The electronic record (CREST), share certificates or other documents proving title will usually be held by Xxxxxx. This may result in you not receiving documentation issued by companies to shareholders held directly on the company share register. For bearer or overseas investments another party may be involved, such as an overseas agent who carries out Xxxxxx’x order for your account. Such an agent will always be responsible for their safe custody obligations. If you wish to receive a copy of the annual report, accounts or other information issued by the company you invest in through our nominee, or to attend shareholders’ meetings or to vote, we will arrange this for a fee. We will not lend securities belonging to you and held by us, or on our behalf, to any third party nor shall we borrow money on your behalf against the security of those assets.
Your Investments. You undertake that: • (unless otherwise agreed with us) the investments and cash within your account are within your beneficial ownership and are and will remain, for the term of this Agreement, free from all liens, charges and any other encumbrances; while this Agreement continues you will not, except through us, deal, or authorize anyone else to deal in the investments in your account; • while this Agreement continues you will not, either directly or indirectly, cause us to incur any liability to any third party which is not anticipated by the express terms of this Agreement.
Your Investments. Any policy, investment portfolio, wrap account, platform or other instrument held by you of which Virtue Money is the Servicing Agent under the terms of this Agreement. Our services Virtue Money is able to act on your behalf in advising you on investments and non-investment insurance contracts. We offer products and services as follows: Investments - we offer an Independent advice service. We will recommend investments based on a comprehensive and fair analysis of the market. We will place no restrictions on the Investment Markets we will consider before providing investment recommendations, unless you instruct us otherwise. We will however only make a recommendation when we know it is suitable for you. Non-investment protection contracts - we offer non investment protection products e.g. term assurance, income protection and critical illness from a range of insurers. General Insurance Contracts - we offer General Insurance contracts e.g. Buildings and Contents from a range of insurers. You should be aware that investments carry varying degrees of risk and as their underlying value can fall as well as rise you may not get back the full amount invested.
Your Investments. 8.3.1 You undertake, represent and warrant that while the agreement continues: • unless you have specified to the contrary to us in writing, and agreed by us and Multrees, the investments and cash within your portfolio are within your beneficial ownership and will remain for the term of the agreement free from all liens, charges, pledges, right of set-off, security interest and/or any other encumbrances; • you will not, except through us, deal, or authorise anyone else to deal, in the investments in your portfolio that form part of the portfolio that is managed by us; and • you will not, either directly or indirectly, cause us to incur any liability to any third party not anticipated by the terms of this agreement.
