Affiliated Fund definition

Affiliated Fund means, with respect to any specified Person, a private equity investment fund that is an Affiliate of such Person or that is advised by the same investment adviser as such Person or by an Affiliate of such investment adviser.

Affiliated Fund means, with respect to a Holder that is a limited liability company or a limited liability partnership, a fund or entity managed by the same manager or managing member or general partner or management company or by an entity controlling, controlled by, or under common control with such manager or managing member or general partner or management company;

Affiliated Fund means any investment vehicle registered under the Investment Company Act which the Firm or an Affiliated Person acts as manager, adviser or sub-adviser.

• To the extent a larger shareholder (including, for example, an Affiliated Fund that operates as a fund-of-funds or 529 education savings plan) is permitted to invest in the Fund, the Fund may experience large inflows or outflows of cash from time to time.

• Other than any limitations imposed by the Declaration of Trust of the Fund or by applicable law, there are no limitations on the investment of Fund assets in an Affiliated Fund.

• The Investing Fiduciary acknowledges receipt of the prospectus for the Affiliated Funds which, among other items, outlines the advisory fee charged by each Affiliated Fund and provides further details of the expenses charged to the Affiliated Funds.

More Definitions of Affiliated Fund

Affiliated Fund means a registered open-end or closed-end investment company (other than money market funds) registered under the Investment Company Act that is managed by any Adviser, or any affiliate of the Adviser (such as Brazos Capital Management and AIG Global Investment Corp.), including any investment company in which a variable annuity contract or life policy may invest, or in a 401(k) or other retirement plan.

Affiliated Fund means any investment company (EXCEPT money market funds) for which a control affiliate of MCM (including a person that controls MCM, is controlled by MCM, or is under common control with MCM) acts as adviser, subadviser, or principal underwriter. Investment companies for which MCM acts as adviser or subadviser are NOT considered to be Affiliated Funds. MCM’s Compliance Department will maintain a listing of Affiliated Funds and will periodically distribute the list to all Covered Persons.

Affiliated Fund means with respect to any Investors, each corporation, trust, limited liability company, general or limited partnership or other entity under common control with that Investor (including any such entity with the same general partner or principal investment advisor as that Investor or with a general partner or principal investment advisor that is an Affiliate of the general partner or principal investment advisor of that Investor).

Affiliated Fund means, in relation to each Commitment Party, any investment fund the primary investment advisor to or manager of which is such Commitment Party or an Affiliate thereof.

Affiliated Fund means, with respect to any Lender, a fund that invests in commercial loans and is managed by the same investment advisor as such Lender, an Affiliate of such Lender or by an Affiliate of the same investment advisor as such Lender.

Affiliated Fund means any series of the City National Rochdale Funds (the “Trust”) and any other Investment Company or alternative product investment adviser or principal underwriter of which controls, is controlled by or is under common control with CNR.

Affiliated Fund means each corporation, trust, limited liability company, general or limited partnership or other entity controlling or under common control with the relevant Institutional Member.
