Invitation for bids means all documents, whether attached or incorporated by reference, utilized for soliciting bids.
Invitation for Bid means and include the present document, and such other complements and agenda, which may subsequently be issued in this connection.
Invitation for Bid (IFB means the solicitation document issued to potential vendors for the purchase of equipment, supplies, and/or services as described in the document. The definition includes these Terms and Conditions as well as all Pricing Pages, Exhibits, Attachments, and Addendums thereto.
Call Rights As defined in Section 9.01(f).
Invitation to Bid (ITB means an offer by a vendor to sell a product or service for a specific price that is based on the specifications or scope of the purchaser.
Invitation to Bid or “Bid” shall mean all documents, including those attached or incorporated by reference, used for soliciting bids.
Call Right The right of the holder thereof (or any successor), as named in the applicable Supplement, to purchase Certificates from the Holders thereof or to purchase Underlying Securities from the Trust.
Call Warrant As defined in the recitals.
Price Bid means the Price Bid submitted by the Bidder, in accordance with Clause 8.15.2;
Call-Off Contract means any contract for the Supply of Services between a Framework Public Body and the Contractor entered into in accordance with the Award Procedures and based on the Standard Terms of Supply.
Reject means that submittal does not comply with Contract Documents and that fabrication, manufacture, or construction shall not proceed. Resubmit in accordance with requirements of Contract Documents.
Call Off Procedure means the process for awarding a Call Off Agreement pursuant to Clause 4 (Call Off Procedure) and Framework Schedule 5 (Call Off Procedure);
Repurchase As defined in Section 2.03(a) of this Agreement.
Notice of Purchase means, as the context requires, a Preliminary Notice of Purchase or a Final Notice of Purchase, in each case, substantially in the form attached as Exhibit A to the VRDP Shares Purchase Agreement.
Clean-up Call The termination of the Trust Fund hereunder pursuant to Section 9.01(a)(ii).
Buy Bid means a bid to buy Capacity Resources in any Incremental Auction.
Discount Range has the meaning specified in Section 2.05(d)(ii).
Initial Warrant Exercise Date means __________, 1997.
Retraction Call Right has the meaning ascribed thereto in the Exchangeable Share Provisions.
Micro-purchase means a purchase of supplies or services, the aggregate amount of which does not exceed the micro-purchase threshold. Micro-purchases comprise a subset of a district's small purchases as defined in 2 C.F.R. 200.320.
Base Bid means a Bid for Public Works to be performed or Supplies or Services to be furnished under a City Contract, including additives, alternates, deductives, excluding force accounts, and taxes collected separately pursuant to Washington Administrative Code (“WAC”) 458-20-171.
VWAP Purchase Notice means an irrevocable written notice from the Company to the Buyer directing the Buyer to buy Purchase Shares on the VWAP Purchase Date pursuant to Section 1(c) hereof as specified by the Company therein at the applicable VWAP Purchase Price with the applicable VWAP Purchase Share Percentage specified therein.
Call-Off Terms means the terms and conditions in Part 3 of Schedule 4 (Order Form and Call-Off Terms) of this Framework Agreement;
Subscription Service means the PROS software applications subscribed to by Customer under an Order and made available online by PROS as described in the Documentation. “Subscription Service” excludes Professional Services and Free Trial Services.
Exercise Notice Deadline In respect of any exercise of Options hereunder on any Conversion Date, the “Scheduled Trading Day” prior to the scheduled first “VWAP Trading Day” of the “Observation Period” (each as defined in the Indenture, but, in the case of any such Observation Period, as modified by the provision set forth opposite the caption “Convertible Security Settlement Method”) relating to the Convertible Securities converted on the Conversion Date occurring on the relevant Exercise Date; provided that in the case of any exercise of Options hereunder in connection with the conversion of any Relevant Convertible Securities on any Conversion Date occurring during the period starting on and including June 4, 2020 and ending on and including the second “Scheduled Trading Day” immediately preceding the “Maturity Date” (each as defined in the Indenture) (the “Final Conversion Period”), the Exercise Notice Deadline shall be noon, New York City time, on the “Scheduled Trading Day” (as defined in the Indenture) immediately preceding the “Maturity Date” (as defined in the Indenture).
Option Purchase Price has the meaning set forth in Section 9.36(b) hereof.
