Class A-1 Units definition

Class A-1 Units means the Units having the privileges, preference, duties, liabilities, obligations and rights specified with respect to “Class A-1 Units” in this Agreement.
Class A-1 Units has the meaning set forth in Section 3.2(a).
Class A-1 Units means that class of Company Interests issued to those Members set forth on Exhibit A in the amounts set forth thereon, and to such other Persons after the Effective Date in accordance with this Agreement, representing an interest in profits, losses and distribution as set forth in this Agreement and having the rights, powers, obligations, restrictions and limitations specified with respect to Class A-1 Units in this Agreement.

Examples of Class A-1 Units in a sentence

  • Class A-1 Units shall not have any voting rights other than as required by Applicable Law.

  • The Members acknowledge and agree that for the purposes of determining whether and to what extent each Member is permitted to participate in the Tag-along Sale, Class A-1 Units and Class A-2 Units shall not be considered separate series.

  • The Members acknowledge and agree that for the purposes of determining whether and to what extent each Member is obligated to participate in the Drag-along Sale, Class A-1 Units and Class A-2 Units shall not be considered separate series.

  • All Units classified as Class A Units immediately prior to the Effective Date are hereby reclassified as Class A-1 Units as of the Effective Date.

  • The Members acknowledge and agree that for the purposes of determining whether and to what extent each Member is obligated to participate in the Drag- along Sale, (i) Class A-1 Units, Class A-2 Units, Nonvoting Class A-1 Units and Nonvoting Class A-2 Units, and (ii) Class C-1 Units and Class C-2 Units, as applicable, shall not be considered separate series.


More Definitions of Class A-1 Units

Class A-1 Units means the Class A-1 Units of the Partnership representing the interests in the Partnership set forth in this Agreement.
Class A-1 Units has the meaning set forth in the LLC Agreement.
Class A-1 Units means preferred units of economic interest equal with each other, each with the rights and liabilities, at any particular time, including rights to vote, rights to distributions (liquidating or otherwise) and allocations, as provided in this Agreement.
Class A-1 Units has the meaning given to such term in the Fourth Amended and Restated LLC Agreement.
Class A-1 Units means the Units classified as Class A-1 Units in the A&R LLC Agreement, and initially held by Altius GBR Holdings.
Class A-1 Units means units of Investment’s class of capital interests known as Class A-1 units.
Class A-1 Units means equal units of the entire ownership interest of all Class A-1 Members of the Company, and all rights and liabilities associated therewith, at any particular time, including, without limitation, rights to distributions (liquidating or otherwise), allocations and information, and shall not have voting rights except as provided herein.
