Consulting Compensation definition

Consulting Compensation means salary, consulting fees, honoraria, paid authorship, lecture fees, other emoluments, stock, stock options, royalties or “in kind” compensation directly or indirectly received from an entity (or entitlement to the same), whether in connection with a Management, Board, or Employment Position or for consulting, lecturing, or service on a scientific advisory board, data safety monitoring board, steering committee for a clinical trial, executive committee for a clinical trial, or other committee for an outside entity, or for any other purpose, that have been received in the past calendar year or are expected to be received in the current or next calendar year.
Consulting Compensation means the Employee's highest rate of annual taxable compensation prior to termination of employment divided by 2,000. EFFECTIVE DATE of this Agreement shall mean March 28, 2000. EMPLOYEE shall mean the individual named in the first paragraph of this Agreement. GOOD REASON for termination by the Employee of Employee's employment shall mean the occurrence of any of the following without Employee's express written consent:
Consulting Compensation means compensation from a source other than CHS received by a Covered Individual in exchange for providing/participating in consulting, lectures, training, product/medical technology development, marketing reference, proctoring/preceptorships, advisory boards, focus groups or other external activities. Consulting Compensation may be direct or indirect, financial or otherwise and includes any compensation that is received by the Family of a Covered Individual or an entity controlled or directed by the Covered Individual or his or her Family. Examples of Consulting Compensation include honoraria, consulting fees, lecture fees, royalties, and “in kind” compensation.

Examples of Consulting Compensation in a sentence

  • In the event of the death of Mr. Woods during the term of the Woods Employment Agreement or during any period in which Mr. Woods is receiving compensation during his Disability, the Corporation shall pay to Mr. Woods' beneficiary the Consulting Compensation and a portion of Mr. Woods' most recently ascertainable incentive bonus.

  • Upon termination of the employment of Mr. Woods due to his Disability (as defined in the Woods Employment Agreement) for a period of more than 90 days in the aggregate during any period of 12 consecutive months, or reasonable expectation of such Disability during such period, Mr. Woods shall be paid his Consulting Compensation (as defined below) and a portion of his most recently ascertainable incentive bonus.

  • Detailed records of Consulting Compensation must be kept by Covered Individuals for 5 years and given to CHS upon request.

  • For a Pre-Clinical Research project, a Financial Interest is a “ Significant Financial Interest” if it is (a) any Management, Board, or Employment; (b) Ownership Interests of greater than $10,000 in a publicly-held company; (c) Ownership Interest of any amount in a privately-held company; or (d) Consulting Compensation, Paid/Reimbursed Travel for personal benefit as determined by the CIMU, and Royalty Income, when aggregated, of greater than $25,000 in any relevant year.

  • Before engaging in any consulting activities that require one’s professional competence to earn Consulting Compensation, a Covered Individual must notify his or her Responsible Administrator by submitting to the Responsible Administrator a partially completed Approval Form with all relevant documentation including, but not limited to, the contract documents governing the proposed arrangement.

  • Consulting Compensation must never be an inducement or reward for the referral or generation of health care business.

  • Activities involving Consulting Compensation for full time employees may not exceed 20% of that portion of a Covered Individual’s time that is allocated to his or her primary job responsibilities at CHS, except that vacation time may be used to exceed the 20% limit.

  • The Consultant shall not be entitled to receive any compensation, whether in the form of wages or benefits, other than the Consulting Compensation during the Consulting Period.

  • A Covered Individual may not accept any Consulting Compensation without prior approval from his or her Responsible Administrator.

  • This consulting arrangement provides that Mr. Woods will consult to the Corporation and receive as compensation therefor $400,000 per annum (the "Consulting Compensation") but no other employment benefits except office and secretarial expenses.

Related to Consulting Compensation

  • Severance Compensation means the compensation set forth in (i), (ii), and (iv) above.

  • Termination Compensation means a monthly cash amount equal to one-twelfth ( 1/12th) of the highest amount of the annual cash compensation (including cash bonuses and other cash-based compensation, including for these purposes amounts earned or payable whether or not deferred) received by Executive during any one of the three (3) calendar years immediately preceding the calendar year in which Executive’s Termination Date occurs; provided, that if the cash compensation received by Executive during the Termination Year exceeds the highest amount of the annual cash compensation received by Executive during any one of the immediately preceding three (3) consecutive calendar years, the cash compensation received by Executive during the Termination Year shall be deemed to be Executive’s highest amount of annual cash compensation. In no event shall Executive’s Termination Compensation include equity-based compensation (e.g., income realized as a result of Executive’s exercise of non-qualified stock options or other stock based benefits).

  • Earned Compensation means any Annual Base Salary earned, but unpaid, for services rendered to the Company on or prior to the date on which the Employment Period ends pursuant to Section 3(a) (but excluding any salary and interest accrued thereon payment of which has been deferred).

  • 414(s) Compensation means any definition of compensation that satisfies the nondiscrimination requirements of Code Section 414(s) and the Regulations thereunder. The period for determining 414(s) Compensation must be either the Plan Year or the calendar year ending with or within the Plan Year. An Employer may further limit the period taken into account to that part of the Plan Year or calendar year in which an Employee was a Participant in the component of the Plan being tested. The period used to determine 414(s) Compensation must be applied uniformly to all Participants for the Plan Year.

  • Basic Compensation means Salary and Benefits.

  • Bonus Compensation shall have the meaning set forth in Section 3(b).

  • Base Compensation means the amount equal to the sum of (i) the greater of Executive’s then-current Annual Base Salary or Executive’s Annual Base Salary as of the date one day prior to the Change in Control, and (ii) the Average Incentive Bonus.

  • Special compensation means payment to an adult foster care facility to ensure the provision of a specialized program in addition to the basic payment for adult foster care. Special compensation does not include payment received directly from the Medicaid program for personal care services for a resident, or payment received under the supplemental security income program.

  • Accrued Compensation means an amount which shall include all amounts earned or accrued through the "Termination Date" (as hereinafter defined) but not paid as of the Termination Date, including (i) base salary, (ii) reimbursement for reasonable and necessary expenses incurred by the Executive on behalf of the Company during the period ending on the Termination Date, (iii) vacation pay and (iv) bonuses and incentive compensation (other than the "Pro Rata Bonus" (as hereinafter defined)).

  • Gross compensation means every form of remuneration payable for a given period to an individual for services provided including salaries, commissions, vacation pay, severance pay, bonuses, and any board, rent, housing, lodging, payments in kind, and any similar benefit received from the individual's employer.

  • Annual Compensation means an amount equal to the greater of:

  • Accrued Professional Compensation means, at any given moment, all accrued, contingent and/or unpaid fees and expenses (including, without limitation, success fees) for legal, financial advisory, accounting and other services and reimbursement of expenses that are awardable and allowable under section 328, 330(a) or 331 of the Bankruptcy Code and were rendered before the Effective Date by any Retained Professional in the Chapter 11 Cases, or that are awardable and allowable under section 503 of the Bankruptcy Code, that have not been denied by a Final Order, all to the extent that any such fees and expenses have not been previously paid (regardless of whether a fee application has been filed for any such amount). To the extent that the Bankruptcy Court or any higher court denies or reduces by a Final Order any amount of a Retained Professional’s fees or expenses, then those reduced or denied amounts shall no longer constitute Accrued Professional Compensation.

  • Cash Compensation means any discount, concession, fee, service fee, commission, sales charge, loan, override, or cash benefit received by a producer in connection with the recommendation or sale of an annuity from an insurer, intermediary, or directly from the consumer.

  • Annual Salary means the salary given under this Part.

  • Severance Pay means any amount that is payable in cash and is identified by a Participating Company as severance pay, or any amount which is payable on account of periods beginning after the last date on which an employee (or former employee) is required to report for work for a Participating Company.

  • Base Salary shall have the meaning set forth in Section 3(a) hereof.

  • Final compensation of a member means:

  • Current Compensation means all regular wage, salary and commission payments paid by the Company to a Participant in accordance with the terms of his or her employment, but excluding annual bonus payments and all other forms of special compensation.

  • Covered Compensation means any Incentive-Based Compensation granted, vested or paid to a person who served as an Executive Officer at any time during the performance period for the Incentive-Based Compensation and that was Received (i) on or after October 2, 2023 (the effective date of the Nasdaq listing standards), (ii) after the person became an Executive Officer, and (iii) at a time that the Company had a class of securities listed on a national securities exchange or a national securities association such as Nasdaq.
