The State will promptly pay the Contractor after the Contractor presents an itemized invoice for the services and the report(s) required under Item 2, Scope of Work, for the services actually performed and the State's Authorized Direct Service Staff Representative accepts the invoiced services.
Each disclosure and each receipt of Health Data by Subscribed User through Direct Service shall constitute a certification by Participant that Participant and Subscribed Users are complying with this Agreement.
CRISP shall only access Health Data for the express purpose of connecting the Participants, facilitating the delivery or receipt of the Health Data using the Direct Service on behalf of such Participants, providing telephone level help desk services, and otherwise fulfilling its obligations under the Agreement.
