ESG Report refers to the document which contains the ESG Rating of the Group which has been published by the ESG Rating Agency.
ESG Report means the annual non-financial disclosure substantially similar to the GRI Standards as publicly reported by the Parent Guarantor or the Borrower and published on an Internet or intranet website to which each Revolving Lender and the Administrative Agent has or has been granted access free of charge. “EU Bail-In Legislation Schedule” means the EU Bail-In Legislation Schedule published by the Loan Market Association (or any successor person), as in effect from time to time. “EURIBOR” has the meaning specified in the definition of “EurocurrencyAlternative Currency Term Rate.” “Euro” and “EUR” mean the single currency of the Participating Member States. “Eurocurrency Rate” means: (a) for any Interest Period with respect to a Eurocurrency Rate Loan: (i) denominated in Dollars, the rate per annum equal to the London Interbank Offered Rate (“LIBOR”) administered by ICE Benchmark Administration (or any other Person that takes over the administration of such rate), as published on the applicable Bloomberg screen page (or such other commercially available source providing quotations of LIBOR as may be designated by the Administrative Agent from time to time) (the “LIBOR Screen Rate”) at or about 11:00 a.m., London time, two (2) Business Days prior to the commencement of such Interest Period, for deposits in Dollars (for delivery on the first day of such Interest Period) with a term equivalent to such Interest Period; provided that if any such rate referred to in this clause (a)(i) is not available at such time for any reason, then the “Eurocurrency Rate” for such Interest Period with respect to such Eurocurrency Rate Loan denominated in Dollars shall be determined by such alternate method as reasonably selected by the Administrative Agent;

If a Swap Obligation arises under a Master Agreement governing more than one Swap Contract, such exclusion shall apply only to the portion of such Swap Obligation that is attributable to Swap Contracts for which such Guaranty or Lien is or becomes excluded in accordance with the first sentence of this definition. “Excluded Taxes” means, with respect to the Administrative Agent, any Lender or any other recipient of any payment to be made by or on account of any obligation of any Loan Party hereunder, (a) taxes imposed on or measured by its overall net income (however denominated), and franchise taxes in each case (i) imposed on it (in lieu of net income taxes), by the jurisdiction (or any political subdivision thereof) under the Laws of which such recipient is organized or in which its principal office is located or, in the case of any Lender, in which its applicable Lending Office is located or (ii...
ESG Report means a report produced by the Supplier addressing the Supplier’s performance inthe areas of environment, social and governance, including but not limited to GHG Emissions, waste management, labour practices and human rights;
ESG Report means a report signed by a Responsible Officer of the Borrower detailing, for the preceding fiscal year, the environmental and social issues that affected Borrower, including environmental incidents, such as pollution and contamination events; health and safety statistics with respect to employees of the Borrower and attendees at the Project; and the number of internal or community grievances (including type and status), in each case in form reasonably acceptable to the Administrative Agent.
ESG Report means the quarterly report prepared by the Company setting out the progress of the Project in achieving environmental, social and governance targets, including but not limited to overall LCA ATJ-SPK carbon intensity (actual), 2G Feedstock percentage (actual), percentage breakdown of each type of feedstock source (actual), progress toward obtaining material industry certifications related to facility and supply chain sustainability and the number and source of any Regulatory Credits generated.
