Executive Retention Plan definition

Executive Retention Plan means the Symantec Executive Retention Plan as in effect on the date of this Agreement and as hereafter amended from time to time.
Executive Retention Plan means the NortonLifeLock Executive Retention Plan as in effect on the date of this Agreement and as hereafter amended from time to time.
Executive Retention Plan means the Cummins Inc. Executive Retention Plan, as amended from time to time, and any successor thereto.

  • In addition, such benefits will be in lieu of any entitlement you may have to notice of termination, pay in lieu of notice of termination, or any other severance payment or benefit from any other Veritas or Symantec Employer source other than your benefits under the Executive Retention Plan.

  • You will also during your employment period with the Symantec Employer participate in the Symantec Executive Retention Plan or any successor plan.

  • The Symantec Option will vest over a four-year period starting from your first day of employment with Symantec, at the rate of 25% of the option at the end of your first year of employment, and the balance in a series of 36 successive equal monthly installments upon your completion of each additional month of employment thereafter and will not be subject to acceleration except in accordance with the provisions of the Executive Retention Plan.

  • Upon request by the Company, Executive shall execute and deliver such additional agreements or other instruments (if any) reasonably necessary or appropriate to terminate Executive’s rights under the Executive Retention Plan.

  • In connection with that engagement, Employee has become a party to the following compensation arrangements: (a) the Executive Retention Plan, (b) the Executive Severance Plan -- Tier 2, and (c) the Executive Officer Group Salary Continuation Plan (collectively, the "Recital A Benefits").

  • Effective upon execution of this Agreement by Executive and the Company, Executive’s participation in the Medicis Pharmaceutical Corporation Amended and Restated Executive Retention Plan (the “Executive Retention Plan”), shall terminate and Executive shall have no further rights to receive any severance, payments or benefits under such plan.

  • Awards under the Xxxx Foods Executive Retention Plan that are payable based upon the achievement of performance criteria through the end of 2012 (a “2012 Retention Award”) shall be made in accordance with its terms, treating employment with WhiteWave as though it were employment with the Xxxx Foods Group.

  • The benefits provided to Executive in this Agreement shall offset substantially similar benefits provided to Executive pursuant to another Company policy, plan or agreement (including without limitation the Symantec Corporation Executive Severance Plan and the Symantec Corporation Executive Retention Plan).

  • If a Change in Control occurs after the date of this Agreement, the Officer shall not be entitled under any circumstance to claim any benefits, rights, or entitlements under the August 19, 1999 Executive Retention Plan of BancFirst Ohio Corp.

Related to Executive Retention Plan

  • Executive Severance Plan means the Company’s Senior Executive Employee Severance Pay Plan, as in effect from time to time.

  • Executive Employee means those employees of the Company of Grade Level 10 or above.

  • Compensation and Benefits Programs means all compensation and benefit plans, policies, and programs of the Debtors, and all amendments and modifications thereto, applicable to the Debtors’ employees, former employees, retirees, and non-employee directors and the employees, former employees and retirees of their subsidiaries, including all savings plans, retirement plans, health care plans, disability plans, and incentive plans, deferred compensation plans, and life, accidental death, and dismemberment insurance plans.

  • Separation Plan means the Company’s Separation Plan Amended and Restated Effective August 13, 2006, as may be amended from time to time or any successor plan, program, arrangement or agreement thereto.

  • Severance Plan means any severance plan maintained by the Company that is applicable to the Participant.

  • Compensation and Benefit Plans has the meaning set forth in Section 5.03(m).

  • Company Employee Agreement means any management, employment, severance, change in control, transaction bonus, consulting, repatriation or expatriation agreement or other contract between any Group Company and any current or former employee, director or officer of such Group Company.

  • Transition Plan means a transition plan, acceptable to the LHIN that indicates how the needs of the HSP’s clients will be met following the termination of this Agreement and how the transition of the clients to new service providers will be effected in a timely manner; and

  • Health benefit plan means a policy, contract, certificate or agreement offered or issued by a health carrier to provide, deliver, arrange for, pay for or reimburse any of the costs of health care services.

  • Non-U.S. Benefit Plan has the meaning set forth in Section 3.20(a).

  • Key Executives means Xxxxx Xxxxxxx and Xxxxxxx Xxxxxxxxx, jointly and severally.

  • Company Incentive Plan shall have the meaning assigned to it in Section 1.7 hereof.

  • Management Employee means an employee in a position having significant responsibilities for formulating district policies or administering district programs. Management positions shall be designated by the public school employer subject to review by the Public Employment Relations Board.

  • Key Executive means an employee of a Textron Company who has been and continues to be designated as a Key Executive under the Plan by Textron’s Chief Executive Officer and Chief Human Resources Officer.

  • Named Executive Officers or “NEOs” means the following individuals:

  • Incentive Compensation Plan means any plan, agreement or other arrangement that provides for the grant or issuance of equity or equity-based awards and that is now in effect or is hereafter adopted by the Company or the Manager for the benefit of any of their respective employees or other service providers (including directors, advisers and consultants), or the employees or other services providers (including directors, advisers and consultants) of any of their respective Affiliates or Subsidiaries.

  • Medical Executive Committee or “MEC” means the Executive Committee of the Medical Staff.

  • Compensation Plans shall have the meaning set forth in Section 3.11(b).

  • Incentive Compensation Plans means annual incentive compensation plans and long-term incentive compensation plans of the Company, which long-term incentive compensation plans may include plans offering stock options, restricted stock and other long-term incentive compensation.
