Such Facility Fee shall be payable to Agent in arrears on the first Business Day of each calendar quarter with respect to each day in the previous calendar quarter.
The Facility Fee shall be calculated quarterly in arrears, and if there is any change in the Applicable Rate during any quarter, the actual daily amount shall be computed and multiplied by the Applicable Rate separately for each period during such quarter that such Applicable Rate was in effect.
The amount of the Facility Fee payable on July 1, 2024 and on the Termination Date shall be prorated based on the actual number of days elapsed either since the date hereof (in the case of the July 1, 2024 payment) or since the date on which the last payment in respect of the Facility Fee was made (in the case of the payment made on the Termination Date).
The Facility Fee shall be payable for the periods from the date hereof in the case of each Lender named in Schedule I, and from the effective date on which any other Lender becomes party hereto, until the Termination Date applicable to such Lender (or such earlier date on which such Lender ceases to be a party hereto) at the rate per annum equal to the Applicable Percentage in effect from time to time.
Seller shall pay to Purchaser throughout the Term and any Renewal Term of this Agreement, all applicable fees, which may include but are not limited to: the Collateral Monitoring Fee, Facility Fee, the Funds Usage Daily Fee, the Misdirected Payment Fee, Missing Notation Fee, and Early Termination Fee on the date(s) that each fee is due and payable as set forth in Sections 1.12, 1.18, 1.23, 1.24, 1.32, and 1.33 herein, and shall be charged by the Purchaser to the Reserve Account.
