Unused Facility Fee definition

Unused Facility Fee has the meaning specified in Section 2.09(a).

Unused Facility Fee. A fee, as set forth in the Transactions Terms Letter or otherwise indicated on Buyer’s then current schedule of fees, payable by Seller quarterly in arrears based upon the unused portion of the Aggregate Transaction Limit; provided, however, that no fee shall be due if the average difference between the Aggregate Transaction Limit and actual outstanding principal amount of all Transactions, calculated on a daily basis, during such quarter is less than that percent of the Aggregate Transaction Limit set forth in the Transactions Terms Letter.

Unused Facility Fee is defined in Section 3.4(b).

Examples of Unused Facility Fee in a sentence

• An Unused Facility Fee equal to one quarter of one percent (0.25%) of the difference between the Committed Revolving Line and the average outstanding principal balance of the Obligations, including issued Letters of Credit under the Letter of Credit Sublimit, which fee shall be payable within five (5) days of each calendar quarter and on the Revolving Maturity Date and such fee shall be nonrefundable.

• The Unused Facility Fee shall be calculated on the last day of each fiscal quarter and shall be due and payable on the fifth day after the end of each fiscal quarter.

• The Borrowers shall pay to the Administrative Agent for the account of the Revolving Credit Lenders in accordance with their Applicable Percentages, an unused facility fee (the “Unused Facility Fee”) equal to the Unused Facility Fee Rate times the daily average amount of Overall Unused Amount for the applicable calendar month for which such Unused Facility Fee is due.

• An Unused Facility Fee, payable quarterly, in arrears, on a calendar year basis, during the Availability Period.

• The Unused Facility Fee shall be equal to twenty five basis points (25 bps) (0.25%) per annum, calculated quarterly by multiplying 0.0625% by an amount equal to (a) $5,000,000 less (b) the average daily aggregate unpaid balance under the Revolving Credit Note during the fiscal quarter immediately preceding the Unused Facility Fee due date.

More Definitions of Unused Facility Fee

Unused Facility Fee means the fee payable pursuant to Section 2.06 of this Agreement.
