Fund Entity definition

Fund Entity. As defined in Section 5.1(a).
Fund Entity means (a) any Fund in respect of which any of the Covered Subsidiaries acts as manager or investment advisor or has rights with respect to Management Fees or Performance Fees and (b) any entity in which any entity described in clause (a) has an investment.
Fund Entity means any investment fund or managed account (and related special purpose co-investment vehicles) established (or acquired) directly or indirectly by the Obligors to make investments in (a) portfolio companies thereof, (b) real estate and real estate oriented investments and (c) loans, “high yielddebt securities, derivative financial instruments, structured finance securities, hedge agreements and/or similar securities, instruments and arrangements and equity interests.

  • The following definitions are added: Dodd-Frank Section 210 Claim means any subpoena, written complaint, written demand, or similar document served by the Federal Deposit Insurance Corporation upon an Executive of a Fund Entity or Fund Manager pursuant to Section 210(s) of the Dodd-Frank Wall Street Reform and Consumer Protection Act and the regulations promulgated thereunder.

  • A 0.7 multiplier is applied to any TMDL Fund Entity with a population of less than one hundred thousand (100,000).

  • The Limited Partners acknowledge that they will also bear, as indirect investors in the Master Partnership, their pro rata share of the expenses similar to those described in Section 2.08 incurred by the Master Partnership or any trading subsidiaries or other subsidiaries thereof (including a Fund Entity).

Fund Entity means any Subsidiary of the Company, 100% of whose capital stock is at the time owned by the Company directly or indirectly through other Persons 100% of whose capital stock is at the time owned, directly or indirectly, by the Company (other than, in the case of any Subsidiary that is not organized or existing under the laws of the United States, any state of the United States or the District of Columbia, with respect to any directors’ qualifying shares), which does not act other than either (a) solely as the general partner of one or more of the Company’s Investment Funds or (b) solely for the purpose of being a registered investment adviser for any of such Investment Funds, whether directly or indirectly through the general partner of such Investment Fund.
Fund Entity has the meaning given such term in the introduction to this Agreement.
Fund Entity means each entity that, as a collective, forms and is part of the Fund, including without limitation the Onshore Partnership, the Offshore Company and the Master Partnership.
Fund Entity means any Wholly Owned Subsidiary of the Company which does not act other than either (a) solely as the general partner of one or more of the Company’s Investment Funds or (b) solely for the purpose of being a registered investment adviser for any of such Investment Funds, whether directly or indirectly through the general partner of such Investment Fund.
Fund Entity means the Borrower and each direct or indirect Subsidiary of Borrower.
Fund Entity means any of (i) the GI Funds, (ii) any general partner, manager or investment advisor of the Persons set forth in clause (i) above, and (iii) any fund, trust, collective pool, vehicle or entity with a general partner, manager or investment advisor in common with the Persons set forth in clause (i) above.
