Governmental Charges definition

Governmental Charges has the meaning set forth in Section 9.2.
Governmental Charges means, with respect to any Person, all levies, assessments, fees, claims or other charges imposed by any Governmental Authority upon such Person or any of its property or otherwise payable by such Person.
Governmental Charges means all Taxes, customs, duties, rates, levies, assessments, reassessments and other charges, unemployment insurance contributions, pension plan contributions and any deductions or other amounts which it is required by Law or Contract to pay, deduct, withhold, collect or remit to any Governmental Authority or other entities entitled to receive payment of such amounts, together with all penalties, interest and fines with respect thereto, payable to any Governmental Authority;

Examples of Governmental Charges in a sentence

  • In the event Seller is required by law or regulation to remit or pay Governmental Charges that are TVA’s responsibility hereunder, TVA shall promptly reimburse Seller for such Governmental Charges.

  • TVA shall pay or cause to be paid all Governmental Charges on or with respect to the Product at and from the Delivery Point (other than ad valorem, franchise, or income taxes that are related to the sale of the Product and are, therefore, the responsibility of Seller).

  • Nothing shall obligate or cause a Party to pay or be liable to pay any Governmental Charges for which it is exempt under the law.

  • If TVA is required by law or regulation to remit or pay Governmental Charges that are Seller’s responsibility hereunder, TVA may deduct the amount of any such Governmental Charges from the sums due to Seller under this Agreement.

  • Each Party shall cooperate with the other Party in order to qualify for or take advantage of any available reduction in or exemption from such Governmental Charges and to otherwise minimize the amount of such Governmental Charges that must be paid under applicable law.

Governmental Charges has the meaning assigned thereto in Section 7.6 hereof;
