Knowledge of the Vendor definition

Knowledge of the Vendor means the actual knowledge of the Vendor after due inquiry;
Knowledge of the Vendor means the actual knowledge, after making full and complete inquiries, of the Vendor, the Vendor’s Guarantor, the officers of Main Union and the PRC Affiliate, and such other employees of Main Union and the PRC Affiliate who would be reasonably expected to have knowledge of the matter in question, including without limitation the individuals identified in Clause 3.1(a).
Knowledge of the Vendor has the meaning set forth in Section 1.2;

Examples of Knowledge of the Vendor in a sentence

  • Except as disclosed in Schedule 3.1(15), to the Knowledge of the Vendor, there are no circumstances or events which are likely to lead to the cancellation or suspension of any Reinsurance Contract or to the termination of any such Reinsurance Contract at a date earlier than the date otherwise provided under such Reinsurance Contract.

More Definitions of Knowledge of the Vendor

Knowledge of the Vendor or similar expressions mean the actual knowledge of Xxxxx Xxxxxxxxx and, where applicable, such other senior management of the Vendor with responsibility for the relevant matter;
Knowledge of the Vendor or “Vendor’s Knowledge” or any other similar knowledge qualification relating to the Vendor’s awareness, means the actual knowledge of the Managing Director of the Corporation and the Vice President (Chief Financial Officer) and Chief Administrative Officer of the Vendor, in each case after reasonable inquiry of such officers and members of senior management reasonably expected to have knowledge of the relevant subject matter.
Knowledge of the Vendor means the actual knowledge of Xxxxxx Xxxxxxx and Xxx Xxxxxxx (after making such inquiries as are reasonably necessary in the circumstances and without doing searches in any public offices) regarding the relevant matter as of the date hereof and the Closing Date, in each case, without personal liability.
Knowledge of the Vendor means and be limited to the actual knowledge, information and belief of the individuals set forth in Schedule 1.2, after making due inquiries regarding the relevant matter of all relevant directors, officers and employees, who have, collectively, reviewed relevant records, and without personal liability for any such knowledge.
Knowledge of the Vendor or similar expressions mean the actual knowledge of any of Xxx Xxxxx, Xxxxxxx Xxxxxx and Buzz Green after reasonable inquiry;
Knowledge of the Vendor means: (i) the actual knowledge of any of Xxxx Xxxxxx, President, Xxxxx Xxxxx, Chief Operating Officer or Xxxxxx Xxxxxxx, Chief Financial Officer of the Vendor; or (ii) the knowledge that would have been obtained, within the scope of the foregoing individuals' responsibilities, after reasonable inquiry of individuals who directly report to them and are known to them to have specialized knowledge of the subject matter at issue;
Knowledge of the Vendor or "VENDOR'S KNOWLEDGE" means the knowledge that any one of (i) those officers, directors or employees of the Vendor who are principally responsible for the negotiation and consummation of the transactions contemplated by this Agreement, and (ii) the directors and officers of the Corporation, actually has;
