Promptly, and in any event within five (5) Business Days, following a breach of any of the Product Agreements by Seller or any Counterparty becoming Known to Seller that, in Seller’s good faith judgment, could reasonably be expected to adversely affect in any material respect the Purchased Receivables or the value thereof, Seller shall provide notice of such breach to Purchaser.
