Known to Seller means the knowledge of any officer, director or employee of Seller.

Known to Seller means actual knowledge of the persons listed on Section 1.1 of the Seller Disclosure Schedule.

Known to Seller and similar terms means the actual, present knowledge of Xxxx Xxxxxxx, Xxxxx Xxxxxx and Xxxxxx Xxxxxxxx, each an employee of an affiliate of Seller.

Known to Seller means all facts and circumstances that have either: (i) been fairly disclosed to the Seller or its advisors as part of the due diligence process relating to this Transaction; or (ii) which are actually known by Seller, Target or any of their respective officers or employees as of the date hereof.

Known to Seller and similar formulations shall mean the actual knowledge of (i) officers and employees of Company whose primary responsibility is the subject matter about which the relevant matter relates and the knowledge that each such person reasonably should possess if he or she has properly discharged his or her duties and (ii) the employees of Cequel III, LLC who provide significant services to Company with regard to the subject matter about which the relevant matter relates and the knowledge that each such person reasonably should possess if he or she has properly discharged his or her duties to Company.

Known to Seller means the knowledge, with due inquiry, of the officers, directors, members and general managers of Seller, Los Pueblos and Parent.

Known to Seller or “to Seller’s Knowledge” means, with respect to a specific matter, any information known, after reasonable inquiry, by any of the officers or directors of Seller.
