Examples of Liquidity Agent in a sentence
If the Lenders elect to extend the liquidity facility under this agreement for an additional six (6) months, the Liquidity Agent shall deliver to the Trust a fully executed Notice of Extension not later than six (6) months before the current scheduled expiry date, which Notice of Extension may be executed in any number of counterparts, each of which shall be deemed to be an original, but all of which separate counterparts shall together constitute one and the same instrument.
The Liquidity Agent may resign at any time by giving not less than 30 days' prior written notice thereof to the Lenders and to the Trust.
The addition of bank(s) or other financial institution(s) shall become effective when the additional bank(s) or other financial institution(s) execute an agreement in a form satisfactory to the Trust and the Liquidity Agent agreeing to be bound by the terms of this agreement.
Any resignation by or removal of the Liquidity Agent shall only be effective upon the appointment of a successor Liquidity Agent acceptable to each of the Trust, the Rating Agency and the Majority Lenders.
All payments to be made by the Liquidity Agent and each Lender under this agreement shall be made without set-off or counterclaim and without any deduction of any kind.
