Materiality Qualifier definition

Materiality Qualifier means a qualification to a representation or warranty by use of the word “material,” “materially” or “materiality” or by a reference regarding the occurrence or nonoccurrence or possible occurrence or non-occurrence of a Seller Material Adverse Effect or a “materially adverse effect” or a “material and adverse effect” or any similar term.

• The condition in the first sentence of this Section 6.2(a) shall be deemed satisfied only if the failure of the representations and warranties of the Company to be true and correct in the aggregate (determined without giving effect to any Materiality Qualifier) does not constitute a Material Adverse Effect on the Company.
